This License Agreement (this "Agreement") is a legal agreement between you and ALTREALITY, INC., a California corporation (the "Company") for the SmartWord software and "online" or electronic documentation (the "Product"). By exercising your rights to use the Product, you agree to be bound by the terms of this Agreement.
IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE "CANCEL" BUTTON AND DO NOT INSTALL THE PRODUCT. BY INSTALLING THE PRODUCT, YOU ARE ACCEPTING THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT.
1. GRANT OF LICENSE. The Company hereby grants to the user a temporary, non-exclusive license to use this Software solely for internal purposes. User shall not commercially distribute, sub-license, resell, or otherwise transfer for any consideration, or reproduce for any such purposes, the Software or any modification or derivation thereof, either alone or in conjunction with any other products or programs. Further, the user shall not disassemble, reverse engineer, modify, decompile, or otherwise abuse the intended purpose under this License Agreement.
2. COPYRIGHT. The Product is owned by the Company and is protected by United States copyright laws and international treaty provisions.
3. OTHER RESTRICTIONS. This Software is provided to the user "AS IS." The company assumes no risk if this Software does not function properly or operate error free and the Company makes no warranties, either expressed or implied, with respect to the Software and/or associated materials provided to the user, including but not limited to any warranty of merchantability or fitness for a particular purpose.
4. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers will be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other percuniary loss) arising out of the use of or inability to use this Product, even in the Company has been advised to the possibility of such damages. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
This Agreement is governed by the laws of the State of California. If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severed from this Agreement and shall not affect the validity or enforceability of the remaining provisions of this Agreement. This Agreement is the complete statement of the agreement and supersedes any proposal or prior communications between the Company and the user relating to the subject matter of this Agreement.
