  1. This file, LICENSE.TXT, describes the terms and conditions by which POW
  2. Productions ("POW") will license other parties to distribute this software
  3. program which is intended solely for distribution as "shareware" (the
  4. "Program").  No use, reproduction or distribution of the Program, or of
  5. copies of the Program, is authorized except in compliance with the terms
  6. and conditions set forth below.
  7.  
  8. The Program is protected by copyright in the United Kingdom, as well as in
  9. other countries pursuant to international treaties.  POW is the exclusive
  10. worldwide licensor of the Program, and the copyrights and other
  11. proprietary rights there in.  The Program is intended solely for
  12. distribution as "shareware" (i.e., "try-before-you-buy" software); it is
  13. NOT public domain or free software or "freeware".  POW encourages
  14. distribution of the Program in accordance with the provisions of this
  15. Software License Agreement.  Any use, copying or distribution of the
  16. Program, or of any copies or elements thereof, that is not in compliance
  17. with the terms and conditions of this Agreement is prohibited.

  19. Limited Distribution License:
  20.  
  21. POW authorizes distribution and/or copying of the Program only in
  22. accordance with the following terms and conditions (the "General Terms and
  23. Conditions") and with other terms and conditions set forth below that may
  24. be applicable:

  26. 1.   POW Productions shall be credited as the owner of the Program
  27.      in all distribution of the Program (which shall include, without
  28.      limitation, packaging, documentation, catalogs, program descriptions,
  29.      advertising, promotion and public relations).
  30.  
  31. 2.   The Program shall be identified by name and shall be expressly
  32.      identified as shareware (and not identified or described as "free
  33.      software", "public domain software", or the like) in all
  34.      distribution.
  35.  
  36. 3.   The shareware concept shall be explained in reasonable detail in all
  37.      distribution (shareware is "try-before-you-buy" software, and the
  38.      price paid by users (if any) is a distribution charge only).
  39.  
  40. 4.   You may copy and/or distribute the Program only in its original,
  41.      unaltered form, with all files included unmodified, and without
  42.      making any additions, modifications or deletions except as provided
  43.      in this paragraph.  You may not modify the Program or any of its
  44.      files, and the Program must be distributed as a complete package. You
  45.      may not change, delete, merge or rename any files or elements of the
  46.      Program in any manner, and you may not add any files or new elements
  47.      (except for installation routines which do not interfere with the
  48.      proper operation or installation of the Program).

  50. 5.   You may not decompile, recompile, disassemble, reverse engineer,
  51.      adapt or create derivative works of the Program or any files or
  52.      elements thereof except with POW's prior express written consent.
  53.  
  54. 6.   Since the Program is intended for distribution only as shareware, you
  55.      shall not charge any fee or other compensation for the Program,
  56.      although you may charge a distribution fee for costs associated with
  57.      distributing the Program.  You are permitted, and encouraged, to make
  58.      and distribute copies of the Program to your friends, family members
  59.      and co-workers without charge, for your and their private
  60.      noncommercial use, in compliance with the terms and conditions
  61.      hereof.

  63. 7.   In accordance with the "try-before-you-buy" philosophy behind the
  64.      shareware concept, POW strongly discourages charging users or
  65.      recipients more than $7.00 (U.S.) for distribution of the Program (or
  66.      any elements thereof).  If you charge more than $7.00 for
  67.      distribution of the Program or any elements thereof (inclusive of all
  68.      fees, costs, expenses and other charges, including without limitation
  69.      charges for copying, shipping, postage and handling, but not
  70.      including sales taxes), then you shall pay POW a royalty equal to
  71.      fifty percent (50%) of the excess of such charges above $7.00 with
  72.      respect to each individual user or recipient.  (By way of
  73.      illustration and not limitation, if you distribute the Program at a
  74.      charge of $8.00 for disks and $4.00 for shipping and handling (for a
  75.      total of $12.00), you shall pay POW a royalty of $2.50 with respect
  76.      to each user or recipient.)  In the event that such a royalty is
  77.      payable to POW, you shall provide POW with quarterly statements of
  78.      account setting forth the royalty owed in reasonable detail,
  79.      accompanied by payment thereof; and POW or its designee shall have
  80.      the right to inspect and audit your books and records from time to
  81.      time to verify the amounts of the royalties due POW hereunder.

  83. 8.   You may not remove or alter any copyright or trademark information
  84.      on the Program, and you must take reasonable steps to protect the
  85.      copyrights, trademarks and other rights of POW in the Program.
  86.  
  87. 9.   You recognize that your right to distribute the Program is
  88.      nonexclusive and that POW can terminate the license granted to you
  89.      hereunder at any time for any reason upon written notice.  POW
  90.      reserves the right to withhold or withdraw permission to distribute
  91.      the Program from anyone at any time for any reason.  The provisions
  92.      of paragraphs 4, 7, 13, 16, 17, 20, 21 and 22 hereof shall survive
  93.      any expiration or termination of this Agreement.

  95. 10.  You shall take reasonable steps to ensure that the Program and any
  96.      other software, documentation and other materials distributed with
  97.      the Program are free from viruses.
  98.  
  99. 11.  This is the current version of the Program and all previous versions
  100.      of this Program have been withdrawn from distribution.  You shall use
  101.      reasonable efforts to distribute only the latest version of the
  102.      Program.  If you have a question about this, please contact POW to

  104.      website on the Internet,

  107. 12.  Your limited right to distribute under this Software License
  108.      Agreement is personal and does not include any right of sublicense.
  109.  
  110. 13.  You may not use, copy, modify, distribute or transfer the Program
  111.      or any element thereof in whole or in part, except as expressly
  112.      provided for herein.
  113.  
  114. 14.  You may not "rent" or "lease" the Program to anyone.
  115.  
  116. 15.  Any permission, consent or approval of POW referred to herein may
  117.      be granted or withheld in POW's sole discretion (and, unless
  118.      expressly granted in writing, shall be deemed to be withheld).
  119.  
  120. 16.  DISCLAIMER OF WARRANTY AND LIMITATION OF
  121.      LIABILITY:
  122.  
  123.      THIS PROGRAM IS PROVIDED "AS IS".  POW PRODUCTIONS,
  124.      MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND,
  125.      EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THIS
  126.      PROGRAM OR ANY FILES, DOCUMENTATION OR ELEMENTS
  127.      THEREOF OR RELATING THERETO OR ANY MEDIUM THE
  128.      PROGRAM MAY BE ON (INCLUDING, WITHOUT LIMITATION,
  129.      ANY WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR A
  130.      PARTICULAR PURPOSE OR OF QUALITY OR PERFORMANCE).

  132.      SUBJECT TO ANY CONTRARY PROVISIONS OF APPLICABLE
  133.      LAW, IN NO EVENT WILL POW PRODUCTIONS BE LIABLE
  134.      FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL,
  135.      CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM
  136.      THE USE OF OR INABILITY TO USE THE PROGRAM OR ANY
  137.      FILES, DOCUMENTATION OR ELEMENTS THEREOF,
  138.      INCLUDING FROM NEGLIGENCE, STRICT LIABILITY, OR
  139.      BREACH OF WARRANTY OR CONTRACT, EVEN IF POW   
  140.      PRODUCTIONS IS ADVISED OF THE POSSIBILITY OF SUCH
  141.      DAMAGES.  IN PARTICULAR, POW PRODUCTIONS IS NOT
  142.      RESPONSIBLE FOR ANY COSTS OR EXPENSES, INCLUDING
  143.      BUT NOT LIMITED TO THOSE INCURRED AS A RESULT OF
  144.      LOST PROFITS OR REVENUE, LOSS OF USE OF COMPUTER
  145.      PROGRAMS, LOSS OF DATA, THE COST OF A SUBSTITUTE
  146.      PROGRAM, OR CLAIMS BY THIRD PARTIES.
  147.      IN NO EVENT SHALL THE LIABILITY OF POW PRODUCTIONS
  148.      FOR ANY DAMAGES EVER EXCEED THE PRICE PAID FOR THE
  149.      LICENSE TO USE THE PROGRAM, REGARDLESS OF THE FORM
  150.      OF CLAIM.  THE USER OF THE PROGRAM BEARS ALL RISK
  151.      AS TO THE QUALITY AND PERFORMANCE OF THE PROGRAM
  152.      AND ALL OTHER RISKS RELATING TO THE USE OF OR
  153.      INABILITY TO USE THE PROGRAM.  BECAUSE SOFTWARE IS
  154.      INHERENTLY COMPLEX AND MAY NOT BE COMPLETELY FREE
  155.      OF ERRORS, ALL USERS ARE ADVISED TO VERIFY THEIR
  156.      WORK AND TO MAKE BACK-UP COPIES.

  158. 17.  This Software License Agreement shall be governed by and
  159.      construed in accordance with the internal laws of the United
  160.      Kingdom applicable to agreements entered into and wholly
  161.      to be performed therein, without reference to conflicts of
  162.      laws. It shall inure to the benefit of Pow Productions and its
  163.      successors and assigns.  With respect to every matter arising
  164.      under this Software License Agreement, you consent to the
  165.      jurisdiction and venue of the courts located in the United
  166.      Kingdom, and to service by registered mail, return receipt
  167.      requested, or as otherwise permitted by law.
  168.  
  169. 18.  POW reserves the right to update the contents of the Program and/or
  170.      its associated files, documentation and/or other elements, at its
  171.      discretion from time to time, without the consent of, or any
  172.      obligation to, any licensed users or distributors.
  173.  
  174. 19.  All rights not expressly granted herein are reserved by Pow 
  175.      Productions.
  176.  
  177. 20.  In the event of any violation of this Agreement or failure to comply
  178.      with any of the terms and conditions set forth herein, or any other
  179.      violation or infringement of any of POW's rights, POW shall have
  180.      available all rights and remedies at law and in equity.  Without
  181.      limiting the foregoing, in the event of any such violation or failure
  182.      to comply, then in addition to its other rights and remedies, if POW
  183.      so elects POW shall have the right to seek damages of not less than
  184.      the full registration fee for the registered version of the software
  185.      program with the same name as the Program, with respect to each copy
  186.      of the Program distributed or copied and/or each user or recipient to
  187.      whom the Program was distributed.  (By way of illustration and not
  188.      limitation, if the registration fee for the registered version is
  189.      $50.00 and distribution to 1,000 persons was made in violation of
  190.      this Agreement, then if POW so elects POW shall have the right to
  191.      seek damages of not less than $50,000 under the provisions of this
  192.      paragraph, in addition to its other rights and remedies at law or in
  193.      equity.)

  195. 21.  You will hold POW, its officers, directors, employees, contractors,
  196.      attorneys, and agents, harmless from and against any and all claims,
  197.      actions, damages, losses, liabilities, costs and expenses (including
  198.      reasonable attorney's fees) arising directly or indirectly from your
  199.      acts and omissions in copying and distributing the Program (including
  200.      without limitation from any installation routine that you may add).

  202. 22.  If any provision of this Agreement is held to be void, invalid or
  203.      unenforceable, it will not affect the validity of the balance of this
  204.      Agreement, which shall remain valid and enforceable according to its
  205.      terms and conditions.

  208. In addition to the above General Terms and Conditions, the following
  209. special provisions apply to the types of distribution set forth below:
  210.  
  211. Distribution by BBS's and Online Services:
  212.  
  213. POW allows and encourages bulletin board systems and online services to
  214. distribute the Program by modem as long as the General Terms and
  215. Conditions set forth above are complied with.
  216.  
  217. Distribution of the Program By Itself on Floppy Disk in non-retail
  218. environment:
  219.  
  220. Shareware vendors may distribute the Program alone on one or more floppy
  221. disk(s) as long as the General Terms and Conditions set forth above are
  222. complied with, and provided that other than installation routines which do
  223. not interfere with the proper operation or installation of the Program, no
  224. other programs or files are included on the floppy disk(s) that contain
  225. this Program (i.e., there is no bundling or multi-program disks or packs).
  226.  
  227. Distribution of the Program on CD-ROM's
  228.  
  229. Shareware vendors may not distribute this program on CD-Rom without
  230. obtaining explicit written permission from POW Productions.
  231.  
  232. Distribution in a Retail Environment:
  233.  
  234. Shareware vendors may not distribute this program in a retail
  235. environment (in stores or otherwise) without obtaining explicit written
  236. permission from POW Productions.
  237.  
  238. Distribution via Subscriptions, "Disk-of-the-Month", Magazine "Cover
  239. Disks" and "Cover CD's":
  240.  
  241. Any party wishing to distribute this Program via subscriptions,
  242. "disk-of-the- month", magazine "cover disks" and/or "cover CD's" must
  243. obtain POW's written permission, in addition to complying with the General
  244. Terms and Conditions set forth above and other applicable terms and
  245. conditions.  Please contact us and we'll be glad to consider granting
  246. permission to you in appropriate cases.
  247.  
  248. Bundling with Hardware:
  249.  
  250. You may bundle this Program with new hardware (computers, sound cards,
  251. etc.) as long as you comply with the General Terms and Conditions set
  252. forth above, and as long as you provide the Program free of charge (i.e.,
  253. at no cost in addition to the hardware) to the purchaser when the hardware
  254. is purchased.
  255.  
  256. We would appreciate it if you could let us know if you bundle the Program
  257. with hardware.  If you'd like more information about OEM and hardware
  258. bundling opportunities, please contact us!  We greatly appreciate the
  259. opportunity to work with hardware manufacturers and resellers.

  261. Other Distribution Opportunities:
  262.  
  263. Please contact us if you would like to distribute POW shareware products
  264. in a new and unique way.  We are open to new opportunities, and we
  265. appreciate new and unique forms of distribution as a way of reaching new
  266. customers.
