-
- I thought about buying WANB last year, because I've been
- programming in COBOL on the Wang VS since I got out of school.
- Then a co-worker said Wang has the rights to the SIMMS chip,
- so I bought 500 shares @ 7/16 = $218.75. When I got my statement
- and saw the commission ($38), I decided to buy another 2000 shares
- @ 1/2 (same commission). (It turns out Wang only made $7.5 million
- from royalties & patent infringements in '91-'92).
-
- from the 1992 Annual Report:
-
- Note G--Stockholders' Equity
-
- Class B and Class C Common Stock: The Company's authorized
- common stock consists of 230,000,000 shares of Class B common
- stock, par value $.50 per share, and 10,000,000 shares of
- Class C common stock, par value $.50 per share.
-
- The Class B common stock receives an additional dividend of
- $.0125 per share per quarter over cash dividends paid on the
- Company's Class C common stock (dividend payments were suspended<=========
- in August, 1989), elects 25% of the Board of Directors, and
- casts 1/10 of a vote per share on substantially all other matters.
- The Class C common stock elects the remaining directors and casts
- a full vote per share on substantially all other matters. Each
- share of Class C common stock is convertible, at the option of the
- holder thereof, into one share of Class B common stock. In other
- respects, the Class B common stock is identical to the Class C
- common stock.
-
- and:
-
- At October 31, 1992, the approximate number of record holders
- of each class of the Company's common stock was:
-
- Class B.................56,100
- Class C..................2,000
