  2.                          SOFTWARE LICENSE AGREEMENT

  4. Please read this entire agreement.

  6. LICENSE:
  7. * This Limited Use Software License Agreement (the "Agreement") is a legal 
  8. agreement between you ("Licensee"), the end-user, and Headlight Software, Inc 
  9. ("Headlight").  By using this software or storing this program on a computer 
  10. hard drive (or other media), you are agreeing to be bound by the terms of this 
  11. Agreement.  If you do not agree to the terms of this Agreement, and you have 
  12. registered this software, promptly return the software and the accompanying 
  13. items (including any written materials), along with your receipt for a full 
  14. refund; or delete the software from all storage media. 
  15.  
  16. * You may install this program to test and evaluate for 30 days; after that 
  17. time you must either purchase this program or delete it from your computer 
  18. hard drive.
  19.  
  20. * This software may be distributed freely on online services, bulletin 
  21. boards, or other electronic media as long as the files are distributed 
  22. in their entirety.  This software may not be distributed on CD-ROM, disk, or 
  23. other physical media for a fee without the permission of Headlight 
  24. Software, Inc.
  25.  
  26. * You may not alter this software in any way, including changing or removing 
  27. any messages or windows.  
  28.  
  29. * You may not decompile, reverse engineer, disassemble or otherwise reduce 
  30. this software to a human perceivable form.  You may not modify, rent or resell 
  31. for profit this software, or create derivative works based upon this software.  
  32. You may not publicize or distribute any registration code algorithms, 
  33. information, or registration codes used by this software without permission 
  34. of Headlight Software, Inc.

  36. COPYRIGHT:
  37. * GetRight is Copyright Headlight Software, Inc.  You must treat the Software 
  38. like any other copyrighted material.

  41. THE SOFTWARE IS PROVIDED TO LICENSEE "AS IS". ALL EXPRESS OR IMPLIED CONDITIONS, 
  42. REPRESENTATIONS, AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF 
  43. MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, 
  44. OR NON-INFRINGEMENT, ARE DISCLAIMED, EXCEPT TO THE EXTENT THAT SUCH DISCLAIMERS 
  45. ARE HELD TO BE LEGALLY INVALID.

  47. THIS SOFTWARE IS NOT FAULT TOLERANT AND SHOULD NOT BE USED IN ANY ENVIRONMENT 
  48. WHICH REQUIRES THIS, SUCH AS ON-LINE CONTROL OF AIRCRAFT.

  50. TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, HEADLIGHT'S AGGREGATE LIABILITY 
  51. TO LICENSEE OR TO ANY THIRD PARTY FOR CLAIMS RELATING TO THIS AGREEMENT, WHETHER 
  52. FOR BREACH OR IN TORT, WILL BE LIMITED TO THE FEES PAID BY LICENSEE FOR SOFTWARE 
  53. WHICH IS THE SUBJECT MATTER OF THE CLAIMS. IN NO EVENT WILL HEADLIGHT BE LIABLE 
  54. FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGE IN 
  55. CONNECTION WITH OR ARISING OUT OF THIS AGREEMENT (INCLUDING LOSS OF BUSINESS, 
  56. REVENUE, PROFITS, USE, DATA OR OTHER ECONOMIC ADVANTAGE), HOWEVER IT ARISES, 
  57. WHETHER FOR BREACH OR IN TORT, EVEN IF HEADLIGHT HAS BEEN PREVIOUSLY ADVISED OF 
  58. THE POSSIBILITY OF SUCH DAMAGE. LIABILITY FOR DAMAGES WILL BE LIMITED AND EXCLUDED, 
  59. EVEN IF ANY EXCLUSIVE REMEDY PROVIDED FOR IN THIS AGREEMENT FAILS OF ITS ESSENTIAL 
  60. PURPOSE.

  63. END-USER LICENSE AGREEMENT FOR ADSOFTWAREIMPORTANT-READ CAREFULLY
  64. This License Agreement is a legal agreement between you (either an individual or 
  65. a single entity) and Aureate Media Corporation ("Aureate Media") for use of the 
  66. AdSoftware System, which includes computer software and may include associated 
  67. media, printed materials, and "online" or electronic documentation ("SOFTWARE 
  68. PRODUCT, this software"). "SOFTWARE PRODUCT" also includes, and this Agreement 
  69. also governs, any later release or update of the AdSoftware System which Aureate 
  70. Media makes generally available without additional charge of licenses or your 
  71. release or the SOFTWARE PRODUCT, and any copy of the SOFTWARE PRODUCT made in 
  72. accordance with this Agreement. By downloading, installing, copying, or otherwise 
  73. using the SOFTWARE PRODUCT, you agree to be bound by the terms of this License 
  74. Agreement. IF YOU DO NOT AGREE TO THE TERMS OF THIS LINCENSE AGREEMENT, ABORT THE 
  75. INSTALLATION AND REMOVE THIS AND RELATED SOFTWARE FROM YOUR COMPUTER SYSTEM 
  76. IMMEDIATELY.
  77. The SOFTWARE PRODUCT is protected by copyright laws and international copyright 
  78. treaties, as well as other intellectual property laws and treaties.
  79. This SOFTWARE PRODUCT is "advertiser supported software," meaning that some or 
  80. all of the costs associated with the development and distribution of this SOFTWARE 
  81. PRODUCT is recuperated through the use of advertisements displayed in the software 
  82. product.  These advertisements are delivered via the Internet and will be downloaded 
  83. from the servers of Aureate Media or their subcontractors, partners, or other 
  84. authorized parties.  By using this software, you agree that you understand that 
  85. this software will connect to the Internet UBIQUITOUSLY to download advertisement 
  86. and/or to provide software updates.  You also accept responsibility for any network 
  87. usage costs or any other costs incurred by using this software.
  88. All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to 
  89. any images, documentation, media, online documentation, text, and "web integration" 
  90. incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and 
  91. any copies of the SOFTWARE PRODUCT are owned by Aureate Media or its authorized 
  92. agents. As a licensee, you own the media on which the SOFTWARE PRODUCT is 
  93. recorded, but Aureate Media and all Third Party Suppliers retain title and 
  94. ownership to the SOFTWARE PRODUCT recorded on the media and all copyright and other 
  95. intellectual property rights therein. This license is not a sale of the software 
  96. or any copy. Except as may be required under applicable law, you agree not to alter, 
  97. decompile, disassemble, or reverse engineer the SOFTWARE PRODUCT, in whole or in part, 
  98. whether for error correction or otherwise. The SOFTWARE PRODUCT is protected by 
  99. copyright laws and international treaty provisions. 
  100. You agree not to alter, remove or obscure any copyright notices or other proprietary 
  101. notices on and in the software. 
  102. LIMITED WARRANTY
  103. NO WARRANTIES.  - Aureate Media  EXPRESSLY DISCLAIMS ANY WARRANTY for the SOFTWARE 
  104. PRODUCT. The SOFTWARE PRODUCT and any related documentation is provided "as is" without 
  105. warranty of any kind, either express or implied, including, without limitation, the 
  106. implied warranties or merchantability, fitness for a particular purpose, or noninfringement. 
  107. The entire risk arising out of use or performance of the SOFTWARE PRODUCT remains with you.
  108. NO LIABILITY FOR DAMAGES. In no event shall Aureate Media or its suppliers be liable for 
  109. any damages whatsoever (including, without limitation, damages for loss of business 
  110. profits, business interruption, loss of business information, or any other pecuniary loss) 
  111. arising out of the use of or inability to use this SOFTWARE PRODUCT, EVEN IF AUREATE 
  112. MEDIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
