  2. SOFTWARE LICENSE AGREEMENT
  3.  
  4. IMPORTANT:  PLEASE READ THIS AGREEMENT CAREFULLY BEFORE 
  5. OPENING THE ACCOMPANYING SOFTWARE (THE "SOFTWARE") PACKAGE
  6. OR CONTINUING WITH THE INSTALLATION PROCESS OF THE 
  7. SOFTWARE.  BY CLICKING ON THE "YES" BUTTON, OR 
  8. BY OPENING THE SOFTWARE PACKAGE, YOU AGREE TO BE BOUND BY 
  9. THE TERMS OF THIS AGREEMENT.  IF YOU DO NOT AGREE TO THE 
  10. TERMS OF THIS AGREEMENT, CLICK THE "NO" BUTTON 
  11. TO TERMINATE THE INSTALLATION PROCESS OR PROMPTLY RETURN 
  12. THE UNOPENED PACKAGE AND THE REST OF THE PRODUCT TO YOUR 
  13. SUPPLIER FOR A FULL REFUND.

  16. 1.    License.  If you have purchased a license to the Software, 
  17. Net Nanny Ltd. ("Net Nanny") grants you a non-exclusive 
  18. right and license to use the Software and the related 
  19. documentation (the "Documentation") as set forth in this 
  20. Agreement.  You may use the Software on a single computer.  
  21. You may also use the Software on a second (portable or home) 
  22. computer so long as only one copy is used at a time. You may 
  23. make a single copy of the Software for backup and archival purposes
  24. only provided that any copy must contain all proprietary notices 
  25. included in the original.  You may use the Documentation to assist 
  26. in your use of the Software.  If you download the Software without 
  27. physical delivery of Documentation, you may review the 
  28. Documentation online, but you may not make further copies of 
  29. the Documentation.  You own the media on which the Software 
  30. is recorded, but not the Software itself or any copy of it.  
  31. This license is not a sale of the original or any copy of the 
  32. Software.
  33.  
  34.     If you have obtained an evaluation copy of the Software, and 
  35. have not purchased a license to the Software, Net Nanny 
  36. grants you a 30-day non-exclusive license to use the Software 
  37. free of charge for the purpose of evaluating whether you wish 
  38. to purchase an ongoing license for the Software.  WARNING:  
  39. Evaluation copies of the Software will become non-functional 
  40. thirty (30) days following initial installation in your 
  41. computer.  Net Nanny disclaims all liability and 
  42. responsibility for any loss of data or other information 
  43. which may occur as a result thereof.

  46. 2.    Copying, Transferring or Modifying Software.  The Software 
  47. contains copyrighted material, trade secrets and other 
  48. proprietary intellectual property.  You may not permit 
  49. concurrent use of the Software unless each user has an 
  50. applicable license.  You may not permit other individuals to 
  51. use the Software except under the terms listed above.  You 
  52. may not decompile, disassemble, reverse-engineer or otherwise 
  53. display the Software in human-readable form.  You may not 
  54. modify, translate, rent, lease, distribute or lend the 
  55. Software, and you may not sell to others the right to use the 
  56. Software on your computer.  You may not remove any 
  57. proprietary notices or labels on the Software.  You may not 
  58. copy, transfer, transmit, sublicense or assign this license 
  59. or the Software except as expressly permitted in this 
  60. Agreement.  You agree that the terms of this paragraph apply 
  61. to the Software or any portion thereof, whether owned by 
  62. Net Nanny or Net Nanny licensors, including without 
  63. limitation Net Nanny Software International Incorporated.

  66. 3.    Net Nanny Ltd. assumes no responsibility or Liability for the
  67. lists supplied with this version of Net Nanny.
  68.  
  69. These lists are supplied as a customer service by Net Nanny Ltd.
  70. By using this version, the user of this software assumes all
  71. Liability for this database and absolves Net Nanny of any Liability
  72. while using this software or database.
  73.

  75. 4.    Term.  If you have purchased a license to the Software, this 
  76. Agreement and license are effective from the time you accept 
  77. the terms of this Agreement until this Agreement is 
  78. terminated.  You may terminate this Agreement at any time by 
  79. destroying all copies of the Software.  This Agreement will 
  80. terminate immediately and without further notice if you fail 
  81. to comply with any provision of this Agreement.  All 
  82. obligations of confidentiality and restrictions on use, and 
  83. all other provisions that may reasonably be interpreted to 
  84. survive termination of this Agreement, will survive 
  85. termination of this Agreement for any reason.  Upon 
  86. termination, you agree to destroy all copies of the Software.

  88.     If you have obtained an evaluation copy of the Software, and 
  89. have not purchased a license to the Software, this Agreement 
  90. and license are effective for a period of 30 days from the 
  91. date of installation of the Software.

  94. 5.    Limited Warranty.  If you have purchased a license to the 
  95. Software, if the Software is delivered using a computer 
  96. storage media such as a CD ROM or diskette, Net Nanny
  97. warrants that the media on which the Software is furnished 
  98. will be free from defects in materials and workmanship under 
  99. normal use for ninety (90) days from the date you received 
  100. the Software, as shown by your receipt.  This warranty is 
  101. limited to you and is not transferable.  This warranty does 
  102. not cover damage caused by improper use or neglect.  
  103. Net Nanny's entire liability and your exclusive remedy shall 
  104. be, at Net Nanny's option (i) to replace the defective media; 
  105. (ii) to advise you how to achieve substantially the same 
  106. functionality with the Software as described in the 
  107. Documentation through a procedure different from that set 
  108. forth in the Documentation; or (iii) to refund the license 
  109. fee you paid for the Software.

  111.     If you have obtained an evaluation copy of the Software, and 
  112. have not purchased a license to the Software, Net Nanny 
  113. makes no warranties of any kind with respect to the media (if 
  114. any) on which the Software is furnished, and such media is 
  115. provided "as is" and without warranties of any kind.

  118. 6.    Warranty Disclaimers.  THE SOFTWARE, THE DOCUMENTATION AND 
  119. (EXCEPT AS PROVIDED IN SECTION 6) THE MEDIA UPON WHICH THE 
  120. SOFTWARE IS RECORDED (IF ANY) ARE PROVIDED "AS IS" AND 
  121. WITHOUT WARRANTIES OF ANY KIND, EXPRESS, STATUTORY OR 
  122. IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED 
  123. WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR 
  124. PURPOSE.  The entire risk as to the quality and performance 
  125. of the Software and the Documentation is with you.  Should 
  126. the Software or the Documentation prove defective, you (and 
  127. not Net Nanny or its distributors, licensors or dealers) 
  128. assume the entire cost of all necessary servicing or repair.
  129.  
  130.     Net Nanny does not warrant that the functions contained in 
  131. the Software will meet your requirements or operate in the 
  132. combination that you may select for use, that the operation 
  133. of the Software will be uninterrupted or error free, or that 
  134. defects in the Software will be corrected.  No oral or 
  135. written statement by Net Nanny or by a representative of 
  136. Net Nanny shall create a warranty or increase the scope of 
  137. this warranty.

  139. Net Nanny DOES NOT WARRANT THE SOFTWARE AGAINST INFRINGEMENT 
  140. OR THE LIKE WITH RESPECT TO ANY COPYRIGHT, PATENT, TRADE 
  141. SECRET, TRADEMARK OR OTHER PROPRIETARY RIGHT OF ANY THIRD 
  142. PARTY AND DOES NOT WARRANT THAT THE SOFTWARE DOES NOT INCLUDE 
  143. ANY VIRUS, SOFTWARE ROUTINE OR OTHER SOFTWARE DESIGNATED TO 
  144. PERMIT UNAUTHORIZED ACCESS, TO DISABLE, ERASE OR OTHERWISE 
  145. HARM SOFTWARE, HARDWARE OR DATA, OR TO PERFORM ANY OTHER SUCH 
  146. ACTIONS.

  148.     Any warranties that by law survive the foregoing disclaimers 
  149. shall terminate ninety (90) days from the date you received 
  150. the Software as shown by your receipt.

  153. 7.    Limitation of Liability.  YOUR SOLE REMEDIES AND Net Nanny's 
  154. ENTIRE LIABILITY ARE SET FORTH ABOVE.  IN NO EVENT WILL 
  155. Net Nanny OR ITS DISTRIBUTORS OR DEALERS BY LIABLE FOR 
  156. DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES 
  157. RESULTING FROM THE USE OF THE SOFTWARE, THE INABILITY TO USE 
  158. THE SOFTWARE, OR ANY DEFECT IN THE SOFTWARE, INCLUDING ANY 
  159. LOST PROFITS, EVEN IF THEY HAVE BEEN ADVISED OF THE 
  160. POSSIBILITY OF SUCH DAMAGE.

  162.     You agree that Net Nanny and its distributors and dealers 
  163. will not be liable for defense or indemnity with respect to 
  164. any claim against you by any third party arising from your 
  165. possession or use of the Software or the Documentation.
  166.  
  167.     In no event will Net Nanny's total liability to you for all 
  168. damages, losses, and causes of action (whether in contract, 
  169. tort, including negligence, or otherwise) exceed the amount 
  170. you paid for this product.
  171.  
  172. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED 
  173. WARRANTY LASTS, AND SOME STATES DO NOT ALLOW THE EXCLUSION OR 
  174. LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE 
  175. ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.  THIS 
  176. WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO 
  177. HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE.

  179. 8.    High Risk Activities.  The Software is not fault-tolerant and 
  180. is not designed, manufactured or intended for use or resale 
  181. as online equipment control equipment in hazardous 
  182. environments requiring fail-safe performance, such as in the 
  183. operation of nuclear facilities, aircraft navigation or 
  184. communication systems, air traffic control, direct life 
  185. support machines, or weapons systems, in which the failure of 
  186. the Software could lead directly to death, personal injury, 
  187. or severe physical or environmental damage.  Net Nanny and 
  188. its suppliers specifically disclaim any express or implied 
  189. warranty of fitness for any high risk uses listed above.

  191. 9.    The Software (i) was developed at private expense, and no 
  192. part of it was developed with governmental funds; (ii) is a 
  193. trade secret of Net Nanny (or its licensor(s)) for all 
  194. purposes of the Freedom of Information Act; (iii) is 
  195. "restricted computer software" subject to limited utilization 
  196. as provided in the contract between the vendor and the 
  197. governmental entity; and (iv) in all respects is proprietary 
  198. data belonging solely to Net Nanny (or its licensor(s)).

  201. 10.    Governing Law and Interpretation.  This Agreement shall be 
  202. interpreted under and governed by the laws of the Province of
  203. British Columbia, without regard to its rules governing the 
  204. conflict of laws.  If any provision of this Agreement is held 
  205. illegal or unenforceable by a court or tribunal of competent 
  206. jurisdiction, the remaining provisions of this Agreement 
  207. shall remain in effect and the invalid provision deemed 
  208. modified to the least degree necessary to remedy such 
  209. invalidity.

  212. 11.    Entire Agreement.  This Agreement is the complete agreement 
  213. between Net Nanny and you and supersedes all prior 
  214. agreements, oral or written, with respect to the subject 
  215. matter hereof.
