  37.         NOTICE TO USERS: CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT. USE OF 
  38.         THE SOFTWARE PROVIDED WITH THIS AGREEMENT (THE "SOFTWARE") CONSTITUTES 
  39.         YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE TO THE TERMS OF THIS 
  40.         AGREEMENT, DO NOT INSTALL AND/OR USE THIS SOFTWARE. USER'S USE OF THIS 
  41.         SOFTWARE IS CONDITIONED UPON COMPLIANCE BY USER WITH THE TERMS OF THIS

  44.         <b>General Grant of License</b></p>

  46.         LICENSE GRANT. WebGrip, Inc. , a Washington State Corporation (licensed 
  47.         under the Washington State Dept of Corporations), grants you a license 
  48.         to use one copy of the version of this SOFTWARE on any one hardware product 
  49.         for as many licenses as you purchase. "You" means the company, 
  50.         entity or individual whose funds are used to pay the license fee. "Use" 
  51.         means storing, loading, installing, executing or displaying the SOFTWARE. 
  52.         You may not modify the SOFTWARE or disable any licensing or control features 
  53.         of the SOFTWARE except as an intended part of the SOFTWARE's programming 
  54.         features. When you first obtain a copy of the SOFTWARE, you are granted 
  55.         an evaluation period of not more than 14 days, after which time you must 
  56.         pay for the SOFTWARE according to the terms and prices discussed in the 
  57.         SOFTWARE's documentation, or you must remove the SOFTWARE from your computer. 
  58.         This license is not transferable to any other hardware product or other 
  59.         company, entity, or individual. <br>

  61.       <p><b>Statement of Ownership</b><br>

  63.       <p>OWNERSHIP. The SOFTWARE is owned and copyrighted by WebGrip, Inc. , a 
  64.         Washington State Corporation (licensed under the Washington State Dept 
  65.         of Corporations),. Your license confers no title or ownership in the SOFTWARE 
  66.         and should not be construed as a sale of any right in the SOFTWARE. <br>
  67.       </p>
  68.       <p><b>Statement of Copyright Rights</b><br>
  69.       </p>
  70.       <p>The SOFTWARE is protected by United States copyright law and international 
  71.         treaty provisions. You acknowledge that no title to the intellectual property 
  72.         in the SOFTWARE is transferred to you. You further acknowledge that title 
  73.         and full ownership rights to the SOFTWARE will remain the exclusive property 
  74.         of WebGrip, Inc. , a Washington State Corporation (licensed under the 
  75.         Washington State Dept of Corporations), and you will not acquire any rights 
  76.         to the SOFTWARE except as expressly set forth in this license. You agree 
  77.         that any copies of the SOFTWARE will contain the same proprietary notices 
  78.         which appear on and in the SOFTWARE. </p>

  80.         <b>Reverse Engineering </b></p>
  81.       <p><br>
  82.         You agree that you will not attempt to reverse compile, modify, translate, 
  83.         or disassemble the SOFTWARE in whole or in part.</p>

  85.         UNAUTHORIZED USE. You may not use, copy, rent, lease, sell, modify, decompile, 
  86.         disassemble, otherwise reverse engineer, or transfer the SOFTWARE except 
  87.         as provided in this agreement. Any such unauthorized use shall result 
  88.         in immediate and automatic termination of this license. <br>

  90.       <p><b>Bundling Statement</b><br>
  91.       </p>
  92.       <p>In no case may this product be bundled with hardware or other non-shareware 
  93.         software without written permission from WebGrip, Inc.</p>

  95.         All distribution of SOFTWARE is further restricted with regard to sources 
  96.         which also distribute virus source code and related virus construction/creation 
  97.         materials. The SOFTWARE may not be made available on any site, CD-ROM, 
  98.         or with any package which makes available or contains viruses, virus source 
  99.         code, virus construction programs, or virus creation material. <br>
  100.       </p>
  101.       <p>Permission to distribute the SOFTWARE is not transferable, assignable, 
  102.         saleable, or franchisable. Each entity wishing to distribute the package 
  103.         must independently satisfy the terms of the distribution license. <br>

  105.       <p>You agree that the SOFTWARE will not be shipped, transferred or exported 
  106.         into any country or used in any manner prohibited by the United States 
  107.         Export Administration Act or any other export laws, restrictions or regulations.

  124.         EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES 
  125.         OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT 
  126.         OF THIRD PARTY RIGHTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF 
  127.         IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY

  152.         SEVERABILITY. In the event of invalidity of any provision of this license, 
  153.         the parties agree that such invalidity shall not affect the validity of

  155.         Liability Statement<br>
  156.         NO LIABILITY FOR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL WebGrip, Inc. 
  157.         , a Washington State Corporation (licensed under the Washington State 
  158.         Dept of Corporations), OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, 
  159.         SPECIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE 
  160.         DELIVERY, PERFORMANCE OR USE OF THE SOFTWARE, EVEN IF WebGrip, Inc. , 
  161.         a Washington State Corporation (licensed under the Washington State Dept 
  162.         of Corporations), HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 
  163.         IN NO EVENT WILL [COMPANY'S] LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, 
  164.         TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED THE LICENSE FEE PAID BY

  166.         Governing Law<br>
  167.         GOVERNING LAW. This agreement shall be governed by the laws of the State 
  168.         of Washington State excluding the application of its conflicts of law 
  169.         rules and shall inure to the benefit of WebGrip, Inc. , a Washington State 
  170.         Corporation (licensed under the Washington State Dept of Corporations), 
  171.         and any successors, administrators, heirs and assigns. Any action or proceeding 
  172.         brought by either party against the other arising out of or related to 
  173.         this agreement shall be brought only in a STATE or FEDERAL COURT of competent 
  174.         jurisdiction located in Los Angeles County, Washington State. The parties 
  175.         hereby consent to in personam jurisdiction of said courts. This agreement 
  176.         will not be governed by the United Nations Convention on Contracts for 
  177.         the International Sale of Goods, the application of which is expressly 
  178.         excluded. <br>
  179.         Inspection and Testing Statement<br>
  180.         INSPECTION AND TESTING. You agree and acknowledge that you will thoroughly 
  181.         inspect and test the SOFTWARE for all of your purposes upon commencement 
  182.         of your use. Any suit or other legal action, claim or any arbitration 
  183.         relating in any way to this agreement or software covered by it must be 
  184.         officially filed or officially commenced no later than 90 days after your 
  185.         first use of the software. <br>
  186.         Entire Agreement Statement<br>
  187.         ENTIRE AGREEMENT. This is the entire agreement between you and WebGrip, 
  188.         Inc. , a Washington State Corporation (licensed under the Washington State 
  189.         Dept of Corporations), which supersedes any prior agreement or understanding, 
  190.         whether written or oral, relating to the subject matter of this license.

  192.         Reserved Rights Statement<br>
  193.         RESERVED RIGHTS. All rights not expressly granted here are reserved to 
  194.         WebGrip, Inc. , a Washington State Corporation (licensed under the Washington
