  1.    END-USER LICENSE AGREEMENT FOR QSOUND LABS IQ SOFTWARE

  3. IMPORTANT-READ CAREFULLY: This QSound Labs End-User  License
  4. Agreement  ("License")  is  a legal  agreement  between  you
  5. (either  an individual or a single entity) and QSound  Labs,
  6. Inc.  for the QSound Labs software product identified above,
  7. which  includes computer software and associated  media  and
  8. printed  materials, and may include "online"  or  electronic
  9. documentation  ("SOFTWARE").  By  installing,  copying,   or
  10. otherwise using the SOFTWARE, you agree to be bound  by  the
  11. terms  of this License. If you do not agree to the terms  of
  12. this  License,  promptly return the unused SOFTWARE  to  the
  13. place  from which you obtained it for a full refund (if  the
  14. SOFTWARE is not a demo) of the purchase price.

  16. SOFTWARE LICENSE
  17.  
  18. The   SOFTWARE   is   protected  by   copyright   laws   and
  19. international   copyright  treaties,  as   well   as   other
  20. intellectual  property laws and treaties.  The  SOFTWARE  is
  21. licensed, not sold or otherwise transferred.
  22.  
  23. 1.   GRANT OF LICENSE. This License grants you the following
  24. rights:
  25.  
  26.      a.   You  may  use one copy of the QSound Labs Software
  27.           Product identified above on a single computer. The
  28.           SOFTWARE  is  in "use" on a computer  when  it  is
  29.           loaded  into  temporary  memory  (i.e.,  RAM)   or
  30.           installed into permanent memory (e.g., hard  disk,
  31.           CD-ROM, or other storage device) of that computer.
  32.           However, installation on a network server for  the
  33.           sole  purpose of internal distribution to  one  or
  34.           more  other computer(s) shall not constitute "use"
  35.           for which a separate license is required, provided
  36.           you  have a separate license for each computer  to
  37.           which the SOFTWARE is distributed.
  38.  
  39.      b.   Solely   with  respect  to  electronic   documents
  40.           included  with  the  SOFTWARE,  you  may  make  an
  41.           unlimited number of copies (either in hardcopy  or
  42.           electronic form), provided that such copies  shall
  43.           be  used  only for internal purposes and  are  not
  44.           republished or distributed to any third party.

  46. 2.   UPGRADES.  If the SOFTWARE is an upgrade, whether  from
  47.      QSound  Labs  or  another  supplier,  you  may  use  or
  48.      transfer the SOFTWARE only in conjunction with upgraded
  49.      product.  If the SOFTWARE is an upgrade from  a  QSound
  50.      Labs  product,  you may now use that  upgraded  product
  51.      only in accordance with this License.

  53. 3.   COPYRIGHT.  All  title and copyrights  in  and  to  the
  54.      SOFTWARE  (including  but not limited  to  any  images,
  55.      photographs, animations, video, audio, music, text, and
  56.      "applets"   incorporated  into   the   SOFTWARE),   the
  57.      accompanying printed materials, and any copies  of  the
  58.      SOFTWARE are owned by QSound Labs or its suppliers. The
  59.      SOFTWARE   is   protected   by   copyright   laws   and
  60.      international  treaty provisions. Therefore,  you  must
  61.      treat  the SOFTWARE like any other copyrighted material
  62.      except  that  you may either (a) make one copy  of  the
  63.      SOFTWARE solely for backup or archival purposes or  (b)
  64.      install the SOFTWARE on a single computer provided  you
  65.      keep   the  original  solely  for  backup  or  archival
  66.      purposes.  You  may  not  copy  the  printed  materials
  67.      accompanying the SOFTWARE.

  69. 4.   DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

  71.      a.   Limitations on Reverse Engineering, Decompilation,
  72.           and  Disassembly.  You may not  reverse  engineer,
  73.           decompile, or disassemble the SOFTWARE, except and
  74.           only to the extent that such activity is expressly
  75.           permitted  by applicable law notwithstanding  this
  76.           limitation.

  78.      b.   No  Separation  of  Components.  The  SOFTWARE  is
  79.           licensed  as  a  single product  and  neither  the
  80.           software programs comprising the SOFTWARE  or  any
  81.           UPDATE  may be separated for use by more than  one
  82.           user at a time.
  83.  
  84.      c.   Rental. You may not rent or lease the SOFTWARE.
  85.  
  86.      d.   Software  Transfer.  You may permanently  transfer
  87.           all  of  your rights under this License,  provided
  88.           that you retain no copies, you transfer all of the
  89.           SOFTWARE (including all component parts, the media
  90.           and printed materials, any upgrades, this License,
  91.           and,    if   applicable,   the   Certificate    of
  92.           Authenticity),  and the recipient  agrees  to  the
  93.           terms  of  this  License. If the  SOFTWARE  is  an
  94.           upgrade,  any  transfer  must  include  all  prior
  95.           versions  of the SOFTWARE.  If the SOFTWARE  is  a
  96.           demo, this item 4d. does not apply.

  98.      e.   Termination.  Without  prejudice  to   any   other
  99.           rights, QSound Labs may terminate this License  if
  100.           you  fail  to comply with the terms and conditions
  101.           of  this  License. In such event, you must destroy
  102.           all copies of the SOFTWARE.

  105. MISCELLANEOUS
  106.  
  107. If  you  acquired  this product in the United  States,  this
  108. License is governed by the laws of the State of California.
  109.  
  110. If  you  acquired  this product in Canada, this  License  is
  111. governed  by  the  laws of the Province of Alberta,  Canada.
  112. Each  of  the  parties  hereto irrevocably  attorns  to  the
  113. jurisdiction  of the courts of the Province of  Alberta  and
  114. further  agrees to commence any litigation which  may  arise
  115. hereunder in the courts located in the Judicial District  of
  116. Calgary, Province of Alberta.

  132. LIMITED WARRANTY
  133.  
  134. LIMITED  WARRANTY.  QSound Labs warrants that  the  SOFTWARE
  135. will   perform   substantially  in   accordance   with   the
  136. accompanying written materials for a period of  ninety  (90)
  137. days from the date of receipt. Some states and jurisdictions
  138. do not allow limitations on duration of an implied warranty,
  139. so  the above limitation may not apply to you. To the extent
  140. allowed  by  applicable  law,  implied  warranties  on   the
  141. SOFTWARE  and hardware, if any, are limited to  ninety  (90)
  142. days.
  143.  
  144. CUSTOMER  REMEDIES. QSound Labs' and its  suppliers'  entire
  145. liability  and  your exclusive remedy shall  be,  at  QSound
  146. Labs'  option, either (a) return of the price paid,  or  (b)
  147. repair  or  replacement of the SOFTWARE that does  not  meet
  148. QSound  Labs'  Limited  Warranty and which  is  returned  to
  149. QSound  Labs  with  a  copy of your  receipt.  This  Limited
  150. Warranty  is  void if failure of the SOFTWARE  has  resulted
  151. from  accident,  abuse, or misapplication.  Any  replacement
  152. SOFTWARE will be warranted for the remainder of the original
  153. warranty  period or thirty (30) days, whichever  is  longer.
  154. Outside  the United States, neither these remedies  nor  any
  155. product   support  services  offered  by  QSound  Labs   are
  156. available  without  proof  of purchase  from  an  authorized
  157. international source.
  158.  
  159. NO  OTHER  WARRANTIES. TO THE MAXIMUM  EXTENT  PERMITTED  BY
  160. APPLICABLE  LAW, QSOUND LABS AND ITS SUPPLIERS DISCLAIM  ALL
  161. OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING,  BUT
  162. NOT  LIMITED  TO, IMPLIED WARRANTIES OF MERCHANTABILITY  AND
  163. FITNESS  FOR  A  PARTICULAR  PURPOSE,  WITH  REGARD  TO  THE
  164. SOFTWARE,  AND  ANY  ACCOMPANYING  HARDWARE.  THIS   LIMITED
  165. WARRANTY  GIVES  YOU  SPECIFIC LEGAL RIGHTS.  YOU  MAY  HAVE
  166. OTHERS,    WHICH    VARY    FROM    STATE/JURISDICTION    TO
  167. STATE/JURISDICTION. NO LIABILITY FOR CONSEQUENTIAL  DAMAGES.
  168. TO  THE  MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW,  IN  NO
  169. EVENT  SHALL QSOUND LABS OR ITS SUPPLIERS BE LIABLE FOR  ANY
  170. SPECIAL,  INCIDENTAL,  INDIRECT,  OR  CONSEQUENTIAL  DAMAGES
  171. WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR  LOSS
  172. OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS
  173. INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE
  174. USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF QSOUND LABS
  175. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE
  176. SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION  OR
  177. LIMITATION  OF  LIABILITY  FOR CONSEQUENTIAL  OR  INCIDENTAL
  178. DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
