  1.            DYNOTECH DEALER APPLICATION AND AGREEMENT

  4. DynoTech Software ("DynoTech"), invites interested individuals 
  5. and organizations to apply as independent distributors for the 
  6. computer program "BOXES" (Shareware Edition). An accepted entity
  7. will be known as "DynoDealer."  A DynoDealer is an independent
  8. contractor, and is not an employee of DynoTech Software.
  9. DynoDealers are responsible for all taxes and fees associated
  10. with their shareware distribution business.
  11.  
  12. For those accepted, here's the deal:
  13.  
  14. 1.  DynoTech agrees to pay a commission in US dollars equal to 5%
  15. of total registration payments received as a result of 
  16. DynoDealer's verifiable distribution efforts.
  17.  
  18. 2.  DynoTech agrees to send DynoDealer a copy of BOXES containing
  19. a coded registration form on a 3 1/2" HD diskette, at no charge
  20. to DynoDealer.  DynoTech will use the DynoDealer number shown on
  21. the form to verify DynoDealer's distribution efforts.

  23. 3.  DynoTech agrees to send a check, drawn on a US bank, by the
  24. 20th of each month for all commissions earned during the previous
  25. month.  However, DynoTech may not send a check until accumulated
  26. commissions exceed $10.  Amounts equal to or less than $10 may
  27. continue to accumulate each month, until the total exceeds $10.
  28. DynoTech will issue appropriate income tax forms and reports, as
  29. required, each calendar year (e.g. Form 1099-misc).
  30.  
  31. 4.  DynoDealer agrees to register the "Champion Edition" of
  32. BOXES.  DynoDealer's registration form must accompany this
  33. application, unless DynoDealer is already a registered owner of
  34. the "Champion Edition" of BOXES.
  35.  
  36. 5.  DynoDealer agrees to use all reasonably available methods to
  37. distribute BOXES.  DynoDealer must distribute all files on the
  38. BOXES diskette received from DynoTech.  Before distribution,
  39. DynoDealer may add one information file, but may not remove any
  40. files from the diskette.  If distributed on diskette, DynoDealer
  41. may sell the diskette for no more than $5.  If distributed in a
  42. compressed form, name the "zipped" file:  BOXES.ZIP.
  43.  
  44. 6.  DynoDealer agrees not to distribute any registered editions
  45. of BOXES (includes any version or edition).
  46.  
  47. 7.  DynoDealer agrees that all disputes will be submitted in
  48. writing to President, DynoTech Software, 1105 Home Avenue,
  49. Waynesville, MO 65583-2231.  The President's decision is final.

  52. If you would like to become a DynoDealer, provide the information 
  53. requested below.  Include, on a separate page, a legible summary 
  54. of your background (resume is OK).  Also, tell why you would make 
  55. a good DynoDealer.  DynoTech will inform you of your status within
  56. two weeks after receiving your application.  If accepted, a copy
  57. of this form will be returned showing your DynoDealer number.
