  41. Inc and any successors, administrators, heirs and assigns.  Any 
  42. action or proceeding brought by either party against the other 
  43. arising out of or related to this agreement shall be brought 
  44. only in a STATE or FEDERAL COURT of competent jurisdiction 
  45. located in San Francisco, California.  The parties hereby
  46. consent to in personam jurisdiction of said courts.
