  34.       'By using this CD-ROM disc (the "CD"), you agree to be '
  35.       'bound by the terms and conditions set forth below.'

  38.       'contained on the CD (the "CD Contents") are being '
  39.       'licensed to you pursuant to the terms and conditions of this '
  40.       'Limited License Agreement (the "Agreement"), subject to '

  42.       'property law or separate agreements distributed with the '
  43.       'CD Contents (the "Third Party Agreements"). If there is a '
  44.       'conflict between this Agreement and any Third Party '
  45.       'Agreement, the Third Party Agreement shall prevail. The '
  46.       'CD Contents are owned either by Imagine Publishing, Inc. '
  47.       '("Imagine") or by the third-party suppliers whose names '
  48.       'appear on the CD. Except as expressly provided below or '
  49.       'on the CD itself, you do not have free or unlimited use of '
  50.       'the CD Contents.'

  52.       'In addition to the terms and conditions set forth below, you '
  53.       'agree and understand that: '

  55.       'You are responsible for the installation, management and '
  56.       'operation of the CD. '
  57.       'No support is offered for third party programs beyond the '
  58.       'information included on the CD or in the accompanying '
  59.       'magazine.  Although the CD has been certified virus-free at '
  60.       'press time by Imagine'#39's quality control staff, it is not '
  61.       'possible to ensure that our virus-checking software has not '
  62.       'been bypassed by some new type of virus. If a program is '
  63.       'marked as "Shareware" it is subject to the usual rules '
  64.       'governing distribution of Shareware, namely, that you are '
  65.       'required to send a license fee to the author, as requested '
  66.       'on the individual program, if you wish to use the program '
  67.       'after evaluating it. '

  69.       'Other Express Terms and Conditions'

  71.       '1. Limited License.'

  73.       'Subject to the rights of third parties and to the terms and '
  74.       'conditions of any Third Party Agreements contained on the '
  75.       'CD, Imagine hereby grants to you a limited, nonexclusive, '
  76.       'nontransferable license to use the CD Contents on a single '
  77.       'dedicated computer for your own purposes and not for '
  78.       'resale or transfer to other persons or computers. This '
  79.       'Agreement and your rights hereunder shall automatically '
  80.       'terminate if you fail to comply with any provision of this '
  81.       'Agreement. Upon such termination, you agree to destroy '
  82.       'the CD and all copies of the CD or the CD Contents in your '
  83.       'possession or under your control.'

  85.       '2. Additional Restrictions.'

  87.       'A. Neither you or nor any person or entity under your '
  88.       'control shall, directly or indirectly, by electronic or other '
  89.       'means, reproduce, publish, distribute, rent, loan, sell, '
  90.       'sublicense, assign or transfer the CD Contents or any part '
  91.       'thereof (except to make archival copies as permitted by '
  92.       'applicable law), nor shall you or any person or entity under '
  93.       'your control reverse-engineer, decompile, disassemble or '
  94.       'otherwise reduce any part of the CD Contents to '
  95.       'human-perceivable form, nor modify, create a derivative '
  96.       'work from, translate or transmit the CD Contents from one '
  97.       'computer to another or over a network.'

  99.       'B. Neither you nor any person or entity under your control '
  100.       'shall remove or obscure any trademark, copyright notice or '
  101.       'other proprietary notice or legend from the CD Contents.'

  103.       'C. You agree and certify that you will not distribute or '
  104.       'export the CD Collection outside the United States except '
  105.       'as authorized and permitted by law or regulation.'

  107.       '3. Limited Warranty.'

  109.       'A. Imagine warrants that the original physical medium in '
  110.       'which the CD Contents are embodied and distributed by '
  111.       'Imagine shall be free of defects in materials and '
  112.       'workmanship for a period of ninety (90) days after delivery '
  113.       'to you. Your exclusive remedy for a breach of this warranty '
  114.       'is limited to replacement by Imagine of the original physical '
  115.       'medium, if defective, within a reasonable period of time.'
  116.       '  '
  117.       'B. Except as expressly provided above, the CD and the '
  118.       'CD Contents are provided "as is" and without warranty of '
  119.       'any kind, express or implied, including without limitation, '
  120.       'any warranty of merchantabililty or fitness for a particular '
  121.       'purpose. Both Imagine and the third-party suppliers '
  122.       'expressly disclaim all warranties and do not represent that '
  123.       'the CD Contents will meet your requirements or that the '
  124.       'operation of the CD will be uninterrupted or error-free or '
  125.       'that defects in the CD Contents will be corrected. The '
  126.       'entire risk as to performance or results of the CD and the '
  127.       'CD Contents is assumed by you, and neither Imagine nor '
  128.       'its third-party suppliers assume any responsibility for the '
  129.       'accuracy of or any errors or omissions in the CD Contents, '
  130.       'nor shall Imagine or any third-party supplier be responsible '
  131.       'for file corruption, loss of data, loss of system functionality '
  132.       'or other problems arising from the use of the CD.'

  134.       '4. Limited Liability.'

  136.       'A. In no event, including negligence, shall Imagine or any '
  137.       
  138.         'of its third-party suppliers be liable for any direct, indirect,' +

  140.       'special, incidental or consequential damages arising out of '
  141.       'the use of, or inability to use, the CD or the CD Contents, '
  142.       'even if Imagine or its third-party suppliers have been '
  143.       'advised of the likelihood or such damages occurring. '
  144.       'Without limitation on the generality of the foregoing, neither '
  145.       'Imagine nor its third-party supplier shall be liable for any '
  146.       'loss, damages, or costs arising out of lost profits or lost '
  147.       'revenue; loss of use of the CD Contents; loss of data or '
  148.       'equipment; cost of recovering software, data or the CD '
  149.       'Contents; the cost of substitute software, data or '
  150.       'equipment; or third-party claims relating thereto.'

  153.         'B. In no event shall the liability of Imagine or its third-party' +

  155.       'suppliers for all damages, losses and causes of action, '
  156.       'whether in contract, tort (including negligence) or '
  157.       'otherwise, exceed the amount paid by you for the CD.'

  159.       '5. Nonapplicability.'

  161.       'Some states do not allow exclusion or limitation of implied '
  162.       'warranties or limitation of liability for incidental or '
  163.       'consequential damages. If you reside in one of these '
  164.       'states, the foregoing two paragraphs may not apply in '
  165.       'whole or in part.'

  167.       '6. Exclusivity.'

  169.       'The warranties and remedies set forth herein are exclusive '
  170.       'and in lieu of all others, oral or written, express or implied. '
  171.       'No agent or employee of Imagine or any third-party supplier '
  172.       'is authorized to make any modification or addition to the '
  173.       'warranties contained herein.'

  175.       '7. General.'

  177.       'Nothing in this Agreement shall be or shall be deemed to '
  178.       'be a waiver of any rights of Imagine or third-parties under '
  179.       'U.S. copyright, trademark and other intellectual property '
  180.       'laws, or those of any state, locality or foreign country. This '
  181.       'agreement shall be construed, interpreted, and governed '
  182.       'under the laws of the State of California (without regard to '
  183.       'conflicts of law). If any provision of this Agreement is found '
  184.       'by a court of competent jurisdiction to be unenforceable, '
  185.       'that provision shall be enforced to the maximum extent '
  186.       'permissible so as to give effect to the intent thereof and the '
  187.       'remainder of the Agreement shall continue in full force and '
  188.       'effect. This Agreement constitutes the entire agreement '
  189.       'between the parties with respect to the use of the CD '
  190.       'Contents and supersedes all prior or contemporaneous '
  191.       'understandings or agreements, written or oral, regarding '
  192.       'such subject matter. No amendment or modification of this '
  193.       'agreement shall be binding unless in writing signed by the '
  194.       'party against whom enforcement is sought.'
