  130.      (iii) Each individual, and each vendor, wishing to

  144. By using, copying, transmitting, distributing or installing
  145. all or any part of the TeraByte trial version computer
  146. software and documentation accompanying this License
  147. Agreement (the "Evaluation Software"), you agree to all of
  148. the terms and conditions of this License Agreement.
  149.  
  150. Please read the license terms and conditions below.  If you
  151. do not agree to all of the terms and conditions, then do not
  152. use, copy, transmit, distribute, or install the trial
  153. version computer software and documentation accompanying
  154. this license Agreement.
  155.  
  156. TeraByte, Inc., dba TeraByte Unlimited ("TeraByte") and/or
  157. its suppliers own the Evaluation Software and its
  158. documentation, which are protected under applicable
  159. copyright, trade secrets, and other laws.  Your rights and
  160. license to use the programs and the documentation are
  161. limited to the terms and subject to the conditions set forth
  162. below.
  163.  
  164. 1. LICENSE:
  165.  
  166. (a) TRIAL USE IN YOUR OWN COMPUTER
  167.  
  168.      (i) YOU MAY: use the Evaluation Software for evaluation
  169. purposes in your own computer, for a period not to exceed
  170. thirty (30) days after your first installation or use of the
  171. Evaluation Software.  You may not re-install or additionally
  172. install the Evaluation Software for additional evaluation
  173. periods.
  174.  
  175.      (ii)  Not "Free Software".  This Evaluation Software is
  176. not "free software", but a software copy with limited
  177. license rights, as set forth in this Agreement.
  178.  
  179.      (iii)  Temporary Evaluation Use Only.  You may use this
  180. Evaluation Software without charge for a limited time only,
  181. and solely to decide whether to purchase a paid license for
  182. the software from TeraByte.  If you wish to use the
  183. Evaluation Software after the thirty (30) day evaluation
  184. period, then you must purchase a Full Use license for the
  185. software from TeraByte. You can visit TeraByte's web site at
  186. www.terabyteunlimited.com, for further information.
  187.  
  188.      (iv)  NO CONTINUED USE WITHOUT REGISTRATION.
  189. Unregistered use of the Evaluation Software after the thirty
  190. (30) day trial period is an infringement of TeraByte's legal
  191. and equitable rights, including but not limited to copyright
  192. and trade secret rights, under U.S. and international laws.
  193.  
  194. (b)  LIMITED DISTRIBUTION LICENSE
  195.

  229. (c)  YOU MAY NOT:
  230.  
  231.      (i)  permit others to use the Evaluation Software
  232. unless they are properly licensed by TeraByte, either under
  233. this Agreement or another agreement from TeraByte;
  234.  
  235.      (ii) modify, translate, reverse engineer, decompile,
  236. disassemble, or create derivative works based on, the
  237. Evaluation Software;
  238.  
  239.      (iii)  copy the Evaluation Software except as expressly
  240. permitted above;
  241.  
  242.      (iv)  distribute the Evaluation Software, bundle it
  243. with other products, rent, lease, sell, grant a security
  244. interest in, or otherwise transfer rights to, or possession
  245. of, the Evaluation Software or any copy thereof, except as
  246. may be expressly provided in this Agreement;
  247.  
  248.      (v)  remove or alter any proprietary notices, labels
  249. or legends on any copy of the Evaluation Software; or
  250.  
  251.      (vi) ship or transmit (directly or indirectly) any
  252. copies of the Evaluation Software or their media, or any
  253. direct product thereof, to any country or destination
  254. prohibited by the United States Government.
  255.  
  256. (d)  RESERVATION OF RIGHTS.  All rights and licenses not
  257. expressly granted by TeraByte in this Agreement are entirely
  258. and exclusively reserved to TeraByte.
  259.  
  260. 2. TERM AND TERMINATION: This Agreement shall remain
  261. effective until this Agreement is terminated, provided that
  262. in no event shall your evaluation rights hereunder extend
  263. beyond the thirty (30) day period set forth in Section 1
  264. above.  You may terminate it at any time by destroying the
  265. distribution media together with all of your copies of the
  266. Evaluation Software in any form.  This Agreement will also
  267. automatically terminate, without notice, if you fail to
  268. comply fully with any term or condition of this Agreement,
  269. or if your normal business operations are disrupted or
  270. discontinued for more than thirty days by reason of
  271. insolvency, bankruptcy, receivership, or business
  272. termination.  Upon termination of this Agreement, you must
  273. destroy all copies of the Evaluation Software in any form.
  274.  
  275. 3.  OWNERSHIP AND CONFIDENTIAL INFORMATION:  TeraByte or its
  276. licensors own the Evaluation Software under copyright, trade
  277. secret and all other laws that may apply.  All product
  278. names, designs, and logos associated with the Evaluation
  279. Software are trademarks of TeraByte.  The source code of the
  280. Evaluation Software and all information regarding the
  281. design, structure or internal operation of the Evaluation
  282. Software are valuable trade secrets of TeraByte or third
  283. parties with which TeraByte has licensing arrangements
  284. ("Confidential Information"), provided however, that
  285. "Confidential Information" shall not include information
  286. which otherwise would be Confidential Information to the
  287. extent that such information was publicly known or otherwise
  288. known to you previously to the time of disclosure, which
  289. subsequently became known through no act or omission by you,
  290. or which otherwise became known to you other than through
  291. disclosure by TeraByte.  You shall not sell, transfer,
  292. publish, disclose, display or otherwise permit access to any
  293. Confidential Information by any third party, nor may you use
  294. any of the Confidential Information, except strictly as part
  295. of the Evaluation Software in the form originally
  296. distributed by TeraByte.
  297.  
  298. 4. LIMITED WARRANTY: THE EVALUATION SOFTWARE IS PROVIDED
  299. ENTIRELY "AS-IS".  TERABYTE MAKES NO WARRANTIES, EXPRESSED
  300. OR IMPLIED, WITH RESPECT TO THE EVALUATION SOFTWARE, ITS
  301. MERCHANTABILITY, OR ITS FITNESS FOR ANY PARTICULAR PURPOSE.
  302. TERABYTE DOES NOT WARRANT THAT THE EVALUATION SOFTWARE WILL
  303. MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE
  304. EVALUATION SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE.
  305. YOU ASSUME FULL RESPONSIBILITY FOR SELECTING AND USING THE
  306. EVALUATION SOFTWARE, AND THAT IF YOU USE THE EVALUATION
  307. SOFTWARE IMPROPERLY OR AGAINST INSTRUCTIONS, YOU CAN CAUSE
  308. DAMAGE TO YOUR FILES, SOFTWARE, DATA OR BUSINESS. THE ENTIRE
  309. RISK AS TO THE QUALITY AND PERFORMANCE OF THE EVALUATION
  310. SOFTWARE IS BORNE BY YOU. THIS DISCLAIMER OF WARRANTY
  311. CONSTITUTES AN ESSENTIAL PART OF THE AGREEMENT. Some
  312. jurisdictions do not allow exclusions of an implied
  313. warranty, so this disclaimer may not apply to you and you
  314. may have other legal rights that vary by jurisdiction.
  315.  
  316. 5.  LIMITATION OF LIABILITY.  ANY LIABILITY OF TERABYTE WILL
  317. BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF
  318. PURCHASE PRICE.  IN ADDITION, IN NO EVENT WILL TERABYTE, NOR
  319. ANY OTHER PERSON OR ENTITY INVOLVED IN THE CREATION,
  320. PRODUCTION, OR DELIVERY OF THE EVALUATION SOFTWARE, BE
  321. LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE
  322. DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION LOSS OF
  323. INCOME, USE OR INFORMATION, RELATING EITHER TO THE USE OF
  324. THE EVALUATION SOFTWARE, OR YOUR RELATIONSHIP WITH TERABYTE,
  325. EVEN IF TERABYTE HAS BEEN ADVISED IN ADVANCE OF THE
  326. POSSIBILITY OF SUCH DAMAGES OR CLAIMS.  Any suit or other
  327. legal action relating in any way to this Agreement or to the
  328. Evaluation Software must be filed or commenced no later than
  329. one (1) year after it accrues.  You may also have other
  330. rights which vary from state to state.
  331.  
  332. 6. HIGH RISK ACTIVITIES.  The Evaluation Software is not
  333. fault-tolerant and is not designed, manufactured or intended
  334. for use on equipment or software running in hazardous
  335. environments requiring fail-safe performance, including but
  336. not limited to the operation of nuclear facilities, aircraft
  337. navigation or communication systems, air traffic control,
  338. direct life support machines, or weapons systems, in which
  339. the failure of the Evaluation Software could contribute to
  340. death, personal injury, or severe physical or environmental
  341. damage ("High Risk Activities").  TERABYTE AND ITS SUPPLIERS
  342. SPECIFICALLY DISCLAIM ANY EXPRESS OR IMPLIED WARRANTY OF
  343. FITNESS OF THE EVALUATION SOFTWARE FOR HIGH RISK ACTIVITIES.
  344. TERABYTE DOES NOT AUTHORIZE USE OF  THE EVALUATION SOFTWARE
  345. FOR ANY HIGH RISK ACTIVITY.  YOU AGREE TO DEFEND AND
  346. INDEMNIFY TERABYTE, AND HOLD TERABYTE HARMLESS, FROM AND
  347. AGAINST ANY AND ALL CLAIMS, ACTIONS, LOSSES, COSTS JUDGMENTS
  348. AND DAMAGES OF ANY KIND IN CONNECTION WITH USE IN RELATION
  349. TO ANY HIGH RISK ACTIVITY OF ANY COPY OF THE EVALUATION
  350. SOFTWARE RELATING TO THIS LICENSE.
  351.  
  352. 7.  RESTRICTED RIGHTS - COMMERCIAL COMPUTER SOFTWARE.  The
  353. parties acknowledge and agree that: (a) any and all products
  354. covered by this Agreement are, and shall be, deemed
  355. "commercial computer software" for all purposes in relation
  356. to U.S. government acquisition laws, rules and regulations,
  357. and (b) all use, duplication and disclosure by, for, or on
  358. behalf of the U.S. Government is subject to all conditions,
  359. limitations and restrictions applicable to "commercial
  360. computer software" as set forth in FAR section 12.212 and in
  361. DFAR sections 227.7202-1, 227.7202-3, and 227.7202-4.
  362.  
  363. 8.  GENERAL.
  364.  
  365. (a)  ENTIRE AGREEMENT.  This Agreement constitutes the
  366. entire agreement between you and TeraByte in regard to the
  367. subject matter herein, and supersedes all previous and
  368. contemporaneous agreements, proposals and communications,
  369. written or oral between you and TeraByte. No amendment of
  370. this Agreement shall be effective unless it is in writing
  371. and signed by duly authorized representatives of both
  372. parties.
  373.  
  374. (b)  NON-WAIVER.  Waiver by TeraByte of any violation of any
  375. provision of this License shall not be deemed to waive any
  376. further or future violation of the same or any other
  377. provision.
  378.  
  379. (c)  LAW AND JURISDICTION.  This License and any dispute
  380. relating to the Evaluation Software or to this License shall
  381. be governed by the laws of the United States and the laws of
  382. the State of Nevada, without regard to U.S. or Nevada choice
  383. of law rules.  You agree and consent that jurisdiction and
  384. proper venue for all claims, actions and proceedings of any
  385. kind relating to TeraByte or the matters in this License
  386. shall be exclusively in courts located in Las Vegas, Nevada.
  387. If a court with the necessary subject matter jurisdiction
  388. over a given matter cannot be found in Las Vegas, then
  389. jurisdiction for that matter shall be exclusively in a court
  390. with the proper jurisdiction as close to Las Vegas as
  391. possible, and within Nevada if possible.
  392.  
  393. (d)  SEVERABILITY.  If any part or provision of this License
  394. is held to be unenforceable for any purpose, including but
  395. not limited to public policy grounds, then you agree that
  396. the remainder of the License shall be fully enforceable as
  397. if the unenforceable part or provision never existed.
  398.  
  399. (e)  NON-ASSIGNMENT. You may not assign this License without
  400. the prior written consent of TeraByte, except as part of a
  401. sale of all or substantially all of the assets of your
  402. business.
  403.  
  404. (f)  NO THIRD PARTY BENEFICIARIES.  There are no third party
  405. beneficiaries of any promises, obligations or
  406. representations made by TeraByte herein.
  407.  
  408. (g)  HEIRS AND ASSIGNS.  This Agreement shall be binding on
  409. and shall inure to the benefit of the heirs, executors,
  410. administrators, successors and assigns of the parties
  411. hereto, but nothing in this paragraph shall be construed as
  412. a consent by TeraByte to any assignment of this agreement
  413. except as provided hereinabove.
  414.  
  415. (h)  SURVIVAL.  The provisions of paragraphs 1(a)(iv),
  416. 1(c)(ii) and 3 of this Agreement shall survive any
  417. termination or expiration of this Agreement.</EULA>
