  7.          THIS IS THE LAST WILL AND TESTAMENT of ,

  11.          1.     I HEREBY REVOKE all wills and testamentary 
  12.          dispositions of every nature and kind whatsoever by me 
  13.          heretobefore made.
  14.  
  15.          2.     I NOMINATE, CONSTITUTE, AND APPOINT, __________
  16.          Trust Company, 
  17.          to be the sole Executor and Trustee of this my Will. 
  18.                   
  19.          3.     I GIVE, DEVISE, AND BEQUEST all my property of 
  20.          every nature and kind and wheresoever situate, including 
  21.          any property over which I may have a general power of 
  22.          appointment to my said Trustee upon the following 
  23.          trusts, namely:
  24.                 a)      To use his or her discretion in the 
  25.          realization of my estate, with power to my Trustee to 
  26.          sell, call in and convert into money any part of my 
  27.          estate not consisting of money at such time or times in 
  28.          such manner and upon such terms, and either for cash or 
  29.          credit or for part cash and part credit as my said 
  30.          Trustee in his or her absolute discretion may decide 
  31.          upon, or to postpone such conversion of my estate or any 
  32.          part or parts thereof for such length of time as he or 
  33.          she may think best, and I hereby declare that my trustee 
  34.          shall have a separate and substantive power to retain 
  35.          any of my investments or assets in the form existing at 
  36.          the date of my death at his or her absolute discretion 
  37.          without responsibility for loss to the intent that 
  38.          investments or assets so retained shall be deemed to be 
  39.          authorized investments for all purposes of this my Will.
  40.                 b)      To use his or her discretion in making 
  41.          elections with power to make all such elections as he or 
  42.          she shall deem in his or her absolute discretion to be 
  43.          in the best interests of my estate as a whole, and 
  44.          specifically, and elections as may be necessary under 
  45.          The Income Tax Act and the provisions thereof from time 
  46.          to time in force.
  47.                 c)      To make any division of my estate or set 
  48.          aside or pay any share or interest therein, either 
  49.          wholly or in part, in the assets forming my estate at 
  50.          the time of my death or at the time of such division, 
  51.          setting aside or payment, and I declare that my trustees 
  52.          shall, in their absolute discretion, fix the value of my 
  53.          estate or any part thereof for the purpose of making any 
  54.          such division. setting aside or payment, and their 
  55.          decision shall be final and binding upon all persons 
  56.          concerned. In fixing the value of the assets of my 
  57.          estate, I direct my Trustee to keep an even hand and I 
  58.          direct them to take into account not only fair market 
  59.          value of capital property but also its adjusted cost 
  60.          base.
  61.                 d)      To make a distribution of assets 
  62.          according to the items of this my Will if, in their 
  63.          opinion, there is no further liability for any taxes 
  64.          even though they have not obtained a clearance. My 
  65.          Trustees may, if they consider it advisable, make any 
  66.          such distribution, and as a condition for so doing shall 
  67.          have the right to ask for and receive signed 
  68.          indemnification from the beneficiaries to whom any such 
  69.          distributions are made.
  70.                 e)      To pay my just debts, funeral, and 
  71.          testamentary expenses, and all estate, legacy, 
  72.          succession and inheritance taxes and duties (if any), 
  73.          whether imposed by or pursuant to the law of any 
  74.          domestic or foreign jurisdiction whatsoever, that may be 
  75.          payable in connection with the property passing (or 
  76.          deemed to pass by any governing law) on my death or in 
  77.          connection with any insurance on my life or in 
  78.          connection with any gift or benefit given or provided by 
  79.          me either in my lifetime or by the survivorship or by 
  80.          this my Will or any Codicil thereto, and whether such 
  81.          taxes and duties payable in respect of estates or 
  82.          interests which fall into possession at my death or any 
  83.          subsequent time; and I hereby authorize my Trustees to 
  84.          commute or repay any such taxes or duties.
  85.                 f)      To divide all articles of personal, 
  86.          domestic, and household use or ornament belonging to me 
  87.          at my death, including consumable stores, but not 
  88.          including automobiles or accessories thereto, among my 
  89.          brothers and sisters who survive me as they shall agree, 
  90.          or if they do not agree then as my trustee in his or her 
  91.          absolute discretion shall consider equitable.
  92.                 g)      To invest and keep invested the residue 
  93.          of my estate and to pay the net income derived therefrom 
  94.          to or for the benefit of my sister, __________________ ,
  95.          until such time as her death, provided that during such 
  96.          time, my trustee may pay to or use for the benefit of my 
  97.          said sister such part or parts or the whole of the 
  98.          capital of the said residue of my estate as in their 
  99.          uncontrolled discretion my said trustee consider 
  100.          advisable.
  101.                 h)      Upon the death of my said sister, to 
  102.          divide the residue of my estate or the amount thereof 
  103.          remaining, if any, in as many equal shares as there were 
  104.          brothers and sisters of mine alive at the time of making 
  105.          this will. Then to give one such equal share to those of 
  106.          my brothers and/or sisters alive at the time of the 
  107.          death of my said sister. If any of my brothers and/or 
  108.          sisters (who were alive at the time of the making of 
  109.          this my will) shall die before my said sister, that 
  110.          equal share of that said brother and/or sister shall be 
  111.          divided into as many equal shares as there are living 
  112.          children of that brother and/or sister and give said 
  113.          share to that brother and/or sister's children. If the 
  114.          brother and/or sister, who died before my said sister, 
  115.          leaves no children, then that share of that brother 
  116.          and/or sister shall be given equal parts to my brothers 
  117.          and/or sisters alive at the time of the death of my said 
  118.          sister, or their children if that brother and/or sister 
  119.          shall die before my said sister.

  121.          4.     I DECLARE that in this my will the term 'trustee' 
  122.          or 'trustees' and all references thereto shall (where 
  123.          the context so permits) mean and include the Executor, 
  124.          the Executrix, the Executors, the Trustee, the Trustees 
  125.          for the time being hereof, whether original, additional, 
  126.          or substitutional, and shall be construed accordingly.

  128.          5.     If any person shall become entitled to any share 
  129.          in this my Estate before attaining the age of majority, 
  130.          the share of such person shall be paid to the parent, or 
  131.          parents, or trustee, or guardian (as the case may be) of 
  132.          that person, in trust for that minor; and the receipt 
  133.          signed by that parent, or parents, or trustee, or 
  134.          guardian (as the case may be) shall be sufficient to 
  135.          discharge my trustee of his or her obligations under this 
  136.          my will.
