  1. MainConcept AG SOFTWARE LICENSE AGREEMENT

  4. BEFORE INSTALLING THIS PACKAGE, CAREFULLY READ THE
  5. FOLLOWING TERMS AND CONDITIONS WHICH INCLUDE THE
  6. SOFTWARE LICENSE AND LIMITED WARRANTY (collectively called
  7. the "Agreement")
  8.  
  9. INSTALLING THIS PACKAGE INDICATES YOUR ACCEPTANCE OF THE
  10. AGREEMENT. IF YOU DO NOT ACCEPT OR AGREE WITH THESE
  11. TERMS, YOU SHOULD PROMPTLY RETURN THE PACKAGE
  12. UNOPENED TOGETHER WITH ALL OTHER MATERIAL IN THIS
  13. PROGRAM PACKAGE, OR IN THE CASE OF AN ELECTRONIC
  14. DISTRIBUTION, DESTROY ALL COPIES OF THE PACKAGE AND 
  15. ACTIVATION KEYS; AND YOUR MONEY WILL BE REFUNDED.

  17. LICENSE
  18. -------

  20. The PVR (the "Software") is owned by MainConcept AG
  21. and is protected by copyright law and international treaty provisions.
  22. The Software is hereby licensed to you by  MainConcept AG or a licensee 
  23. of MainConcept AG (in either case the entity licensing the Software to 
  24. you is referred to in this Agreement as "MainConcept AG").
  25.  
  26. MainConcept AG hereby grants you a non-exclusive license to use the 
  27. Software as set forth below:
  28.  
  29. You may:
  30.  
  31. * use the Software only on one computer.
  32.  
  33. * make one copy of the Software excluding the documentation for
  34.   archival or backup purposes.
  35. * permanently transfer your rights hereunder, provided you also transfer
  36.   all copies of the Software and the documentation and provided the
  37.   transferee agrees to the terms and conditions of this Agreement.
  38.  
  39. RESTRICTIONS
  40. ------------
  41.  
  42. You may not:
  43.  
  44. * use, copy, modify, or transfer the Software or the documentation, or any
  45.   copy in whole or in part, except as expressly provided for in this license.
  46. * redistribute any activation keys for unlocking demo versions of the
  47.   Software
  48. * allow the Software to be used on more than one computer at a time or
  49.   by more than one person at a time except as otherwise expressly provided
  50.   herein.
  51. * rent or lease the Software or the documentation. modify or adapt the
  52.   Software or documentation in whole or in part including but not limited
  53.   to translating or creating derivative works.
  54. * disassemble or reverse compile for the purpose of reverse engineering the
  55.   Software
  56.  
  57. REDISTRIBUTION RIGHTS
  58. ---------------------

  60. The demo version of the Software may be redistributed freely as long as no
  61. charge is made by you for such redistribution, excepting for nominal fees for the
  62. distribution media such as magnetic disks or CD-ROM. There are no restrictions with 
  63. regards to copying, transferring or otherwise distributing the Software in its
  64. complete and original demo form.  You may be granted additional rights to reproduce
  65. and distribute components of the Software.
  66.  
  67. TERMINATION
  68. -----------
  69.  
  70. This Agreement and your license to use the Software will automatically
  71. terminate without notice if you fail to comply with any provision of this
  72. Agreement. Upon termination you shall destroy all copies of the Software. All
  73. disclaimers of warranties and limitation of liability set forth in this Agreement
  74. shall survive any termination of this Agreement
  75.  
  76. SELECTION AND USE
  77. -----------------
  78. You assume full responsibility for the selection of the Software to achieve your
  79. intended results and for the installation, use, and results obtained from the 
  80. Software
  81.  
  82. LIMITED WARRANTY
  83. ----------------
  84.  
  85. For a period of 90 days from the date of your receipt of the Software
  86. MainConcept AG warrants that:
  87.  
  88. * the Software will substantially conform to MainConcept AG published
  89.   specifications and to the documentation provided with it when used as
  90.   specified in such documentation; and
  91.  
  92. * the media on which the Software is distributed and the documentation
  93.   are free from defects in materials and workmanship
  94.  
  95. HOWEVER, MainConcept AG DOES NOT WARRANT THAT THE
  96. FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR
  97. REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE
  98. WILL BE UNINTERRUPTED OR ERROR FREE. Because of the
  99. inherent complexity of computer software you are 
  100. advised to verify your work.
  101.  
  102. Provided you return the item with a copy of your receipt within the 90 day
  103. period, MainConcept AG shall at its discretion either a) correct the non-
  104. conformance of the Software or (b) replace the defective media and/or
  105. documentation or (c) refund the license fee.
  106.  
  107. LIMITATIONS OF REMEDIES AND LIABILITY
  108. -------------------------------------

  110. MainConcept AG's LABILITY AND YOUR EXCLUSIVE REMEDY ARE AS
  111. SET FORTH ABOVE AND MainConcept AG DISCLAIMS ALL OTHER
  112. WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED.
  113. INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES
  114. OR CONDITIONS OF MERCHANTABLE QUALITY AND FITNESS FOR
  115. A PARTICULAR PURPOSE AND THOSE ARISING BY STATUTE OR
  116. OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE
  117. OF TRADE. No modification or addition to this warranty is 
  118. authorized unless it is set forth in writing, references this 
  119. Agreement, and is signed on behalf of MainConcept AG by an 
  120. authorized official.
  121.  
  122. IN NO EVENT WILL MainConcept AG OR ITS DIRECT OR INDIRECT
  123. SUPPLIERS BE LIABLE FOR ANY OTHER DAMAGES
  124. WHATSOEVER INCLUDING, BUT NOT LIMITED TO, DIRECT
  125. INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES
  126. OR OTHER PECUNIARY LOSS ARISING OUT OF THE USE OF OR
  127. INABILITY TO USE THE SOFTWARE, EVEN IF MainConcept AG HAS
  128. BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In
  129. particular, MainConcept AG and its suppliers are not responsible for any costs
  130. including, without limitation, loss of business profits, business interruption,
  131. loss of business information, the cost of recovering such information, the cost
  132. of substitute Software or claims by third parties.
  133.  
  134. No oral or written information given by MainConcept AG, its agents or employees
  135. shall create a warranty
  136.  
  137. IN NO CASE SHALL ANY DIRECT OR INDIRECT SUPPLIERS OF
  138. MainConcept AG BEAR ANY LIABILITY FOR ANY REASON WHATSOEVER
  139. AND IN NO CASE SHALL MainConcept AG's LIABILITY EXCEED THE
  140. AMOUNT OF THE LICENSE FEE ACTUALLY PAID BY YOU. This
  141. Agreement gives you certain legal rights. You may have other rights under
  142. local law, so some of the above may not apply or may be limited FOR
  143. EXAMPLE, SOME STATES DO NOT ALLOW THE LIMITATION OR
  144. EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL
  145. DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT
  146. APPLY TO YOU.
