  6. IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE.

  8. END USER LICENSE AGREEMENT
  9. Electronic Microsystems Corporation ("EMS") agrees to provide
  10. the user ("USER") with a copy of this software product ("SOFTWARE"),
  11. and grants the USER a limited license to use the SOFTWARE.
  12. ("LICENSE") This LICENSE defines what the USER may do with the SOFTWARE,
  13. and contains limitations on warranties, liabilities and remedies.
  14. This LICENSE may be revoked by EMS at any time without notice
  15. if the USER fails to comply with the terms of this LICENSE.
  16. The copyright and all other rights in the SOFTWARE shall remain with EMS.

  18. LICENSE OF UNREGISTERED SOFTWARE
  19. An unregistered copy of the SOFTWARE ("UNREGISTERED SOFTWARE")
  20. may be used by the USER for evaluation purposes for a period
  21. of thirty (30) days following the initial installation of
  22. the UNREGISTERED SOFTWARE. ("TRIAL PERIOD") At the end of
  23. the TRIAL PERIOD, the USER must either register the
  24. SOFTWARE or remove it from his system.
  25. The UNREGISTERED SOFTWARE may be freely copied and distributed
  26. to other users for their evaluation.

  28. LICENSE OF REGISTERED SOFTWARE
  29. A registered copy of the SOFTWARE ("REGISTERED SOFTWARE")
  30. allows the USER to use the SOFTWARE only on a single
  31. computer or network, and only by a single user at a time.
  32. If the USER wishes to use the SOFTWARE for more than one user,
  33. the USER will need a separate license for each individual user.
  34. The USER is allowed to make one copy of the REGISTERED SOFTWARE
  35. for back-up purposes.

  37. DISTRIBUTION OF UNREGISTERED SOFTWARE
  38. The uninstalled, UNREGISTERED SOFTWARE may be freely copied and
  39. distributed to other users provided the USER complies with the
  40. following requirements. If the USER offers this uninstalled,
  41. UNREGISTERED SOFTWARE for download ("SHAREWARE SITE USER"),
  42. then the SHAREWARE SITE USER agrees to:
  43. (1) immediately replace this version of the uninstalled,
  44. UNREGISTERED SOFTWARE with a new version of this SOFTWARE
  45. if a new version is released by Electronic Microsystems, or
  46. (2) delete this version of the UNREGISTERED SOFTWARE immediately
  47. upon written email notice by Electronic Microsystems
  48.  
  49. TERM OF LICENSE
  50. This LICENSE shall continue for as long as the USER
  51. uses the REGISTERED SOFTWARE and/or distributes the
  52. UNREGISTERED SOFTWARE accordiong to the terms of this agreement.
  53. However, this LICENSE will terminate if the USER fails
  54. to comply with any of its terms or conditions.
  55. The USER agrees, upon termination, to destroy all copies
  56. of the REGISTERED and/or UNREGISTERED SOFTWARE.
  57. The limitations of warranties and liability set forth
  58. in this LICENSE shall continue in force even after termination.
  59.  
  60. ACCEPTANCE OF THIS LICENSE AGREEMENT
  61. By downloading and/or installing this SOFTWARE,
  62. the USER agrees to the terms of this LICENSE.
  63.  
  64. DISCLAIMER OF WARRANTY AND LIABILITY
  65. This SOFTWARE is provided "as is" without representations
  66. or warranties of any kind, whether expressed or implied.
  67. The USER must assume the entire risk of using the SOFTWARE,
  68. and EMS shall have no liability to the USER or any other
  69. third-party for any damages whatsoever, including,
  70. but not limited to, any economic or data loss, even if such
  71. loss was foreseeable by EMS.

  73. EMS DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS
  74. OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES
  75. OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE,
  76. WITH RESPECT TO THE SOFTWARE AND THE ACCOMPANYING WRITTEN
  77. MATERIALS. ANY LIABILITY OF EMS WILL BE LIMITED EXCLUSIVELY
  78. TO PRODUCT REPLACEMENT OR REFUND OF ORIGINAL PURCHASE PRICE.

  80. OTHER RESTRICTIONS
  81. The USER may not rent, lease, sublicense, translate,
  82. disassemble, reverse engineer, or de-compile the SOFTWARE,
  83. or modify or merge the SOFTWARE with any part of the
  84. software in another program. This LICENSE may not be
  85. assigned or otherwise transferred without the prior
  86. written consent of EMS.
  87.  
  88. INVALID PROVISIONS
  89. If any provision of this LICENSE shall be declared
  90. invalid or unenforceable, the remaining provisions of
  91. this LICENSE shall remain in full force
  92. and effect to the fullest extent permitted by law.
  93. In such event, each provision of this LICENSE which is
  94. invalid or unenforceable shall be replaced with a provision
  95. as similar in terms to such invalid or unenforceable
  96. provision as may be possible which is legal and enforceable.

  98. ENTIRE AGREEMENT
  99. This LICENSE is the entire agreement between EMS and the USER,
  100. and supersedes any other agreement, oral or written,
  101. and may not be changed except by a written signed agreement.
