  1. BY INSTALLING OR USING THE SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY 
  2. THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS 
  3. AGREEMENT, PLEASE RETURN THE PRODUCT TO THE PLACE OF PURCHASE FOR A

  6. LIVEUPDATE CRESCENDO OR CRESCENDO PLUS END USER LICENSE AGREEMENT
  7. REDISTRIBUTION NOT PERMITTED
  8.  
  9. This Agreement has 3 parts.  Part I applies if you have not purchased 
  10. a license to the accompanying software (the "Software").  Part II 
  11. applies if you have purchased a license to the Software.  Part III 
  12. applies to all license grants.  If you initially acquired a copy 
  13. of the Software without purchasing a license and you wish to purchase 
  14. a license, contact LiveUpdate on the Internet at 
  15. http://www.liveupdate.com/crescendo.html.

  17. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID (LIMITED
  18. TO EVALUATION, EDUCATIONAL AND NON-PROFIT USE) GRANT.
  19.  
  20. LiveUpdate grants you a non-exclusive license to use the Software free 
  21. of charge if (a) you are a student, faculty member or staff member of 
  22. an educational institution (K-12, junior college, college or library) 
  23. or an employee of an organization which meets LiveUpdate's criteria for
  24. a charitable non-profit organization; or (b) your use of the Software 
  25. is for the purpose of evaluating whether to purchase an ongoing 
  26. license to the Software.  The evaluation period for use by or on behalf 
  27. of a commercial entity is limited to 30 days; evaluation use by others 
  28. is not subject to this 30 day limit.  Government agencies (other than 
  29. public libraries) are not considered educational or charitable 
  30. non-profit organizations for purposes of this Agreement.  If you are 
  31. using the Software free of charge, you are not entitled to hard-copy 
  32. documentation, support or telephone assistance.  If you fit within the
  33. description above, you may use the Software in the manner described 
  34. in Part III below under "Scope of Grant." 
  35.  
  36. DISCLAIMER OF WARRANTY.
  37.  
  38. Free of charge Software is provided on an "AS IS" basis, without 
  39. warranty of any kind, including without limitation the warranties of 
  40. merchantability, fitness for a particular purpose and non-infringement.
  41. The entire risk as to the quality and performance of the Software is 
  42. borne by you.  Should the Software prove defective, you and not 
  43. LiveUpdate assume the entire cost of any service and repair.  In 
  44. addition, the security mechanisms implemented by LiveUpdate software
  45. have inherent limitations, and you must determine that the Software 
  46. sufficiently meets your requirements.  This disclaimer of warranty 
  47. constitutes an essential part of the agreement.  SOME JURISDICTIONS DO
  48. NOT ALLOW EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT
  49. APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY 
  50. JURISDICTION.

  52. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  53.  
  54. GRANT.  Subject to payment of applicable license fees, LiveUpdate 
  55. grants to you a non-exclusive license to use the Software and 
  56. accompanying documentation ("Documentation") in the manner described 
  57. in Part III below under "Scope of Grant." 
  58.  
  59. LIMITED WARRANTY.
  60.  
  61. LiveUpdate warrants that for a period of thirty (30) days from the 
  62. date of acquisition, the Software, if operated as directed, will 
  63. substantially achieve the functionality described in the Documentation.
  64. LiveUpdate does not warrant, however, that your use of the Software 
  65. will be uninterrupted or that the operation of the Software will be 
  66. error-free or secure. LiveUpdate also warrants that the media 
  67. containing the Software, if provided by LiveUpdate, is free from 
  68. defects in material and workmanship and will so remain for thirty (30) 
  69. days from the date you acquired the Software.  LiveUpdate's sole 
  70. liability for any breach of this warranty shall be, in LiveUpdate's 
  71. sole discretion: (i) to replace your defective media; or (ii) to advise
  72. you how to achieve substantially the same functionality with the 
  73. Software as described in the Documentation through a procedure 
  74. different from that set forth in the Documentation; or (iii) if the 
  75. above remedies are impracticable, to refund the license fee you paid 
  76. for the Software.  Repaired, corrected, or replaced Software and 
  77. Documentation shall be covered by this limited warranty for the 
  78. period remaining under the warranty that covered the original Software,
  79. or if longer, for thirty (30) days after the date (a) of shipment to 
  80. you of the repaired or replaced Software, or (b) LiveUpdate advised you
  81. how to operate the Software so as to achieve the functionality 
  82. described in the Documentation.  Only if you inform LiveUpdate of your
  83. problem with the Software during the applicable warranty period and 
  84. provide evidence of the date you purchased a license to the Software 
  85. will LiveUpdate be obligated to honor this warranty.  LiveUpdate will 
  86. use reasonable commercial efforts to repair, replace, advise or, for 
  87. individual consumers, refund pursuant to the foregoing warranty within 
  88. 30 days of being so notified.  
  89.  
  90. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY MADE BY 
  91. LIVEUPDATE.  LIVEUPDATE MAKES NO OTHER EXPRESS WARRANTY AND NO 
  92. WARRANTY OF NONINFRINGEMENT OF THIRD PARTIES' RIGHTS.  THE DURATION 
  93. OF IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF 
  94. MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE, IS LIMITED TO
  95. THE ABOVE LIMITED WARRANTY PERIOD; SOME JURISDICTIONS DO NOT ALLOW 
  96. LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO LIMITATIONS MAY 
  97. NOT APPLY TO YOU.  NO LIVEUPDATE DEALER, AGENT, OR EMPLOYEE IS 
  98. AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS 
  99. WARRANTY.  If any modifications are made to the Software by you during the warranty 
  100. period; if the media is subjected to accident, abuse, or improper use; 
  101. or if you violate the terms of this Agreement, then this warranty shall
  102. immediately be terminated.  This warranty shall not apply if the 
  103. Software is used on or in conjunction with hardware or software other 
  104. than the unmodified version of hardware and software with which the 
  105. software was designed to be used as described in the Documentation.  
  106. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER 
  107. LEGAL RIGHTS THAT VARY BY JURISDICTION.  
  108.  
  109. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  110.  
  111. SCOPE OF GRANT.
  112.  
  113. You may:
  114. * use the Software on any single computer;
  115. * use the Software on a network, provided that each person accessing 
  116.   the Software through the network must have a copy licensed to that 
  117.   person;
  118. * use the Software on a second computer so long as only one copy is 
  119.   used at a time;
  120. * copy the Software for archival purposes, provided any copy must 
  121.   contain all of the original Software's proprietary notices.
  122.  
  123. You may not:
  124. * permit other individuals to use the Software except
  125.   under the terms listed above;
  126. * permit concurrent use of the Software;
  127. * modify, translate, reverse engineer, decompile,
  128.   disassemble (except to the extent applicable laws 
  129.   specifically prohibit such restriction), or create 
  130.   derivative works based on the Software;
  131. * copy the Software other than as specified above;
  132. * rent, lease, grant a security interest in, or
  133.   otherwise transfer rights to the Software; or
  134. * remove any proprietary  notices or labels on the
  135.   Software.
  136.  
  137. TITLE.
  138.  
  139. Title, ownership rights, and intellectual property 
  140. rights in the Software shall remain in LiveUpdate and/or 
  141. its suppliers.  The Software is protected by the 
  142. copyright laws and treaties.  Title and related rights 
  143. in the content accessed through the Software is the 
  144. property of the applicable content owner and may be 
  145. protected by applicable law.  This License gives you no 
  146. rights to such content.  
  147.  
  148. TERMINATION.
  149.  
  150. The license will terminate automatically if you fail to 
  151. comply with the limitations described herein.  On 
  152. termination, you must destroy all copies of the Software 
  153. and Documentation.  
  154.  
  155. EXPORT CONTROLS.
  156.  
  157. None of the Software or underlying information or 
  158. technology may be downloaded or otherwise exported or 
  159. reexported (i) into (or to a national or resident of) 
  160. Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria 
  161. or any other country to which the U.S.  has embargoed 
  162. goods; or (ii) to anyone on the U.S.  Treasury 
  163. Department's list of Specially Designated Nationals or 
  164. the U.S.  Commerce Department's Table of Denial Orders.  
  165. By downloading or using the Software, you are agreeing 
  166. to the foregoing and you are representing and warranting 
  167. that you are not located in, under the control of, or a 
  168. national or resident of any such country or on any such 
  169. list.

  172. LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES AND 
  173. UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, 
  174. SHALL LIVEUPDATE OR ITS SUPPLIERS OR RESELLERS BE LIABLE 
  175. TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, 
  176. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER 
  177. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF 
  178. GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR 
  179. MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR 
  180. LOSSES.  IN NO EVENT WILL LIVEUPDATE BE LIABLE FOR ANY 
  181. DAMAGES IN EXCESS OF THE AMOUNT LIVEUPDATE RECEIVED FROM 
  182. YOU FOR A LICENSE TO THE SOFTWARE, EVEN IF LIVEUPDATE 
  183. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH 
  184. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.  THIS 
  185. LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR 
  186. DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW 
  187. PROHIBITS SUCH LIMITATION.  FURTHERMORE, SOME 
  188. JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION 
  189. OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS 
  190. LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.

  193. MISCELLANEOUS.
  194.  
  195. If the copy of the Software you received was accompanied 
  196. by a printed or other form of "hard-copy" End User 
  197. License Agreement whose terms vary from this Agreement, 
  198. then the hard-copy End User License Agreement governs 
  199. your use of the Software.  This Agreement represents the 
  200. complete agreement concerning this license and may 
  201. amended only by a writing executed by both parties.  THE 
  202. ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS 
  203. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS 
  204. SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.  
  205. If any provision of this Agreement is held to be 
  206. unenforceable, such provision shall be reformed only to 
  207. the extent necessary to make it enforceable.  This 
  208. Agreement shall be governed by California law (except 
  209. for conflict of law provisions).  The application the 
  210. United Nations Convention of Contracts for the 
  211. International Sale of Goods is expressly excluded.  
  212.  
  213. U.S.  GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or 
  214. disclosure by the Government is subject to restrictions 
  215. set forth in subparagraphs (a) through (d) of the 
  216. Commercial Computer-Restricted Rights clause at FAR 
  217. 52.227-19 when applicable, or in subparagraph (c)(1)(ii) 
  218. of the Rights in Technical Data and Computer Software 
  219. clause at DFARS 252.227-7013, or at 252.211-7015, or to 
  220. LiveUpdate's standard commercial license, as applicable, 
  221. and in similar clauses in the NASA FAR Supplement.
