  9.  The use of Zip Manager is subject to the following terms and
  10.  conditions.

  12.  Title To The Licensed Software
  13.  ------------------------------
  14.  Title to the licensed software is NOT transferred or sold to the end user.
  15.  The end user is granted a non-exclusive license to use the software
  16.  on a SINGLE computer or computer work station. EACH computer or computer
  17.  work station must have its own licensed copy of the software.
  18.  
  19.  Copyright Protection
  20.  --------------------
  21.  Zip Manager is copyrighted material. It is protected by the copyright laws
  22.  of the United States, the State of Arizona, and other proprietary rights
  23.  of Software Excellence By Design Inc. You may not make any changes or 
  24.  modifications to Zip Manager or this manual. You may not decompile,
  25.  disassemble, or otherwise reverse-engineer the software in any way.
  26.  
  27.  You may make copies of Zip Manager only under the terms of the section
  28.  entitled "Limited License To Copy The Licensed Software".
  29.  
  30.  You may use Zip Manager on a fourteen (14) day trial basis only, provided
  31.  you do not violate the protection afforded the licensed software by the 
  32.  copyright laws, and you agree to the terms of the license agreement. 
  33.  If you use Zip Manager past the 14 day evaluation period you are
  34.  required to purchase it.
  35.  
  36.  Limited Warranty
  37.  ----------------
  38.  Software Excellence By Design does not warrant that the licensed software 
  39.  will meet your requirements or that the operation of the software will be
  40.  uninterrupted or error free.  The warranty does not cover any media or
  41.  documentation which has been subjected to damage or abuse by you or others.
  42.  The software warranty does not cover any copy  of the licensed software
  43.  which has been altered or changed in any way. In other words, there is no
  44.  warranty either implied or expressed.
  45.  
  46.  ANY IMPLIED WARRANTIES INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR
  47.  FITNESS FOR A PARTICULAR PURPOSE ARE LIMITED TO THE TERM OF THE EXPRESS
  48.  WARRANTIES. Some States do not allow limitations on how long an implied
  49.  warranty lasts, so the above limitation may not apply to you.

  51.  Other Warranties

  53.  The warranties set forth above are in lieu of any and all other express or
  54.  implied warranties, whether oral, written, or implied, and the remedies set
  55.  forth above are the sole and exclusive remedies.

  57.  Limitation Of Liability

  59.  Software Excellence By Design Inc. is not responsible nor liable in anyway 
  60.  for any problems or  damage caused by the licensed software that may result 
  61.  from using the licensed  software. This includes, but is not limited to, 
  62.  computer hardware, computer software, operating systems, and any computer 
  63.  or computing accessories. End user agrees to hold Software Excellence By 
  64.  Design  Inc. harmless for any problems arising from the use of the software.
  65.  Software Excellence By Design Inc. SHALL NOT IN ANY CASE BE LIABLE FOR ANY 
  66.  SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT OR OTHER SIMILAR DAMAGES 
  67.  ARISING FROM ANY BREACH OF THESE WARRANTIES EVEN IF Software Excellence By 
  68.  Design Inc. OR ITS AGENTS OR DISTRIBUTORS HAVE BEEN ADVISED OF THE 
  69.  POSSIBILITY OF SUCH DAMAGES.

  71.  In no case shall Software Excellence By Design Inc.'s liability exceed the 
  72.  license fees paid for the right to use the licensed software, or a sum no 
  73.  greater than one Dollar ($1.00), whichever is less.

  75.  Limited License To Copy The Software
  76.  ------------------------------------
  77.  You are granted a limited license to copy Zip Manager ONLY FOR THE TRIAL
  78.  USE OF OTHERS subject to the terms of this software license agreement
  79.  described herein, and that the conditions described below are met.

  81.  -> No fee, charge or other compensation may be accepted or requested by
  82.     anyone without the express written permission of Software Excellence By 
  83.     Design Inc.
  84.  
  85.  ->  Public Domain Disk Vendors May NOT CHARGE a fee for Zip Manager
  86.      itself. However you may include Zip Manager on a diskette for
  87.      which you charge a nominal distribution fee. The purchaser of said
  88.      diskette must be informed in advance that the fee paid to acquire the
  89.      diskette does NOT relieve said purchaser from paying the Registration
  90.      Fee for Zip Manager if said purchaser uses Zip Manager.
  91.      
  92. ->   The statement of shareware registration requirements MUST be printed
  93.      on a label, or other form, that is directly attached to the distribution
  94.      media.
  95.  
  96.  -> Operators of electronic bulletin board systems (Sysops) may post
  97.     Zip Manager for downloading by their users without written permission
  98.     ONLY AS LONG AS THE ABOVE CONDITIONS ARE MET.  A fee may be charged
  99.     for access to the BBS AS LONG AS NO SPECIFIC FEE IS CHARGED FOR
  100.     DOWNLOADING Zip Manager files without first obtaining the express
  101.     written permission from Software Excellence By Design Inc. to charge 
  102.     such a fee.
