  1. OEM DRIVER USE AND DISTRIBUTION LICENSE AGREEMENT
  2.  
  3. IMPORTANT:  By opening this package or installing, distributing or using
  4. the Drivers, you agree to the terms of this Agreement.  Do not open this
  5. package until you have carefully read and agreed to the following terms and
  6. conditions.  If you do not agree to the terms of this Agreement, promptly
  7. return the unopened package.

  10. Please Also Note:
  11. - If you are an OEM, the complete LICENSE AGREEMENT applies
  12. - If you are an End-User, Exhibit A, the INTEL LICENSE AGREEMENT, applies
  13.

  15. Subject to the terms of this Agreement, Intel grants You the right to copy
  16. and distribute the enclosed software drivers ("Drivers"):
  17. 1.1     LIMITED COPYRIGHT LICENSE: Subject to the terms of this Agreement,
  18.     Intel grants to You a nonexclusive, nontransferable, worldwide,
  19.     fully paid-up license under Intel copyrights to:
  20.     a)      reproduce Drivers internally for your own development and
  21.     maintenance purposes; and
  22.     b)      reproduce and distribute Drivers to your end-users, but
  23.     only under a license agreement with terms at least as
  24.     restrictive as those contained in Intel's End-User  License
  25.     Agreement, attached as Exhibit A; and
  26.     c)      modify, copy and distribute the end-user documentation
  27.     which may accompany the Drivers.
  28. 1.2     You shall not otherwise assign, sublicense, lease, or in any other
  29.     way transfer or disclose Drivers to any third party.
  30. 1.3     You shall not reverse- compile, disassemble or otherwise
  31.     reverse-engineer the Drivers.
  32. 1.4     If You are not the final manufacturer or vendor of a computer
  33.     system incorporating the Drivers, then You may transfer a copy of
  34.     the Drivers (and related end-user documentation) to Your recipient
  35.     for use in accordance with the terms of this Agreement, provided
  36.     such recipient agrees to be bound by the terms hereof.
  37. 1.5     Except as stated in this Section 1, no license or right is granted
  38.     to You directly or by implication, estoppel or otherwise.
  39.  
  40. 2.      ADDITIONAL CONDITIONS
  41. 2.1     Drivers and all copies of each are and will remain the property of
  42.     Intel or its suppliers.  You will reproduce and include all
  43.     copyright, proprietary information notices, or other notices
  44.     appearing on Drivers on all copies.
  45. 2.2     If You distribute Drivers to the U.S. Government or contractor You
  46.     must include the following legend on the distributed copies):
  47.     "Use, duplication, and disclosure by the Government is subject to
  48.     restrictions set forth in FAR 52.227-14, DFARS 252.227-7013 or
  49.     their successors."

  51. 3.      CONFIDENTIALITY
  52. 3.1     If You wish to have a third party consultant or subcontractor
  53.     ("Contractor") perform work which involves access to Drivers, You
  54.     shall obtain a written confidentiality agreement from the
  55.     Contractor which contains terms and obligations with respect to
  56.     Drivers no less restrictive than those set forth in this Agreement
  57.     and excluding any distribution rights.
  58. 3.2     You may not disclose the terms or existence of this Agreement or
  59.     use Intel's name in any publications, advertisements, or other
  60.     announcements without Intel's prior written consent.  You do not
  61.     have any rights to use Intel's trademarks.
  62.  
  63. 4.      AUDIT RIGHTS
  64.     Intel shall have the right to inspect or have an independent
  65.     auditor inspect Your relevant records to verify Your compliance
  66.     with the terms and conditions of this Agreement.

  68. 5.      LIMITED WARRANTY AND DISCLAIMERS
  69. 5.1     IF THE MEDIUM ON WHICH THE SOFTWARE ARE PROVIDED IS FOUND TO BE
  70.     DEFECTIVE WITHIN NINETY (90) DAYS OF INTEL'S DELIVERY, INTEL WILL
  71.     REPLACE IT.  
  72. 5.2     EXCEPT FOR SECTION 5.1 ABOVE, INTEL MAKES NO WARRANTY OF ANY
  73.     KIND REGARDING  THE SOFTWARE.  THE SOFTWARE IS LICENSED TO YOU ON
  74.     AN "AS IS" BASIS AND INTEL WILL NOT PROVIDE ANY SUPPORT,
  75.     ASSISTANCE, INSTALLATION, TRAINING OR OTHER SERVICES.  INTEL WILL
  76.     NOT PROVIDE ANY UPDATES, ENHANCEMENTS OR EXTENSIONS.  INTEL
  77.     SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY,
  78.     NON- INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.  
  79. 5.3     NO LIABILITY: INTEL SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT,
  80.     SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGE OF ANY KIND, INCLUDING
  81.     BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, OR LOSS OF DATA,
  82.     ARISING UNDER THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF
  83.     SUCH DAMAGES.
  84. 5.4     NO INDEMNIFICATION.  The Drivers is provided "AS IS", and Intel
  85.     specifically disclaims any warranty or representation that use of
  86.     the Drivers will not infringe any intellectual property rights of
  87.     any third party.
  88.  
  89. 6.      TERM AND TERMINATION
  90. 6.1     You may terminate this Agreement and the license granted herein at
  91.     any time by notifying Intel in writing.  If You fail to abide by
  92.     the material provisions of this Agreement, Intel may immediately
  93.     terminate this Agreement by written notice to You.  Intel's right
  94.     to terminate is in addition to any other rights Intel may have.
  95. 6.2     If this Agreement is terminated for any reason, You will cease
  96.     distribution of Drivers copies and within thirty (30) days
  97.     following termination, either return to Intel or destroy all copies
  98.     of Drivers and certify to Intel that they have been destroyed.
  99.  
  100. 7.      GENERAL
  101. 7.1     This Agreement shall be governed by the laws of the United States
  102.     and the State of Delaware excluding its conflict of laws provisions.
  103. 7.2     The Drivers may be controlled for export purposes by the U.S.
  104.     Government.  You will not export, either directly or indirectly,
  105.     any Drivers without Intel's prior consent and without first
  106.     obtaining any required license or other approval from the U.S.
  107.     Department of Commerce or any other agency or department of the
  108.     United States Government as required.  
  109. 7.3     This is the entire agreement between You and Intel relating to this
  110.     subject matter, and no amendments or modifications will be
  111.     effective unless in a writing signed by authorized representatives
  112.     of both parties.
  113. 7.4     You may not assign this agreement or any part of it except with
  114.     Intel's prior written consent.

  119. EXHIBIT A

  121. INTEL LICENSE AGREEMENT 
  122.  
  123. IMPORTANT:  By opening this package or installing or using the Drivers, you
  124. agree to the terms of this Agreement.  Do not open this package until you
  125. have carefully read and agreed to the following terms and conditions.  If
  126. you do not agree to the terms of this Agreement, promptly return the
  127. unopened package.

  129. LICENSE:  Intel grants you the right to copy the software on the enclosed
  130. disc ("Drivers") onto a single computer for your internal use.  You will
  131. not use, copy, modify, sell or transfer any part of the Drivers except as
  132. provided in this Agreement.  Other rights may be granted to you in writing
  133. inside the package.
  134.  
  135. RESTRICTIONS: Except as specifically permitted in writing, you shall not:
  136. 1. Copy the Drivers except as provided in this Agreement.
  137. 2. Sublicense or permit simultaneous use of the Drivers by more than one user.
  138. 3. Distribute, transfer or otherwise provide the software to a third party
  139. except as provided in this Agreement.
  140. 4. Reverse engineer, decompile, or disassemble the Drivers.
  141.  
  142. OWNERSHIP AND COPYRIGHT OF SOFTWARE:  Title to the Drivers and all copies
  143. thereof remain with Intel or its suppliers.  The Drivers is copyrighted and
  144. is protected by United States copyright laws and international treaty
  145. provisions.  You will not remove the copyright notice from the Drivers.
  146. You agree to prevent any unauthorized copying of the Drivers.  Except as
  147. expressly provided herein, Intel does not grant any express or implied
  148. right to you under Intel patents, copyrights, trademarks, or trade secret
  149. information.
  150.  
  151. LIMITATION OF LIABILITY:  THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY
  152. EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF
  153. MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR  PURPOSE.  IN NO EVENT SHALL
  154. INTEL OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING,
  155. WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION,
  156. LOSS OF INFORMATION,) ARISING OUT OF THE USE OF OR INABILITY TO USE THE
  157. SOFTWARE, EVEN IF INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
  158. DAMAGES.  BECAUSE SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION
  159. OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION
  160. MAY NOT APPLY TO YOU.

  162. TRANSFER:  You may transfer the Drivers if the recipient agrees to the
  163. terms of this Agreement and you retain no full or partial copies of the
  164. Drivers and accompanying documentation on any media.  Transfer of the
  165. license ends your right to use the Drivers.
  166.  
  167. U.S. GOVERNMENT RESTRICTED RIGHTS:  The Drivers and documentation are
  168. provided with "RESTRICTED RIGHTS."  Use, duplication or disclosure by the
  169. Government is subject to restrictions as set forth in FAR52.227- 14 and
  170. DFAR252.227-7013 et seq.  or its successor.  Use of this Drivers by the
  171. Government constitutes acknowledgment of Intel's proprietary rights in the
  172. Drivers.

  174. APPLICABLE LAWS:  This Agreement is governed by the laws of the state of
  175. Delaware and the U.S.A.  You may not export the Drivers in violation of
  176. U.S. export laws and regulations.
