  5.          END-USER SOFTWARE LICENSE AGREEMENT

  8. License: Digital Equipment Corporation grants you the right to use the
  9.   accompanying Software under the conditions specified in this
  10.   Agreement.  You will not use, copy, modify, rent, sell or transfer
  11.   the Software or any portion thereof except as provided in this
  12.   Agreement.

  15. You May: 1. Use the Software on those DECpc and DECstation systems for
  16.   which it is explicitly licensed above.  2.  Copy the Software into
  17.   any machine readable form for backup or archival purposes in support
  18.   of your use of the Software on DECpc and DECstation systems.  3.
  19.   Transfer the software and license Agreement to another party if the
  20.   other party agrees to accept the terms and conditions of the
  21.   Agreement.  If you transfer the Software, you must at the same time
  22.   transfer all copies of the same and accompanying documentation, or
  23.   destroy any copies not transferred; 4. Use the Software on a
  24.   multiuser or network system provided that the Software is used only
  25.   on DECpc and DECstation systems for which the software is explictly
  26.   licensed above.

  28. You Will Not: 1. Sublicense the Software; 2. Use the software on PCs
  29.   other than those for which it is explicitly licensed above.  3.
  30.   Reverse engineer, decompile, or disassemble the Software; 4. Copy or
  31.   Transfer the Software in Whole or in Part, Except as Expressly
  32.   Provided for in this Agreement.

  34. Ownership and Copyright of Software: Title to the Software and all
  35.   copies thereof remains with Digital or its suppliers.  The Software
  36.   and documentation is copyrighted and is protected by the United
  37.   States copyright laws and international treaty provisions.  You will
  38.   not remove the copyright notice from the Software.  You will
  39.   reproduce the copyright notice on any copy or portion of the
  40.   Software.  You agree to prevent any unauthorized copying of the
  41.   Software and documentation.

  43. Disclaimer: The Software is provided "As Is" without warranty of any
  44.   kind.

  46. LIMITATION OF LIABILITY: THIS SOFTWARE COMES WITH NO WARRANTIES OF ANY
  47.   KIND EITHER EXPRESS OR IMPLIED INCLUDING WARRANTIES OF
  48.   MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE.  NEITHER
  49.   DIGITAL OR ITS VENDORS SHALL BE LIABLE FOR ANY LOSS OF PROFITS, LOSS
  50.   OF USE, INTERRUPTION OF BUSINESS, NOR FOR INDIRECT SPECIAL
  51.   INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND WHETHER UNDER THIS
  52.   AGREEMENT OR OTHERWISE, EVEN IF DIGITAL HAS BEEN ADVISED OF THE
  53.   POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.
  54.   SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY
  55.   FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATION OR
  56.   EXCLUSION MAY NOT APPLY TO YOU.

  58. Termination of this License: Digital Equipment Corporation may
  59.   terminate this license at any time if you are in breach of any of
  60.   its terms and conditions.  Upon termination, you will immediately
  61.   destroy the Software or return all copies of the Software and
  62.   documentation to Digital Equipment Corporation along with any copies
  63.   you have made.

  65. U.S. Government Restricted Rights: The Software and documentation are
  66.   provided with "Restricted Rights."  Use, duplication or disclosure
  67.   by the Government is subject to restrictions as set forth in
  68.   subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer
  69.   Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and
  70.   (2) of the Commercial Computer Software-- Restricted Rights at 48
  71.   CFR 52.227-19, as applicable.  Contractor/manufacturer is Digital
  72.   Equipment Corporation.

  74. Applicable Law: This agreement is governed by the laws of the state of
  75.   Massachusetts and the United States, including patent and copyright
  76.   laws.

  78. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND
  79.   AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
