  1.      PARAGRAPH INTERNATIONAL LICENSE AGREEMENT

  3.      Internet3D Space Builder v2.1
  4.  
  5.      NOTICE TO USER:
  6.      THIS IS A CONTRACT. CAREFULLY READ THIS AGREEMENT
  7.      BEFORE YOU START USING THE PRODUCT. BY USING THE
  8.      PRODUCT YOU ACCEPT ALL THE TERMS AND CONDITIONS
  9.      OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE
  10.      TERMS, YOU MAY, WITHIN FIFTEEN (15) DAYS OF
  11.      PURCHASE, CONTACT PARAGRAPH TO RECEIVE A FULL REFUND.

  13.      GRANT. ParaGraph International, Inc., whose address is 1688 Dell
  14.      Avenue, Campbell, California 95008 ("ParaGraph") hereby grants to you a
  15.      non-exclusive license to use its accompanying software product,
  16.      the Internet3D Space Builder v2.1 ("Software") on the following terms:
  17.  
  18.      You may:
  19.      (i) use the Software on any single computer for any commercial or
  20.      non-commercial purpose;
  21.      (ii) use the Software on a second computer so long as the first and
  22.      second computers are not used simultaneously; the Software is in
  23.      "use" when it is loaded into RAM, installed on a hard disk, or installed
  24.      on another storage device;
  25.      (iii) make a copy of the Software for archival purposes, provided
  26.      any copy must contain all of the original Software's proprietary
  27.      notices;
  28.      (iv) transfer the Software to a single recipient on a permanent
  29.      basis provided you retain no copies of the Software (including backup or
  30.      archival copies) and the recipient agrees to the terms and
  31.      conditions of this Agreement;
  32.      (v) distribute copies of your 3D Spaces; and
  33.      (vi) distribute clip media and 3D models delivered with the Software,
  34.      only in conjunction with content created by the Software. For any
  35.      distribution permitted hereunder, you agree to conduct such distribution in
  36.      accordance with the purposes set forth above; provided, however, that you include
  37.      Paragraph's and Paragraph's suppliers' copyright notices and Government end user
  38.      rights notices;
  39.  
  40.      You may not:
  41.      (i) modify, translate, reverse engineer, decompile, disassemble
  42.      (except to the extent applicable laws specifically prohibit such
  43.      restrictions) or create derivative works based on the Software, or
  44.      any portion thereof;
  45.      (ii) copy the Software (except for back-up purposes);
  46.      (iii) rent or lease the Software;
  47.      (iv) remove any proprietary notices or labels on or embedded in the Software, or
  48.      content created by the Software; or
  49.      (v) use ParaGraph's or ParaGraph's suppliers' name, logos, or
  50.      trademarks in any manner including, without limitation, in your
  51.      advertising or marketing materials, except as is necessary to affix
  52.      the appropriate copyright notices as required herein.
  53.  
  54.      TITLE. Title, ownership rights, and intellectual property rights in
  55.      and to the Software shall remain in ParaGraph and/or its suppliers.
  56.      The Software is protected by the copyright laws of the United States
  57.      and international copyright treaties. Title, ownership rights, and
  58.      intellectual property rights in and to the content accessed through
  59.      the Software is the property of the applicable content owner and may
  60.      be protected by applicable copyright or other law. This License gives
  61.      you no rights to such content.

  63.      LIMITED WARRANTY. ParaGraph warrants that the media containing the
  64.      Software, if provided by ParaGraph, is free from defects in material
  65.      and workmanship and will so remain for ninety (90) days from the date
  66.      you acquired the Software. ParaGraph's sole liability, and your sole
  67.      remedy, for any breach of this warranty shall be, in ParaGraph's sole
  68.      discretion:
  69.      (i) to replace your defective media; or
  70.      (ii) if the above remedy is impracticable, to refund the license fee
  71.      you paid for the Software. Replaced Software shall be covered by this
  72.      limited warranty for the period remaining under the warranty that covered
  73.      the original Software, or if longer, for thirty (30) days after the date
  74.      of shipment to you of the replaced Software. Only if you inform ParaGraph of
  75.      your problem with the Software during the applicable warranty period and provide
  76.      evidence of the date you acquired the Software will ParaGraph be obligated to honor
  77.      this warranty. ParaGraph will use reasonable commercial efforts to replace
  78.      or refund pursuant to the foregoing warranty within thirty (30) days
  79.      of being so notified.

  81.      THIS IS A LIMITED WARRANTY AND IT IS THE ONLY
  82.      WARRANTY MADE BY PARAGRAPH. PARAGRAPH MAKES NO
  83.      OTHER WARRANTY, REPRESENTATION, OR CONDITION,
  84.      EXPRESS OR IMPLIED, AND EXPRESSLY DISCLAIMS THE
  85.      IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS
  86.      FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT
  87.      OF THIRD PARTY RIGHTS. NO PARAGRAPH DEALER,
  88.      AGENT, OR EMPLOYEE IS AUTHORIZED TO MAKE ANY
  89.      MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS
  90.      WARRANTY.
  91.  
  92.      If any modifications are made to the Software by you during the warranty
  93.      period; if the media is subjected to accident, abuse, or improper use;
  94.      or if you violate the terms of this Agreement, then this warranty shall
  95.      immediately be terminated. This warranty shall not apply if the Software
  96.      is used on or in conjunction with hardware or software other than the unmodified
  97.      version of hardware and software with which the Software was designed
  98.      to be used.

  100.      THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS,
  101.      AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY
  102.      FROM STATE TO STATE OR BY JURISDICTION.
  103.  
  104.      LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES
  105.      AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR
  106.      OTHERWISE, SHALL PARAGRAPH OR ITS SUPPLIERS OR
  107.      RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR
  108.      ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL
  109.      DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT
  110.      LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK
  111.      STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY
  112.      AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, OR
  113.      FOR ANY DAMAGES IN EXCESS OF PARAGRAPH'S LIST PRICE
  114.      FOR A LICENSE TO THE SOFTWARE, EVEN IF PARAGRAPH
  115.      SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH
  116.      DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. THIS
  117.      LIMITATION OF LIABILITY SHALL NOT APPLY TO
  118.      LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT
  119.      APPLICABLE LAW PROHIBITS SUCH LIMITATION.
  120.      FURTHERMORE, SOME STATES DO NOT ALLOW THE EXCLUSION
  121.      OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES,
  122.      SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.

  124.      TERMINATION. This license will terminate automatically if you fail to
  125.      comply with the limitations described above. On termination, you must
  126.      destroy all copies of the Software.
  127.  
  128.      EXPORT CONTROLS. None of the Software, any portion thereof, or
  129.      underlying information or technology may be downloaded or exported or
  130.      reexported
  131.      (i) into (or to a national or resident of) Cuba, Iraq, Libya,
  132.      Yugoslavia, North Korea, Iran, Syria or any other country to which the
  133.      U.S. has embargoed goods or for which export is otherwise restricted
  134.      or prohibited; or
  135.      (ii) to anyone on the U.S. Treasury Department's list of Specially
  136.      Designated Nationals or the U.S. Commerce Department's Table of Deny
  137.      Orders.
  138.      By downloading or using the Software, or any portion thereof, you are
  139.      agreeing to the foregoing and you are representing and warranting that
  140.      you are not located in, under the control of, or a national or
  141.      resident of any such country or on any such list.
  142.  
  143.      MISCELLANEOUS. This Agreement represents the complete agreement
  144.      concerning this license between the parties and supersedes all prior
  145.      agreements and representations between them. It may be amended only by
  146.      a writing executed by both parties. THE ACCEPTANCE OF ANY PURCHASE
  147.      ORDER PLACED BY YOU IS EXPRESSLY MADE CONDITIONAL ON
  148.      YOUR ASSENT TO THE TERMS SET FORTH HEREIN, AND NOT
  149.      THOSE CONTAINED IN YOUR PURCHASE ORDER. If any provision of this
  150.      Agreement is held to be unenforceable for any reason, such provision
  151.      shall be reformed only to the extent necessary to make it enforceable.
  152.      This Agreement shall be governed by and construed under California law
  153.      as such law applies to agreements between California residents entered
  154.      into and to be performed within California, except as governed by
  155.      Federal law. The application of the United Nations Convention of Contracts
  156.      for the International Sale of Goods is expressly excluded.
  157.  
  158.      U.S. Government End Users. The Software is
  159.      "commercial computer software" as such term is used in 48 C.F.R.12.212
  160.      (SEPT 1995). Government end users acquire the Software under the
  161.      following terms:
  162.      (i) for acquisition by or on behalf of civilian agencies, consistent
  163.      with the terms set forth in 48 C.F.R. 12.212 (SEPT 1995); or
  164.      (ii) for acquisition by or on behalf of units of the Department of
  165.      Defense, consistent with the terms set forth in 48 C.F.R. 227.7202-1
  166.      (JUN 1995) and 227.7202-3 (JUN 1995).
