  4. SOFTWARE LICENSE AGREEMENT

  6. IMPORTANT:  THE ESYS CORPORATION ("ESYS") IS WILLING TO LICENSE THIS 
  7. SOFTWARE PROGRAM TO YOU ONLY IF YOU ACCEPT ALL OF THE TERMS IN 
  8. THIS LICENSE AGREEMENT.  PLEASE READ THE TERMS CAREFULLY BEFORE 
  9. YOU INSTALL THE SOFTWARE PROGRAM, BECAUSE BY PERFORMING THE 
  10. INSTALLATION YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS 
  11. AGREEMENT.  IF YOU DO NOT AGREE TO THESE TERMS, LICENSOR WILL NOT 
  12. LICENSE THIS SOFTWARE TO YOU, AND IN THAT CASE YOU SHOULD PROMPTLY 
  13. NOTIFY THE ESYS CORPORATION AND YOUR MONEY WILL BE REFUNDED.

  15. OWNERSHIP OF SOFTWARE:  Simeon Software and any accompanying 
  16. written materials (the "Program") are owned by THE ESYS CORPORATION 
  17. ("ESYS") and are protected by Canadian and United States copyright 
  18. laws, by laws of other nations, and by international treaties.  This 
  19. Program contains ESYSÆ proprietary software components, and third 
  20. party proprietary software components protected by copyright law.
  21.  
  22. GRANT OF LICENSE and COPYING RESTRICTIONS:  ESYS grants to 
  23. you the right to use the Program solely for your internal operations on 
  24. each computer for which the license was ordered.  You may not permit 
  25. concurrent access to the Program by more than the specified number of 
  26. computers for which the license was ordered.  You may make one copy 
  27. per site of the Program for backup purposes.  No other copies shall be 
  28. made without prior written consent of ESYS.  You may not use the 
  29. Program for commercial timesharing, rental or service bureau use.  The 
  30. Program may not be transferred, sold, assigned or otherwise conveyed 
  31. to another party without ESYSÆ prior written consent.  You agree not to 
  32. cause or permit the reverse engineering, disassembly or decompilation 
  33. of the Program. You agree not to remove any product identification, 
  34. copyright notices or other notices or proprietary restrictions from the 
  35. Program.

  37. TERMINATION:  This license is effective until terminated. You may 
  38. terminate this license at any time by ceasing use of the Program and 
  39. destroying or returning to ESYS all copies or partial copies of the 
  40. Program including all documentation, modifications and merged 
  41. portions in any form received from ESYS or generated in connection 
  42. with this license.

  44. LIMITED WARRANTY:  ESYS WARRANTS to the original Licensee that 
  45. the media on which the Program is recorded are free from defects in 
  46. material and workmanship under normal use for a period of 90 days 
  47. from the date of purchase. The sole and exclusive remedy in the event of 
  48. a defect in material or workmanship is expressly limited to replacement 
  49. of the media.  The Program is provided "as-is", with all faults,
  50. and WITHOUT ANY OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING 
  51. BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS 
  52. FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, WITH RESPECT TO 
  53. THE SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS.  IN NO EVENT 
  54. WILL ESYS BE LIABLE TO YOU FOR DAMAGES, INCLUDING ANY LOSS OF 
  55. PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR CONSEQUENTIAL 
  56. DAMAGES ARISING OUT OF YOUR USE OR INABILITY TO USE THE SOFTWARE.

  58. This limited warranty gives you specific legal rights.  You may have 
  59. other rights, which vary from state to state or from jurisdiction to 
  60. jurisdiction.  Because some states or jurisdictions do not allow the 
  61. limitation on duration of a warranty, or exclusion of implied warranties, 
  62. or exclusion or limitation of liability for consequential or incidental 
  63. damages, the above limitation or exclusions may not apply to you.

  65. U.S. Government Restricted Rights. The Software and documentation 
  66. are provided with Restricted Rights.  Use, duplication, or disclosure by 
  67. the Government is subject to restrictions set forth in subparagraph 
  68. (c)(1) of The Rights in Technical Data and Computer Software clause at 
  69. DFARS 252.227-7013 or subparagraphs (c)(1)(ii) and (2) of Commercial 
  70. Computer Software - Restricted Rights at 48 CFR 52.227-19, as 
  71. applicable.
