  7. IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY 
  8. BEFORE USING THE SOFTWARE.

  10. END USER LICENSE AGREEMENT
  11. MetaProducts Corporation ("MPC") agrees to provide the user ("USER") with a copy 
  12. of this software product ("SOFTWARE"), and grants the USER a limited license to use 
  13. the SOFTWARE. ("LICENSE")  This LICENSE defines what the USER may do with the 
  14. SOFTWARE, and contains limitations on warranties, liabilities and remedies.  This 
  15. LICENSE may be revoked by MPC at any time without notice if the USER fails to 
  16. comply with the terms of this LICENSE.  The copyright and all other rights in the 
  17. SOFTWARE shall remain with MPC.

  19. LICENSE OF UNREGISTERED SOFTWARE
  20. An unregistered copy of the SOFTWARE ("UNREGISTERED SOFTWARE") may be
  21. used by the USER for evaluation purposes for a period of thirty (30) days following the 
  22. initial installation of the UNREGISTERED SOFTWARE. ("TRIAL PERIOD")  At the end 
  23. of the TRIAL PERIOD, the user must either register the SOFTWARE or remove it 
  24. from his system.  The UNREGISTERED SOFTWARE may be freely copied and 
  25. distributed to others users for their evaluation.

  27. LICENSE OF REGISTERED SOFTWARE
  28. A registered copy of the SOFTWARE ("REGISTERED SOFTWARE") allows the USER
  29. to use the SOFTWARE only on a single computer or network, and only by a single user 
  30. at a time.  If the USER wishes to use the SOFTWARE for more than one user, the 
  31. USER will need a separate license for each individual user.  The USER is allowed to 
  32. make one copy of the REGISTERED SOFTWARE for back-up purposes.

  34. TERM OF LICENSE
  35. This LICENSE shall continue for as long as the USER uses the SOFTWARE. 
  36. However, this LICENSE will terminate if the USER fails to comply with any of its terms
  37. or conditions. The USER agrees, upon termination, to destroy all copies of the
  38. SOFTWARE.  The limitations of warranties and liability set forth in this LICENSE shall
  39. continue in force even after termination.

  41. ACCEPTANCE OF THIS LICENSE AGREEMENT
  42. By downloading and/or installing this SOFTWARE, the USER agrees to the terms of 
  43. this LICENSE.

  45. DISCLAIMER OF WARRANTY AND LIABILITY
  46. This SOFTWARE is provided "as is" without representations or warranties of any kind, 
  47. whether expressed or implied.  The USER must assume the entire risk of using the 
  48. SOFTWARE, and MPC shall have no liability to the USER or any other third-party for 
  49. any damages whatsoever, including, but not limited to, any economic or data loss, 
  50. even if such loss was foreseeable by MPC.

  52. ANY LIABILITY OF MPC WILL BE LIMITED EXCLUSIVELY 
  53. TO PRODUCT REPLACEMENT OR REFUND OF ORIGINAL PURCHASE PRICE.

  55. OTHER RESTRICTIONS
  56. The USER may not translate, disassemble, reverse engineer, or de-compile the 
  57. SOFTWARE, or modify or merge the SOFTWARE with any part of the software in 
  58. another program.   This LICENSE may not be assigned or otherwise transferred 
  59. without the prior written consent of MPC.
  60.  
  61. INVALID PROVISIONS
  62. If any provision of this LICENSE shall be declared invalid or unenforceable, the 
  63. remaining provisions of this LICENSE shall remain in full force and effect to the 
  64. fullest extent permitted by law.  In such event, each provision of this LICENSE 
  65. which is invalid or unenforceable shall be replaced with a provision as similar in 
  66. terms to such invalid or unenforceable provision as may be possible which is 
  67. legal and enforceable.

  69. ENTIRE AGREEMENT
  70. This LICENSE is the entire agreement between MPC and the USER, and supersedes 
  71. any other agreement, oral or written, and may not be changed except by a written 
  72. signed agreement.

  74. GOVERNING LAW
  75. This agreement shall be governed by the laws of the State of Ohio.
