  2.                INFORMATION FOR SOFTWARE VENDORS / DISTRIBUTORS

  4. If you would like to become an authorised vendor/distributor of 
  5. Innovative Applications, please write to us, international inquiries are 
  6. welcome. To help facilitate our approval process please send a copy of your 
  7. current catalog, or your statement of being an approved Association of 
  8. Shareware Profesionals (ASP) or Shareware Trade Association and Resources 
  9. (STAR) vendor, or send us your, or request our, vendor agreement. 
  10. Please reply to our address below.

  12. This VENDOR.TXT describes the only terms by which Innovative Applications,
  13. 6 Forest Glen Cherrybrook NSW 2126, Australia, permit Commercial Distribution 
  14. of this Program.
  15.  
  16. "Commercially distribute" means to distribute for money or other
  17. consideration.  It includes copying onto magnetic disks, CD-Roms
  18. or any other tangible medium now or subsequently known, and
  19. distribution by retail rack, direct mail, catalog, advertisement,
  20. or trade show.  It does *not* include distribution by any not-
  21. for-profit organization, by any hobby, user or computer interest
  22. group to its members, or electronically by any BBS.

  24. "Program" means this Version 1.0 and its related files (including
  25. this one) distributed by us under the mark "SQUIRT"
  26. (collectively, the "Trademark"), as it may be upgraded or
  27. otherwise modified from time-to-time.

  29. Distribution is "non-commercial" when for free, or by any not-for-
  30. profit corporation or tax exempt organization, or by hobby, user or
  31. computer interest group to its members, or by any BBS.

  33. A. OWNERSHIP:  Except to the extent expressly licensed by us, we
  34. have and reserve the exclusive copyright and other rights, title
  35. and interest to distribute the Program and all earlier versions
  36. of it, and the right to use the Trademark in connection with them.

  38. B.   DISTRIBUTION:  You may Commercially Distribute the Program,
  39.      under this License so long as you:
  40.  [1] Market it as shareware using "try before you buy" or similar words,
  41.  [2] Try to sell only the most current version of it,
  42.  [3] Make distribution copies only from master copies received directly
  43.      from us using high quality disks and duplication technology,

  55. any copying or distribution of the Program by anyone else without
  56. our consent in writing, or [2] rent or lease the Program, or
  57. [3] sell it as part of any hardware or software package, or [4]
  58. bundle this program as an incentive for any other product.

  60. E. THE PROGRAM IS PROVIDED "AS-IS".  NO WARRANTIES OF ANY KIND,
  61. EXPRESS OR IMPLIED, ARE MADE AS TO IT OR ANY MEDIUM IT MAY BE ON. 
  62. WE WILL PROVIDE NO REMEDY FOR INDIRECT, CONSEQUENTIAL, PUNITIVE
  63. OR INCIDENTAL DAMAGES ARISING FROM IT, INCLUDING SUCH FROM
  64. NEGLIGENCE, STRICT LIABILITY, OR BREACH OF WARRANTY OR CONTRACT,
  65. EVEN AFTER NOTICE OF THE POSSIBILITY OF SUCH DAMAGES.

  67. F. TERM:  This License terminates upon 30 days prior written notice
  68. by either us to the other.  If terminated by us by such notice, you
  69. may distribute the Program until the earlier of 30 days after the
  70. termination date in the notice, or completion of the distribution
  71. of the copies you have in stock.  Sections A, D and H will survive
  72. the termination of this License.

  74. H. MISCELLANY
  75.  [1] Since we would be irreparably damaged if Section A, B, C or D
  76.      of this License were not specifically enforced, we will be
  77.      entitled without bond, other security or proof of damages, to
  78.      appropriate equitable remedies with respect to breaches of such
  79.      sections, in addition to such other remedies as we may have.

  81.      agents harmless from damage, loss and expense arising directly or
  82.      indirectly from your acts and omissions in copying and
  83.      distributing the Program.
