  2. WARRANTY DISCLAIMER 
  3. REDISTRIBUTION OF SOFTWARE NOT

  6. License for RealNetworks' Encoder Product, Version 5.0
  7.  
  8. IMPORTANT -- READ CAREFULLY:  This 
  9. RealNetworks License Agreement ("License 
  10. Agreement") is a legal agreement between you (either an 
  11. individual or an entity) and RealNetworks, Inc. and it's 
  12. suppliers and licensors (collectively "RN") for the RN 
  13. Encoder software product, which includes computer 
  14. software and associated media and printed materials, 
  15. whether provided in physical form or received on-line in 
  16. electronic form ("Software").  By clicking on the "I 
  17. Accept" button, installing, copying or otherwise using 
  18. the Software, you agree to be bound by the terms of this 
  19. License Agreement.  If you do not agree to the terms of 
  20. this License Agreement, click on the "I Do Not Accept" 
  21. button and do not install the Software.

  26. This Software and the Documentation is proprietary to 
  27. RN, and is protected by the copyright and other 
  28. intellectual property laws of the United States and 
  29. international treaties.  The Software is licensed, not sold. 
  30.  
  31. 1.  GRANT OF LICENSE.   Subject to the provisions 
  32. contained in this License Agreement, RN hereby grants 
  33. you a non-exclusive, non-transferable, perpetual, 
  34. worldwide license to install and use the Software 
  35. according to the following terms and conditions:
  36.  
  37. (a)    Installation/Use.  This License permits you to 
  38. install one copy of the on a single computer containing 
  39. one or more central processing units ("CPU's").  You 
  40. may use your installed copy of the Software to lawfully 
  41. encode audio or video content into RN's RealAudio(.ra) 
  42. or RealVideo (.rv) format ("Encoded Content"). 
  43.  
  44. (b)    HTTP Streaming/Trademark Usage.  This 
  45. License also permits you to embed Encoded Content into 
  46. HTML web pages for the purpose of streaming such 
  47. Encoded Content from an HTTP web server ("HTTP 
  48. Streaming"). If you make Encoded Content available for 
  49. HTTP Streaming, you agree to notify web page visitors, 
  50. in a conspicuous manner, which files are available in the 
  51. RealAudio or RealVideo format.   Further, if you embed 
  52. Encoded Content for HTTP Streaming, RN hereby 
  53. grants you a non-exclusive, limited license to use, and 
  54. you agree that you shall always use, RN's trademarks in 
  55. accordance with RN's Trademark and Logo Usage 
  56. Policy at 
  57. http://www.real.com/corporate/logos/policy.html., and 
  58. for the sole purpose of informing web page visitors that 
  59. Encoded Content is in RN's RealAudio or RealVideo 
  60. format.  You agree that you shall not use any RN 
  61. trademark in a way which may imply that you are an 
  62. agency or branch of RN.  You agree that you shall not 
  63. use any RN trademark in a way which may imply that 
  64. RN endorses, is affiliated with, or sponsors you or your 
  65. products without RN's express written permission.  You 
  66. also agree that you may not link directly to any media 
  67. file or .ram file made available from the RN website. 
  68.  
  69. (c)    Restrictions on Transfer.  Except as otherwise 
  70. expressly allowed under this agreement, you shall not 
  71. rent, lease, sell, sublicense, assign, pledge, encumber or 
  72. otherwise transfer the Software.  Any party authorized 
  73. by RN to use or receive the Software must agree to be 
  74. bound by, and Recipient agrees to inform all users of the 
  75. Software of, the terms and conditions of this License 
  76. Agreement  RN reserves the right to withhold such 
  77. authorization for any reason.

  79. 2.    OTHER RIGHTS AND LIMITATIONS. Dual-
  80. Media Software. If you receive the Software in more 
  81. than one medium (e.g., by electronic distribution and on 
  82. CD-ROM), regardless of the type or size of medium you 
  83. receive, you may use only one medium that is 
  84. appropriate for your single computer.  You may not use 
  85. or install the other medium on another computer.  You 
  86. may not loan, rent, lease, grant a security interest in, or 
  87. otherwise transfer the other medium to another user. No 
  88. Copying.  You may not copy the Software or any 
  89. accompanying documentation, except that you may 
  90. make a single copy of the software for archival purposes 
  91. only, provided such copy must contain all of the original 
  92. Software's proprietary notices.  No Modifications or 
  93. Reverse Engineering. You may not remove any 
  94. proprietary notices or labels from the Software, and you 
  95. may not modify, translate, reverse engineer, decompile 
  96. or disassemble (except to the extent that this restriction 
  97. is expressly prohibited by applicable law), or create 
  98. derivative works based on the Software.  
  99. Rental/Transfer.  You may not rent, lease, sell or transfer 
  100. the Software or documentation without RN's express 
  101. written consent, which RN may withhold in its 
  102. discretion. Reservation of Rights.  All rights not 
  103. expressly granted to you are reserved to RN.
  104.  
  105. 3.  TITLE.  The Software is licensed, not sold.  Title, 
  106. ownership rights and intellectual property rights in and 
  107. to the Software (including any images, animations, 
  108. video, audio, music, and text incorporated into the 
  109. Software), accompanying printed materials, and any 
  110. copies you are expressly permitted to make herein are 
  111. owned by RN or its suppliers and are protected by 
  112. United States copyright law and international treaty 
  113. provisions. You may not copy the printed materials 
  114. accompanying the Software.

  116. 4. DISCLAIMER OF WARRANTY.  THE SOFTWARE 
  117. IS PROVIDED AS IS WITHOUT WARRANTY OF 
  118. ANY KIND.  TO THE MAXIMUM EXTENT 
  119. PERMITTED BY APPLICABLE LAW, RN FURTHER 
  120. DISCLAIMS ALL WARRANTIES, INCLUDING 
  121. WITHOUT LIMITATION ANY IMPLIED 
  122. WARRANTIES OF MERCHANTABILITY, FITNESS 
  123. FOR A PARTICULAR PURPOSE, AND 
  124. NONINFRINGEMENT.  YOU ASSUME THE ENTIRE 
  125. RISK ARISING OUT OF THE USE OR 
  126. PERFORMANCE OF THE SOFTWARE AND 
  127. DOCUMENTATION.  SHOULD THE SOFTWARE 
  128. PROVE DEFECTIVE, YOU ASSUME THE ENTIRE 
  129. COST OF ALL NECESSARY REPAIR OR 
  130. CORRECTION.  RN SHALL NOT BE RESPONSIBLE 
  131. FOR ANY DEFECT THAT RESULTS FROM YOUR 
  132. ABUSE, MISUSE OR OTHER CONDUCT OR 
  133. CONDITIONS OUTSIDE THE CONTROL OF RN.  
  134. RN MAKES NO REPRESENTATION OR 
  135. WARRANTY THAT THE INFORMATION OR 
  136. FUNCTIONS CONTAINED IN THE SOFTWARE 
  137. WILL MEET YOUR REQUIREMENTS OR THAT 
  138. THE OPERATION OF THE SOFTWARE WILL BE 
  139. UNINTERRUPTED, ERROR-FREE OR SECURE, OR 
  140. THAT ANY SOFTWARE DEFECTS ARE 
  141. CORRECTABLE OR WILL BE CORRECTED.  IN 
  142. ADDITION, ANY SECURITY MECHANISMS 
  143. IMPLEMENTED BY THE SOFTWARE HAVE 
  144. INHERENT LIMITATIONS, AND YOU MUST 
  145. DETERMINE THAT THE SOFTWARE 
  146. SUFFICIENTLY MEETS YOUR REQUIREMENTS.  
  147.  
  148. 5.  LIMITATION OF LIABILITY.  UNDER NO 
  149. CIRCUMSTANCES AND UNDER NO LEGAL 
  150. THEORY, WHETHER IN TORT, CONTRACT OR 
  151. OTHERWISE, SHALL RN OR ITS SUPPLIERS OR 
  152. RESELLERS BE LIABLE TO YOU OR ANY OTHER 
  153. PERSON FOR ANY INDIRECT, SPECIAL, 
  154. INCIDENTAL, OR CONSEQUENTIAL DAMAGES 
  155. OF ANY CHARACTER ARISING OUT OF THE USE 
  156. OF OR  INABILITY TO USE THE SOFTWARE, THE 
  157. DOCUMENTATION OR ANY OTHER 
  158. ACCOMPANYING MATERIALS, INCLUDING, 
  159. WITHOUT LIMITATION, DAMAGES FOR LOSS OF 
  160. GOODWILL, WORK STOPPAGE, COMPUTER 
  161. FAILURE OR MALFUNCTION, OR ANY AND ALL 
  162. OTHER COMMERCIAL DAMAGES OR LOSSES, 
  163. ARISING OUT OF THE USE OF OR INABILITY TO 
  164. USE THE SOFTWARE, EVEN IF RN HAS BEEN 
  165. INFORMED OF THE POSSIBILITY OF SUCH 
  166. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER 
  167. PARTY.  FURTHER, IN NO EVENT SHALL RN'S 
  168. LIABILITY UNDER ANY PROVISION OF THIS 
  169. AGREEMENT EXCEED THE LICENSE FEE PAID 
  170. TO RN FOR THE SOFTWARE.  BECAUSE SOME 
  171. STATES/JURISDICTIONS DO NOT ALLOW THE 
  172. EXCLUSION OR LIMITATION OF LIABILITY FOR 
  173. CONSEQUENTIAL OR INCIDENTAL DAMAGES, 
  174. THE ABOVE LIMITATION MAY NOT APPLY TO 
  175. YOU.
  176.  
  177. 6.  INDEMNIFICATION. You agree to hold harmless,  
  178. indemnify and defend RN, its officers, directors and 
  179. employees, from and against any losses, damages, fines 
  180. and expenses (including attorneys' fees and costs) arising 
  181. out of or relating to any claims that you have encoded, 
  182. copied, enabled the "Selective Record" feature, or 
  183. transmitted any materials (other than materials provided 
  184. by RN) in connection with the Software in violation of 
  185. another party's rights.  If you are importing the Software 
  186. from the United States, you agree to indemnify and hold 
  187. RN harmless from and against any import and export 
  188. duties or other claims arising from such importation. 
  189.  
  190. 7.  TERMINATION.  This License Agreement will 
  191. automatically terminate if you fail to comply with any 
  192. term hereof.  No notice shall be required from RN to 
  193. effect such termination. Upon termination, you agree to 
  194. destroy all copies of the Software and its documentation.

  196. 8.  MISCELLANEOUS.  This License Agreement shall 
  197. constitute the complete and exclusive agreement 
  198. between us. This License Agreement may not be 
  199. modified except in a writing duly signed by an 
  200. authorized representative of RN and you.  If any 
  201. provision of this License Agreement is held to be 
  202. unenforceable for any reason, such provision shall be 
  203. reformed only to the extent necessary to make it 
  204. enforceable, and such decision shall not affect the 
  205. enforceability of such provision under other 
  206. circumstances, or of the remaining provisions hereof 
  207. under all circumstances.  This License Agreement shall 
  208. be governed by the laws of the State of Washington 
  209. without regard to conflicts of law provisions and you 
  210. consent to the exclusive jurisdiction of the state and 
  211. federal courts sitting in the State of Washington. Any 
  212. and all unresolved disputes arising under this License 
  213. Agreement shall be submitted to arbitration in the State 
  214. of Washington.  The arbitration shall be conducted under 
  215. the rules then prevailing of the American Arbitration 
  216. Association.  The award of the arbitrator shall be binding 
  217. and may be entered  as a judgment in any court of 
  218. competent jurisdiction. This License Agreement will not 
  219. be governed by the United Nations Convention of 
  220. Contracts for the International Sale of Goods, the 
  221. application of which is hereby expressly excluded.

  223. 9.  U.S. GOVERNMENT RESTRICTED RIGHTS.  This 
  224. Software and documentation are provided with 
  225. RESTRICTED RIGHTS.  Use, duplication or disclosure 
  226. by the Government is subject to restrictions set forth in 
  227. subparagraphs (a) through (d) of the Commercial 
  228. Computer Software--Restricted Rights at FAR 52.227-
  229. 19 when applicable, or in subparagraph (c)(1)(ii) of the 
  230. Rights in Technical Data and Computer Software clause 
  231. at DFARS 252.227-7013, and in similar clauses in the 
  232. NASA FAR supplement, as applicable.  Manufacturer is 
  233. RealNetworks, Inc./1111 Third Avenue, Suite 2900/ 
  234. Seattle, Washington, 98101.  You acknowledges that 
  235. none of the Software or underlying information or 
  236. technology may be download or otherwise exported or 
  237. re-exported (i) into (or to a national or resident of) Cuba, 
  238. Iran, Iraq, Libya,  North Korea, Syria, Sudan or Angola 
  239. or any other country to which the U.S. has embargoed 
  240. goods; or (ii) to anyone on the U.S. Treasury 
  241. Department's list of Specially Designated Nationals or 
  242. the U.S. Commerce Department's Table of Denial 
  243. Orders. By using the Software you are agreeing to the 
  244. foregoing and are representing and warranting that you 
  245. are not located in under the control of a national or 
  246. resident or resident of any such country or on any such 
  247. list.
