  1. eSafe Protect LICENSE AGREEMENT
  2.  
  3. Please read this License Agreement before downloading the Product
  4. and indicate your acceptance by choosing the 'I accept' Button 
  5.  
  6. This Agreement was last updated on June 12, 1997

  8. YOU MUST READ AND AGREE TO THIS VERSION OF THIS AGREEMENT BEFORE
  9. USING eSafe Protect. (the "Product"). By completing the installation
  10. process or clicking the 'I accept' button, you are indicating that 
  11. you agree to be bound by all the terms of this Agreement. You may 
  12. print and keep a copy of this Agreement. 
  13.  
  14. This Agreement has 3 sections.  Section I applies if you are 
  15. downloading the Product free of charge for evaluation purposes only.
  16. Section II applies if you have purchased a license to the Product.
  17. Section III applies to all grants of license.
  18.  
  19. Section I -- TERMS APPLICABLE TO GRANT OF EVALUATION LICENSE 
  20.  
  21. EliaShim Ltd. ("EliaShim") grants you a non-exclusive license to 
  22. use the Product free of charge for the purpose of evaluating whether
  23. to purchase an ongoing license to the Product.  The evaluation period
  24. is limited to 30 days. If you are using the Product free of charge,
  25. you are not entitled to hard-copy documentation or support. You may 
  26. use the Product in the manner described in Section III below under
  27. "Extent of Grant."
  28.  
  29. DISCLAIMER OF WARRANTY.
  30.  
  31. The Product is provided on an "AS IS" basis, without warranty of
  32. any kind. IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, 
  33. SATISFACTION AND MERCHANTABILITY SHALL NOT APPLY. SOME JURISDICTIONS
  34. DO NOT ALLOW EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER
  35. MAY NOT APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY
  36. BY JURISDICTION. The entire risk as to the quality and performance
  37. of the Product is borne by you. This disclaimer of warranty constitutes
  38. an essential part of the agreement. 
  39.  
  40. If you initially acquired a copy of the Product without purchasing
  41. a license and you wish to purchase a license, contact EliaShim on
  42. the Internet at http://www.esafe.com or http://www.eliashim.com or

  45. SECTION II -- APPLICABLE TERMS WHEN LICENSE FEE PAID
  46.  
  47. GRANT. Subject to payment of applicable license fees, EliaShim grants
  48. to you a non-exclusive license to use the Product and accompanying 
  49. documentation ("Documentation") in the manner described in Part III
  50. below under "Extent of Grant."
  51.  
  52. LIMITITATION OF WARRANTY.
  53.  
  54. EliaShim warrants that for a period of ninety (90) days from the date
  55. of acquisition, the Product, if operated as directed, will substantially
  56. perform in accordance with the functionality described in the 
  57. Documentation. EliaShim does not warrant, however, that your use of 
  58. the Product will be uninterrupted or that the operation of the Product
  59. will be error-free or secure. EliaShim's sole liability for any breach
  60. of this warranty shall be, in EliaShim's sole discretion: (i) to replace
  61. or repair your defective Product; or (ii) to refund the price paid for 
  62. the Product. Any replacement or repaired Product will be warranted for
  63. the remainder of the original warranty period or 30 days, whichever 
  64. is longer. Only if you inform EliaShim in writing of your problem with
  65. the Product during the applicable warranty period and provide evidence 
  66. of the date you purchased a license to the Product will EliaShim be 
  67. obligated to honor this warranty. EliaShim will use reasonable commercial
  68. efforts to repair, replace or refund pursuant to the foregoing warranty
  69. within 30 days of being so notified.
  70.  
  71. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY MADE BY ELIASHIM.
  72. ELIASHIM MAKES NO OTHER EXPRESS WARRANTY AND NO WARRANTY OF NONINFRINGEMENT
  73. OF THIRD PARTIES' RIGHTS. THE DURATION OF IMPLIED WARRANTIES, INCLUDING
  74. WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A
  75. PARTICULAR PURPOSE, IS LIMITED TO THE ABOVE LIMITED WARRANTY PERIOD;
  76. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY
  77. LASTS, SO LIMITATIONS MAY NOT APPLY TO YOU. NO ELIASHIM DEALER, AGENT, OR
  78. EMPLOYEE IS AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS
  79. TO THIS WARRANTY. If any modifications are made to the Product by you
  80. during the warranty period; if the media is subjected to accident, abuse,
  81. or improper use; or if you violate the terms of this Agreement, then 
  82. this warranty shall immediately be terminated. This warranty shall not
  83. apply if the Product is used on or in conjunction with hardware or 
  84. Product other than the unmodified version of hardware and Product with
  85. which the Product was designed to be used as described in the Documentation.
  86. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER 
  87. LEGAL RIGHTS THAT VARY BY JURISDICTION.
  88.  
  89. SECTION III -- TERMS APPLICABLE TO ALL GRANTS OF LICENSE
  90.  
  91. EXTENT OF GRANT.
  92.  
  93. Product: You may use one copy of the Product on any single computer.
  94.  
  95. Network: You may allow other computers over an internal network to use
  96. the Product, provided that you must acquire and dedicate a license to
  97. the Product for each computer on which the Product is used or to which
  98. it is distributed. A license for the Product may not be shared or used 
  99. concurrently on different computers.
  100.  
  101. Back-up: You may make a single back-up copy of the Product for archival 
  102. purposes.
  103.  
  104. Limitations: You may not modify, translate, reverse engineer, decompile, 
  105. disassemble (except to the extent applicable laws specifically prohibit
  106. such restriction), or create derivative works based on the Product.
  107.  
  108. Rental: You may not rent or lease the Product.
  109.  
  110. Transfer: You may permanently transfer all of your rights under this
  111. Agreement only as part of a sale or transfer of your computer, provided
  112. you retain no copies, you transfer all of the Product, and, the recipient
  113. agrees to the terms of this Agreement. If the Product is an upgrade,
  114. any transfer must include all prior versions of the Product.
  115.  
  116. COPYRIGHT.
  117.  
  118. Title, ownership rights, and intellectual property rights in the Product
  119. and Documentation are owned by EliaShim and/or its suppliers. The Product
  120. is protected by the copyright laws and treaties.  You may not copy the
  121. Documentation.
  122.  
  123. TERMINATION.
  124.  
  125. Without prejudice to any other rights, EliaShim may terminate this
  126. license if you fail to comply with the limitations described herein.
  127. On termination, you must destroy all copies of the Product and Documentation.
  128.  
  129. CONSEQUENTIAL DAMAGES
  130.  
  131. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR
  132. OTHERWISE, SHALL ELIASHIM OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO
  133. YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR 
  134. CONSEQUENTIAL DAMAGES OF ANY TYPE INCLUDING, WITHOUT LIMITATION,
  135. DAMAGES FOR LOSS OF GOODWILL, BUSINESS INTERUPTION, COMPUTER FAILURE
  136. OR MALFUNCTION, LOSS OF BUSINESS PROFITS, LOSS OF BUSINESS INFORMATION,
  137. DAMAGES FOR PERSONAL INJURY OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR
  138. LOSSES. IN NO EVENT WILL ELIASHIM BE LIABLE FOR ANY DAMAGES IN EXCESS
  139. OF THE AMOUNT ELIASHIM RECEIVED FROM YOU FOR A LICENSE TO THE PRODUCT,
  140. EVEN IF ELIASHIM SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH 
  141. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. SOME JURISDICTIONS DO 
  142. NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL 
  143. DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.
  144.  
  145. EXPORT CONTROLS.
  146.  
  147. None of the Product or underlying information or technology may be
  148. downloaded or otherwise exported or reexported (i) into (or to a 
  149. national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria 
  150. or any other country to which the U.S. has embargoed goods; or 
  151. (ii) to anyone on the U.S. Treasury Department's list of Specially 
  152. Designated Nationals or the U.S. Commerce Department's Table 
  153. of Denial Orders. By downloading or using the Product, you are 
  154. agreeing to the foregoing and you are representing and warranting 
  155. that you are not located in, under the control of, or a national 
  156. or resident of any such country or on any such list.
  157.  
  158. MISCELLANEOUS.
  159.  
  160. If the copy of the Product you received was accompanied by a printed
  161. or other form of "hard-copy" End User License Agreement whose terms 
  162. vary from this Agreement, then the hard-copy End User License Agreement 
  163. governs your use of the Product.  This Agreement represents the complete 
  164. agreement concerning this license and may amended only by a writing 
  165. executed by both parties. THE ACCEPTANCE OF ANY PURCHASE ORDER PLACED 
  166. BY YOU IS EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS SET 
  167. FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER. If any provision 
  168. of this Agreement is held to be unenforceable, such provision shall be 
  169. reformed only to the extent necessary to make it enforceable.  This 
  170. Agreement shall be governed by Florida law (except for conflict of 
  171. law provisions). The application the United Nations Convention of 
  172. Contracts for the International Sale of Goods is expressly excluded.
  173.  
  174. U.S. GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or disclosure 
  175. by the Government is subject to restrictions set forth in 
  176. subparagraphs (a) through (d) of the Commercial Computer-Restricted 
  177. Rights clause at FAR 52.227-19 when applicable, or in subparagraph 
  178. (c)(1)(ii) of the Rights in Technical Data and Computer Software 
  179. clause at DFARS 252.227-7013, or at 252.211-7015, as applicable, and
  180. in similar clauses in the NASA FAR Supplement. Manufacturer is

  185. I HAVE READ AND UNDERSTOOD THIS LICENSE AGREEMENT AND AGREE TO BE 
  186. BOUND BY ALL OF THE TERMS.
