  1. License Agreement for IBM SystemView Agent

  4. YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS.
  5. YOU MUST AGREE TO THESE TERMS BEFORE YOU DOWNLOAD, INSTALL OR USE THIS
  6. SOFTWARE. ANY SUCH DOWNLOADING OR USE INDICATES YOUR ACCEPTANCE OF
  7. THESE TERMS.  IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD THE PROGRAM.

  9. LICENSE GRANT

  11. A.      International Business Machines Corporation (IBM) grants you a
  12. non-exclusive, nontransferable license to use the IBM SystemView Agent
  13. (the "Software").  The Software is copyrighted and licensed (not sold). IBM
  14. does not transfer titl to the Software to you.  You obtain no rights other
  15. than those granted under this license.
  16.  
  17. B.      Under this license, you may:
  18.  
  19.         1.      Use the Software on one or more machines at a time for the
  20.         development and testing of your software applications;
  21.         2.      Make copies of the Software for use or backup purposes within
  22.         your enterprise, provided you reproduce the copyright notice and any
  23.         other legend of ownership on each copy or partial copy of the Software;
  24.         3.      Reproduce and distribute the Software solely in object code
  25.         format, as integrated in the applications which you develop, provided
  26.         that you a) do not make any statements to the effect or which imply
  27.         that your application is "certified" or otherwise endorsed by IBM, or
  28.         that its performance is guaranteed by IBM and b) indemnify, hold
  29.         harmless and defend IBM and its suppliers from and against any claims
  30.         or lawsuits, including damages and attorneys fees, that arise from the
  31.         distribution of your application.

  33. C.      Under this license you MAY NOT
  34.  
  35.         1.      Rent, lease, or assign the Software;
  36.         2.      Modify the Software, except as explicitly stated above; and
  37.         3.      Attempt to decompile, disassemble or otherwise translate the
  38.         Software, except to the extent applicable laws specifically prohibit
  39.         such restriction.

  41. D.      Except as expressly stated above, IBM does not grant any other licenses,
  42.         express or implied, by estoppel or otherwise, to any intellectual
  43.         property rights.
  44.  
  45. NO LIABILITY
  46.  
  47.         The Software is provided gratuitously and, accordingly, IBM shall not
  48.         be liable under any theory for any damages suffered by you or any third
  49.         party,  even if IBM is informed of their possibility.
  50.  
  51. NO WARRANTIES
  52.  
  53. A.      THIS SOFTWARE IS PROVIDED "AS IS."  IBM DISCLAIMS ALL WARRANTIES,
  54. EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF
  55. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

  57. B.      IBM does not warrant uninterrupted or error free operation of the
  58. Software.  IBM does not warrant that the Software is free from claims by any
  59. party of copyright, patent, trademark, trade secret, or any other intellectual
  60. property infringement.
  61.  
  62. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF LIABILITY OR IMPLIED
  63. WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU.
  64.  
  65. GENERAL
  66.  
  67. A.      IBM reserves the right at any time to alter prices, features,
  68. specifications, capabilities, functions, licensing terms, release dates,
  69. general availability or other characteristics of the Software.  IBM has no
  70. obligation to provide service, defect correction, or any maintenance for
  71. the Software.  IBM has no obligation to supply Software updates or enhancements
  72. to you even if such are or later become available.
  73.  
  74. B.      You may terminate this license at any time.  IBM may terminate this
  75. license if you fail to comply with any of its terms.  In either event, you must
  76. destroy all your copies of the Software.
  77.  
  78. C.      You are responsible for the payment of any taxes resulting from this
  79. license.
  80.  
  81. D.      You may not sell, transfer, or assign any of your rights or obligations
  82. under this license.  Any attempt to do so is void.
  83.  
  84. E.      You may not bring a legal action more than two years after the cause of
  85. action arose.  This license is governed by the laws of the State of New York,
  86. exclusive of its conflicts of laws provisions.  You hereby waive your right to
  87. a trial by jury an agree that any action arising from the relationship
  88. of the parties to this license shall be decided by a court without a jury.
  89.  
  90. F.      Use, duplication or disclosure by the Government is subject to the GSA
  91. ADP schedule with IBM.
  92.  
  93. G       You may not download or otherwise export or re-export the Software or
  94. any underlying information or technology except in full compliance with all
  95. United States and other applicable laws and regulations.

  98. IF YOU DO NOT AGREE WITH THIS LICENSE AGREEMENT, DO NOT DOWNLOAD, INSTALL OR
  99. USE THIS SOFTWARE.  ANY SUCH ACTIONS INDICATE YOUR ACCEPTANCE OF THE TERMS
  100. HEREIN.
