WEB WILLY WATCH STANDARD LICENSE AGREEMENT
By downloading, or installing, or using this product, you
indicate your acceptance of the following InnoVal License
Agreement for Web Willy Watch. This is a legal agreement between
you (either an individual or an entity) and InnoVal Systems
Solutions, Inc. If you do not accept and agree with all of the
terms of this agreement, promptly delete any copies on your
system(s), contact InnoVal at the address shown below, and any
license fee paid by you will be refunded.
SOFTWARE LICENSE AGREEMENT
Every Family License
Single Family License
End User License
This License Agreement applies to Web Willy Watch (hereinafter
referred to as Software). The term Software means the original
and all whole or partial copies including modified copies or
portions merged into other software. InnoVal retains title to
the Software and owns the copyright for the Software.
1. GRANT OF LICENSE
This Software is licensed, not sold. InnoVal Systems Solutions,
Inc. (hereinafter referred to as InnoVal) grants you a license
for the Software in the country where you received the Software.
You obtain no other rights other than those granted under this
license.
You may use or distribute the Software and documentation, subject
to the restrictions below:
(a) You may not use the Software for more than fourteen
days unless you obtain a license from InnoVal Systems
Solutions or one of its authorized agents.
You have a Single Family License if you purchased a
Single Family License. You have an Every Family
License if you purchased an Every Family License. You
have an End User License if the Software was provided
to you by an individual or group who has an Every
Family License.
With a Single Family License or an End User License,
you, members of your family, and guests in your home
may use the Software on any computers in your home and
on computers that you or members of your family use at
a place of business.
With an Every Family License you may distribute copies
of the Software to the members of the group for which
you obtained the license.
(b) You may not distribute copies of the Software to others
unless you obtained an Every Family License.
If you obtained an Every Family License for a school,
you may distribute copies of the Software to the
families of students attending the school and to the
families of faculty and staff. You may also install
and use the Software on any computer on the school
premises.
If you obtained an Every Family License for a church or
synagogue, you may distribute copies of the Software to
families who are members or regular attendees at
worship services, classes, meetings, or other events.
You may also install the Software on any computer on
the premises of the church or synagogue. For this
license, a church or synagogue is defined as a single
congregation, parish, place of worship, or meeting
place.
If you obtained an Every Family License for a
membership organization, you may distribute copies of
the Software to the members of the organization.
If you obtained an Every Family License for a
corporation, agency, enterprise, establishment, place
of business, or organization, you may distribute copies
of the Software to the employees of the entity.
The Software is owned by InnoVal or its suppliers and is
protected by United States and other countries' copyright laws
and international treaty provisions. Therefore, you must treat
the Software like any other copyrighted material and not
reproduce it except that you:
(a) may install the Software on multiple computers in your
home and on computers that you or members of your
family use at a place of business, and
(b) may make one copy of the Software solely for backup or
archival purposes.
You may not copy the documentation accompanying the Software.
You may not sublicense, rent, lease, loan or share the Software.
If you obtained a Single Family License, you may transfer the
Software and accompanying materials on a permanent basis provided
you retain no copies and the recipient agrees to the terms of
this License Agreement.
You may not reverse engineer, decompile, disassemble, or
translate the Software, except to the extent such foregoing
restriction is expressly prohibited by applicable law.
You may not loan, rent, lease, or transfer the Software to
another user except as provided above.
2. DISCLAIMER OF WARRANTY
To the maximum extent permitted by applicable law, InnoVal and
its suppliers disclaim all warranties, either express or implied,
including, but not limited to, implied warranties of
merchantability and fitness for a particular purpose, with regard
to the Software and accompanying documentation.
3. LIMITATION OF REMEDIES
To the maximum extent permitted by applicable laws, in no event
shall InnoVal or its suppliers be liable for any damages
whatsoever (including without limitation, damages for loss of
business profits, business interruption, loss of information,
insult, embarrassment, or pecuniary loss) arising out of the use
of or inability to use this product, even if InnoVal has been
advised of the possibility of such damages. Because some
jurisdictions do not allow the exclusion or limitation of
liability for consequential or incidental damages, the above
limitation may not apply to you.
4. GENERAL
The license granted to you is effective until terminated. You
may terminate this license at any time if you destroy all copies
of the Software.
Use, duplication, or disclosure by the U.S. Government is subject
to restrictions as set forth in subparagraph (c)(1)(ii) of the
Rights in Technical Data and Computer Software clause at DFARS
252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial
Computer Software Restricted Rights at 48 CFR 52.227-19, as
applicable.
If you acquired this Software in the United States, this license
is governed by the laws of the State of New York. Otherwise this
license is governed by the laws of the country in which you
acquired the Software. Each of the parties hereto irrevocably
attorns to the jurisdiction of the courts of the State of New
York.
