  1.                    WEB WILLY WATCH STANDARD LICENSE AGREEMENT

  3.        By downloading, or installing, or using this product, you
  4.        indicate your acceptance of the following InnoVal License
  5.        Agreement for Web Willy Watch.  This is a legal agreement between
  6.        you (either an individual or an entity) and InnoVal Systems
  7.        Solutions, Inc.  If you do not accept and agree with all of the
  8.        terms of this agreement, promptly delete any copies on your
  9.        system(s), contact InnoVal at the address shown below, and any
  10.        license fee paid by you will be refunded.
  11.  
  12.                            SOFTWARE LICENSE AGREEMENT
  13.                               Every Family License
  14.                              Single Family License
  15.                                 End User License
  16.  
  17.        This License Agreement applies to Web Willy Watch (hereinafter
  18.        referred to as Software).  The term Software means the original
  19.        and all whole or partial copies including modified copies or
  20.        portions merged into other software.  InnoVal retains title to
  21.        the Software and owns the copyright for the Software.
  22.  
  23.        1. GRANT OF LICENSE
  24.  
  25.        This Software is licensed, not sold.  InnoVal Systems Solutions,
  26.        Inc. (hereinafter referred to as InnoVal) grants you a license
  27.        for the Software in the country where you received the Software.
  28.        You obtain no other rights other than those granted under this
  29.        license.
  30.  
  31.        You may use or distribute the Software and documentation, subject
  32.        to the restrictions below:
  33.  
  34.             (a)  You may not use the Software for more than fourteen
  35.                  days unless you obtain a license from InnoVal Systems
  36.                  Solutions or one of its authorized agents.
  37.  
  38.                  You have a Single Family License if you purchased a
  39.                  Single Family License.  You have an Every Family
  40.                  License if you purchased an Every Family License.  You
  41.                  have an End User License if the Software was provided
  42.                  to you by an individual or group who has an Every
  43.                  Family License.
  44.  
  45.                  With a Single Family License or an End User License,
  46.                  you, members of your family, and guests in your home
  47.                  may use the Software on any computers in your home and
  48.                  on computers that you or members of your family use at
  49.                  a place of business.
  50.  
  51.                  With an Every Family License you may distribute copies
  52.                  of the Software to the members of the group for which
  53.                  you obtained the license.
  54.  
  55.             (b)  You may not distribute copies of the Software to others
  56.                  unless you obtained an Every Family License.
  57.  
  58.                  If you obtained an Every Family License for a school,
  59.                  you may distribute copies of the Software to the
  60.                  families of students attending the school and to the
  61.                  families of faculty and staff.  You may also install
  62.                  and use the Software on any computer on the school
  63.                  premises.
  64.  
  65.                  If you obtained an Every Family License for a church or
  66.                  synagogue, you may distribute copies of the Software to
  67.                  families who are members or regular attendees at
  68.                  worship services, classes, meetings, or other events.
  69.                  You may also install the Software on any computer on
  70.                  the premises of the church or synagogue.  For this
  71.                  license, a church or synagogue is defined as a single
  72.                  congregation, parish, place of worship, or meeting
  73.                  place.
  74.  
  75.                  If you obtained an Every Family License for a
  76.                  membership organization, you may distribute copies of
  77.                  the Software to the members of the organization.
  78.  
  79.                  If you obtained an Every Family License for a
  80.                  corporation, agency, enterprise, establishment, place
  81.                  of business, or organization, you may distribute copies
  82.                  of the Software to the employees of the entity.
  83.  
  84.        The Software is owned by InnoVal or its suppliers and is
  85.        protected by United States and other countries' copyright laws
  86.        and international treaty provisions.  Therefore, you must treat
  87.        the Software like any other copyrighted material and not
  88.        reproduce it except that you:

  90.             (a)  may install the Software on multiple computers in your
  91.                  home and on computers that you or members of your
  92.                  family use at a place of business, and
  93.  
  94.             (b)  may make one copy of the Software solely for backup or
  95.                  archival purposes.
  96.  
  97.        You may not copy the documentation accompanying the Software.
  98.  
  99.        You may not sublicense, rent, lease, loan or share the Software.
  100.        If you obtained a Single Family License, you may transfer the
  101.        Software and accompanying materials on a permanent basis provided
  102.        you retain no copies and the recipient agrees to the terms of
  103.        this License Agreement.

  105.        You may not reverse engineer, decompile, disassemble, or
  106.        translate the Software, except to the extent such foregoing
  107.        restriction is expressly prohibited by applicable law.

  109.        You may not loan, rent, lease, or transfer the Software to
  110.        another user except as provided above.

  112.        2.  DISCLAIMER OF WARRANTY
  113.  
  114.        To the maximum extent permitted by applicable law, InnoVal and
  115.        its suppliers disclaim all warranties, either express or implied,
  116.        including, but not limited to, implied warranties of
  117.        merchantability and fitness for a particular purpose, with regard
  118.        to the Software and accompanying documentation.
  119.  
  120.        3. LIMITATION OF REMEDIES
  121.  
  122.        To the maximum extent permitted by applicable laws, in no event
  123.        shall InnoVal or its suppliers be liable for any damages
  124.        whatsoever (including without limitation, damages for loss of
  125.        business profits, business interruption, loss of information,
  126.        insult, embarrassment, or pecuniary loss) arising out of the use
  127.        of or inability to use this product, even if InnoVal has been
  128.        advised of the possibility of such damages.  Because some
  129.        jurisdictions do not allow the exclusion or limitation of
  130.        liability for consequential or incidental damages, the above
  131.        limitation may not apply to you.

  133.        4.  GENERAL
  134.  
  135.        The license granted to you is effective until terminated.  You
  136.        may terminate this license at any time if you destroy all copies
  137.        of the Software.
  138.  
  139.        Use, duplication, or disclosure by the U.S. Government is subject
  140.        to restrictions as set forth in subparagraph (c)(1)(ii) of the
  141.        Rights in Technical Data and Computer Software clause at DFARS
  142.        252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial
  143.        Computer Software Restricted Rights at 48 CFR 52.227-19, as
  144.        applicable.
  145.  
  146.        If you acquired this Software in the United States, this license
  147.        is governed by the laws of the State of New York.  Otherwise this
  148.        license is governed by the laws of the country in which you
  149.        acquired the Software.  Each of the parties hereto irrevocably
  150.        attorns to the jurisdiction of the courts of the State of New
  151.        York.
