  2. SOFTWARE LICENSE AGREEMENT

  4. This License Agreement applies to the NeoComm Vector (hereinafter referred to as Software), an OS/2 application.
  5.  
  6. The term Software means the original and all whole or partial copies including modified copies or portions merged into other software. NeoComm retains title to the Software and owns the copyright for the Software.

  9. 1. GRANT OF LICENSE

  11. This Software is licensed, not sold. NeoComm do Brasil LTDA (hereinafter referred to as NeoComm) grants you a license for Software in the country  where you received  the Software.You obtain no  other rights other than those granted under this  license.

  13. You may use the Software and documentation, subject to the restriction below:

  15. (a) You will not distribute copies of the Software to others. You will not reveal any registration code  for the Software.

  18. The Software is owned by NeoComm or its suppliers and is protected by Brazil and other countries' copyright laws and international treaty provisions. Therefore, you must treat the Software like any other copyrighted material and not reproduce it except that you:

  20. (a) may make one copy of the Software solely for backup or archival purposes, or 
  21.  
  22. (b) may transfer the Software to a single hard disk provided you keep the original solely for backup or archival purposes.
  23.  
  24. You may not sublicense, rent, lease, loan or share the Software, but you may transfer the Software and accompanying written materials on a permanent basis provided you retain no copies and the recipient agrees to the terms of this License Agreement.

  26. You may not reverse engineer, decompile, disassemble, or translate the Software, except to the extent such foregoing restriction is expressly prohibited by applicable law.

  28. You may not loan, rent, lease, or transfer the Software to another user except as part of the permanent transfer (as provided above) of all Software and printed materials.

  31. 2.  DISCLAIMER OF WARRANTY

To the maximum extent permitted by applicable law, NeoComm and its suppliers disclaim all warranties, either express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, with regard to the Software and accompanying documentation.

  36. 3. LIMITATION OF REMEDIES

To the maximum extent permitted by applicable laws, in no event shall NeoComm or its suppliers be liable for any damages whatsoever (including without limitation, damages for loss of business profits, business interruption, loss of information,  or other pecuniary loss) arising out of the use  of or inability to use this product, even if NeoComm  has been advised of the possibility of such damages.

  41. 4.  GENERAL

  43. The license granted to you is effective until terminated. You may terminate this license at any time if you destroy all copies of the software.

  45. If you acquired this Software in Brazil, this license is governed by the brazilian laws. Otherwise this license is governed by the laws of the country in which you acquired the Software. Each of the parties hereto irrevocably attorns to the jurisdiction of the courts of Brazil.
