J STREET MAILER - STANDARD LICENSE AGREEMENT
SOFTWARE LICENSE AGREEMENT
This License Agreement applies to the J Street Mailer (hereinafter
referred to as Software), a Java application.
The term Software means the original and all whole or partial copies
including modified copies or portions merged into other software.
InnoVal retains title to the Software and owns the copyright for the
Software.
1. GRANT OF LICENSE
This Software is licensed, not sold. InnoVal Systems Solutions, Inc.
(hereinafter referred to as InnoVal) grants you a license for Software
in the country where you received the Software. You obtain no other
rights other than those granted under this license.
You may use the Software and documentation, subject to the
restrictions below:
(a) You will not use the Software for more than thirty days
unless you obtain a license number from InnoVal Systems
Solutions or one of its authorized agents.
(b) You will not distribute copies of the Software to others
except for demonstration purposes. You will not reveal any
license number for the Software.
(c) If you distribute copies of the Software for demonstration
purposes, you will include a copy of this License
Agreement.
The Software is owned by InnoVal or its suppliers and is protected by
United States and other countries' copyright laws and international
treaty provisions. Therefore, you must treat the Software like any
other copyrighted material and not reproduce it except that you:
(a) may make one copy of the Software solely for backup or
archival purposes, or
(b) may transfer the Software to a single hard disk provided
you keep the original solely for backup or archival
purposes.
You may not copy the documentation accompanying the Software.
You may not sublicense, rent, lease, loan or share the Software, but
you may transfer the Software and accompanying written materials on a
permanent basis provided you retain no copies and the recipient agrees
to the terms of this License Agreement.
You may not reverse engineer, decompile, disassemble, or translate the
Software, except to the extent such foregoing restriction is expressly
prohibited by applicable law.
You may not loan, rent, lease, or transfer the Software to another
user except as part of the permanent transfer (as provided above) of
all Software and printed materials.
2. DISCLAIMER OF WARRANTY
To the maximum extent permitted by applicable law, InnoVal and its
suppliers disclaim all warranties, either express or implied,
including, but not limited to, implied warranties of merchantability
and fitness for a particular purpose, with regard to the Software and
accompanying documentation.
3. LIMITATION OF REMEDIES
To the maximum extent permitted by applicable laws, in no event shall
InnoVal or its suppliers be liable for any damages whatsoever
(including without limitation, damages for loss of business profits,
business interruption, loss of information, or other pecuniary loss)
arising out of the use of or inability to use this product, even if
InnoVal has been advised of the possibility of such damages. Because
some jurisdictions do not allow the exclusion or limitation of
liability for consequential or incidental damages, the above
limitation may not apply to you.
4. GENERAL
The license granted to you is effective until terminated. You may
terminate this license at any time if you destroy all copies of the
software.
Use, duplication, or disclosure by the U.S. Government is subject to
restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in
Technical Data and Computer Software clause at DFARS 252.227-7013 or
subparagraphs (c)(1) and (2) of the Commercial Computer Software
Restricted Rights at 48 CFR 52.227-19, as applicable.
If you acquired this Software in the United States, this license is
governed by the laws of the State of New York. Otherwise this license
is governed by the laws of the country in which you acquired the
Software. Each of the parties hereto irrevocably attorns to the
jurisdiction of the courts of the State of New York.
