  45.                       IBM's PAUL GIANGARRA TO KEYNOTE
  46.                             DECEMBER 6TH MEETING
  47.  
  48. The next meeting of the Tampa Bay OS/2 Users' Group will be held Wednesday
  49. evening, December 6th at the Tampa Airport Hilton Hotel, 2225 North Lois 
  50. Avenue in Tampa.
  51.  
  52. THIS REPRESENTS TBOUG'S SPECIAL YEAR-END MEETING.  Please note that the 
  53. meeting is being held at the Tampa Airport Hilton, AND NOT IBM's LakePointe 
  54. One Building in Tampa.  Meetings will resume at IBM's facility beginning 
  55. in January.  Also, please note that the normal TBOUG committee meetings 
  56. will be suspended until January.
  57.  
  58. We are fortunate to have Paul Giangarra of IBM as our keynote speaker for 
  59. this meeting.  Mr. Giangarra is with IBM's Personal Software Products (PSP) 
  60. division in Boca Raton and is one of IBM's senior operating system 
  61. architects who led the architecture phase for OS/2 for the PowerPC.  He 
  62. holds a technical position on the PS Software Architecture Board and was 
  63. the Chief Designer for OS/2 1.2, 1.3, and 2.0.
  64.  
  65. Paul is a much sought-after speaker and has conducted OS/2 technical 
  66. presentations on a worldwide basis.  During his presentation he will 
  67. demonstrate many of IBM's key technology innovations.  Included are IBM's 
  68. new Speech Navigation and Recognition, New Infrared exploitation (printing, 
  69. networking, etc.), OpenDoc, and OS/2 for PowerPC.
  70.  
  71. This presentation will provide a rare behind-the-scenes look at IBM's
  72. technical plans and, consequently, will be of particular interest to 
  73. executives as well as OS/2 enthusiasts.  So, be sure to bring your 
  74. boss along.
  75.  
  76. In addition to Mr. Giangarra's presentation, this meeting will be used to 
  77. elect the new Board of Directors for the 1996 program year (January to 
  78. December).

  163. Election time for the TBOUG Board of Directors is near.  The election
  164. will be held at our year-end meeting to be held December 6th at the
  165. Airport Hilton in Tampa.  According to our bylaws, a maximum of nine (9) 
  166. people can serve on the Board, including a President, Vice President,
  167. Secretary, and Treasurer.  One of my duties as immediate Past-President 
  168. is to serve as the chairman of the Nominating Committee.

  265. The Tampa Bay OS/2 Users' Group (TBOUG) is a non-profit, vendor-independent
  266. association dedicated to the effective use of IBM's OS/2 operating system.
  267. Members of TBOUG are OS/2 licensees from around the Tampa Bay area of
  268. Florida.  There are two types of membership in the user group:
  269.  
  270. CORPORATE MEMBERSHIP allows a company to sponsor many employees to attend
  271. user group functions.  There is one (1) vote associated with a corporate
  272. membership and the company must appoint an official voting delegate.  The
  273. price for an annual corporate membership is $200.*
  274.  
  275. INDIVIDUAL MEMBERSHIP allows an individual to join the user group and
  276. entitles him/her to the same rights and privileges as the corporate
  277. member, except the individual has a one-tenth (1/10) membership vote.
  278. The price for an individual membership is $20.*
  279.  
  280. *  Membership fees are prorated on a quarterly basis (operating year
  281.    is January to December).  
  282.  
  283. The association is governed by a set of bylaws and an Executive Board.
  284. Members can attend meeting functions (monthly meetings and committee
  285. meetings) at discounted rates, and are provided free access to the user
  286. group's Bulletin Board Service (BBS).  Membership applications should

  1023. Just Add OS/2* Warp, a free package of software utilities to help users
  1024. deinstall Windows 95 and then load OS/2 Warp, or install OS/2 Warp alongside
  1025. Windows** 95.  Just Add OS/2 Warp introduces computer users to the options
  1026. they have for upgrading to a 32-bit operating system, shows them how OS/2 
  1027. Warp and Windows 95 can coexist, and analyzes their hardware to ensure that
  1028. it's ready to upgrade to OS/2 Warp.  Highlighting some of the many advantages
  1029. of OS/2 Warp over Windows 95, the utility's Upgrade Advisor allows users of 
  1030. any operating system, including Windows 95, PC DOS, MS-DOS, Windows 3.1, and
  1031. versions of OS/2, a quick and easy look at whether their system is ready to
  1032. upgrade.

  1045. Just Add OS/2 Warp's Upgrade Advisor automatically checks the user's PC to 
  1046. determine if it is ready to upgrade to OS/2 Warp.  The Advisor shows whether
  1047. the PC has enough memory, processor power and hard disk space, so that the
  1048. user can move on to the upgrade with confidence.  The Advisor allows users to
  1049. see whether their devices are supported by OS/2 Warp and where to obtain
  1050. device drivers if they are not.  It also will suggest hardware upgrades that
  1051. can make the PC ready for OS/2 Warp.   All of the information gathered by the
  1052. Advisor remains on the user's computer and is not forwarded off-site.

  1115. WORKPLACE SHELL FOR WINDOWS 1.51 RELEASED 
  1116.  
  1117. On October 10th, IBM released version 1.51 of its "Workplace Shell for 
  1118. Windows 3.1," employee written software (EWS) that is made available free of
  1119. charge through computer networks.  The Workplace Shell provides an OS/2
  1120. Presentation Manager-like desktop that sits comfortably on top of Microsoft's
  1121. Windows 3.1 and in place of the Windows Program Manager. 
  1122.  
  1123. Although the "Workplace Shell" doesn't turn Windows into a full 32-bit 
  1124. operating system, it does put an easy-to-use and learn desktop on the PC a la
  1125. OS/2.  Both novice and experienced users will find the "Workplace Shell" much
  1126. more preferable and intuitive to use than the Program Manager.  In addition to
  1127. allowing users to custom tailor their desktop, the WPS provides an effective
  1128. tool to learn to use the right mouse button, notebook settings, objects, and
  1129. some basic OS/2 desktop utilities.  By doing so, it overcomes the fear of 
  1130. technology factor and weans the user on OS/2.

  1132. The "Workplace Shell" also offers native language support for Dutch, English, 
  1133. Finnish, French, German, Portuguese, Spanish and Swedish.  Complete
  1134. installation instructions are included with the software.

  1276. Between 28 August and 15 September, IBM distributed 12,000 copies of the 
  1277. beta version of OS/2 Warp Server to testers worldwide, making it the largest
  1278. beta program for any IBM Personal Software Products server product.  The beta
  1279. is receiving outstanding initial response from testers, including customers,
  1280. analysts, VARs, system integrators, and consultants. 
  1281.  
  1282. Unimpressed with Windows NT and Windows 95 
  1283.  
  1284. "I was using NT 3.5 on my server but was not impressed.  It dumps people off 
  1285. the network and its interface is not truly object-oriented.  Neither is
  1286. Windows 95.  It's clumsy and unstable," said Christopher McCarthy, software
  1287. development manager at Gemmac, Inc.  "When I heard that OS/2 Warp Server was
  1288. coming out, I decided to try it.  Its interface is more intuitive, and so far
  1289. everything is running just the way I had hoped.  I don't plan on switching
  1290. back to NT."

  1292. Beta Also Available to BESTeam Members 
  1293.  
  1294. The OS/2 Warp Server beta has also been made available to IBM Business 
  1295. Enterprise Solutions Team (BESTeam) members.  It is the first time that
  1296. BESTeam members have been actively included in a broad-scale beta program.
  1297. BESTeam is IBM's desktop software recruitment and support program for
  1298. value-added resellers, network integrators, and consultants.

  1570.     This indicates that there were actually few developers in the audience 
  1571.     (and probably only a small portion of TBOUG overall).

  1573. 2.  Tools for C and C++ are on the upswing but there is still interest in 
  1574.     COBOL and REXX (there were three responses for each).

  1797. ARTICLE I  NAME
  1798.  
  1799. Section A  The name of this organization shall be the "Tampa Bay OS/2 Users'
  1800. Group," hereinafter called the Association.  OS/2 is defined as a computer
  1801. operating system marketed by IBM.  OS/2 and IBM are the registered trademarks
  1802. of the International Business Machines Corporation.
  1803.  
  1804. ARTICLE II  PURPOSE
  1805.  
  1806. Section A  The objectives of this Association shall be:
  1807.  
  1808. 1.  To provide a forum for OS/2 users in the Tampa Bay area of Florida.
  1809.  
  1810. 2.  To promote the effective use of OS/2.
  1811.  
  1812. 3.  To provide a formal communications channel between the members and
  1813.     the OS/2 vendor, IBM.
  1814.  
  1815. 4.  To provide a vehicle to communicate with other OS/2 related
  1816.     user groups.
  1817.  
  1818. Section B  Achievement of the objectives shall be accomplished by:
  1819.  
  1820. 1.  Planning and conducting meetings of the Association.
  1821.  
  1822. 2.  Developing and maintaining an electronic messaging system (e.g.
  1823.     "bulletin board" and/or "group ware") to facilitate the exchange of
  1824.     ideas and communications between members.  Such a service is to
  1825.     act as a "clearing house" for its members to research OS/2 related
  1826.     subjects and problems, disseminate pertinent news, and share public
  1827.     domain software.
  1828.  
  1829.     Use of such electronic services is made available to Association members
  1830.     on a strictly voluntary basis and at their own risk.  The Association and
  1831.     the Executive Board will not be responsible for any direct, indirect,
  1832.     incidental, special or consequential damages including, for example,
  1833.     loss of profits resulting from the use of the "bulletin board" service or
  1834.     software obtained from the service, even if the Association has
  1835.     been advised of the possibility of damages.
  1836.  
  1837. 3.  Developing and maintaining a list of suggested modifications/improvements
  1838.     to OS/2 for consideration by IBM.
  1839.  
  1840. 4.  Developing and maintaining a list of problems ("bugs") associated
  1841.     with OS/2 for correction by IBM.
  1842.  
  1843. 5.  Developing and maintaining a list of suggested standards pertaining to
  1844.     OS/2 for consideration by IBM.
  1845.  
  1846. 6.  Developing and maintaining a list of members of the Association.
  1847.  
  1848. 7.  Developing and maintaining a reference library of Association related                                                  documentation (e.g., minutes of board meetings, published proceedings,
  1849.     committee reports, membership lists, etc.).
  1850.  
  1851. 8.  Voluntary participation in OS/2 promotional activities (e.g., seminars,
  1852.     exhibitions, demonstrations, etc.).
  1853.  
  1854. ARTICLE III  MEMBERSHIP
  1855.  
  1856. Section A  Classes of Membership
  1857.  
  1858. 1.  There will be two classes of membership, a Corporate Membership, and
  1859.     an Individual Membership.
  1860.  
  1861. 2.  Each Corporate Membership is entitled to one (1) vote.
  1862.  
  1863. 3.  Each Individual Membership is entitled to one tenth (1/10) of a vote.
  1864.  
  1865. Section B  Qualification
  1866.  
  1867. 1.  A membership may be held by any company, organization, or
  1868.     individual with an OS/2 license.
  1869.  
  1870. 2.  Qualification for membership shall be automatic unless in the judgment
  1871.     of the Executive Board this membership would not be consonant with the
  1872.     spirit of the Association.
  1873.  
  1874. Section C  Application
  1875.  
  1876. 1.  Application for membership must be made by writing to the Secretary
  1877.     of the Association.
  1878.  
  1879. 2.  The application for Corporate Membership shall designate an
  1880.     individual to serve as that corporation's voting delegate.  The member
  1881.     corporation may designate its delegate at any time by written notice
  1882.     to the Secretary.
  1883.  
  1884. 3.  The Executive Board shall promptly act to accept or reject an application
  1885.     for membership.
  1886.  
  1887. Section D  Fees
  1888.  
  1889. 1.  An annual membership fee will be established by the Executive
  1890.     Board to cover the operating expenses of the Association.  The
  1891.     membership fee is payable to the Treasurer at the time of applying
  1892.     for membership.  If membership application is rejected, the fee will
  1893.     be returned to the applicant.
  1894.  
  1895. 2.  Registration fees will be used to cover the cost of meetings.  The
  1896.     amount of the fee will be established from time to time by a
  1897.     committee consisting of the Secretary, Treasurer, and the
  1898.     Program Chairman and submitted by that committee to the
  1899.     Executive Board for approval.  The registration fee is payable to
  1900.     the Treasurer or other designated agent and is payable by each
  1901.     person attending the meeting (with the exception of guests of the
  1902.     Association).
  1903.  
  1904. Section E  Termination of Membership
  1905.  
  1906. 1.  Membership terminates when qualification for membership ceases to
  1907.     exist.
  1908.  
  1909. 2.  A membership may be terminated by notification in writing to the
  1910.     Association Secretary from the corporate delegate of a Corporate
  1911.     Membership, or an individual for an Individual Membership
  1912.  
  1913. 3.  Membership shall expire on January 1 of each year unless the
  1914.     member's annual fee is received by the Secretary prior to that date.
  1915.  
  1916. 4.  The Secretary will notify the member by letter that such termination
  1917.     has occurred.  Re-instatement may be requested by letter to the President.
  1918.  
  1919. ARTICLE IV  GOVERNMENT
  1920.  
  1921. Section A  Executive Board of Directors
  1922.  
  1923. 1.  Executive Board - The government of this Association shall be vested
  1924.     in the Executive Board, which shall consist of nine members.
  1925.  
  1926. 2.  Officers - The executive officers shall be:  the President, the Vice-
  1927.     President, the Secretary, and the Treasurer.
  1928.  
  1929. 3.  Executive Board Members - The Executive Board shall consist of the
  1930.     executive officers, acting ex officio in their respective capacities, the
  1931.     immediate Past President, and sufficient additional members to total
  1932.     nine.
  1933.  
  1934. 4.  The tenure of an officer or Executive Board member shall terminate if the
  1935.     incumbent becomes ineligible to hold office.
  1936.  
  1937. 5.  A majority of the Executive Board is a quorum.
  1938.  
  1939. Section B  The President shall:
  1940.  
  1941. 1.  Be the principal executive officer.
  1942.  
  1943. 2.  Participate as an executive officer of the Executive Board of the
  1944.     Association.
  1945.  
  1946. 3.  Provide for committees as described in Article VII.
  1947.  
  1948. 4.  Preside over all formal meetings and Executive Board meetings of the
  1949.     Association.
  1950.  
  1951. 5.  Be ex officio a member of all committees.
  1952.  
  1953. 6.  Provide for the discharge, pro tempore, of necessary functions in the
  1954.     event of the absence or incapacity of a member.
  1955.  
  1956. 7.  Call all Executive Board meetings.
  1957.  
  1958. Section C  The Vice President shall:
  1959.  
  1960. 1.  Participate as an executive officer of the Executive Board of the
  1961.     Association.
  1962.  
  1963. 2.  Be of official service to the President.
  1964.  
  1965. 3.  Perform the duties, pro tempore, of the President in case of Presidential
  1966.     absence.
  1967.  
  1968. 4.  Act as Chairman of the Program Committee.
  1969.  
  1970. Section D  The Secretary shall:
  1971.  
  1972. 1.  Participate as an executive officer of the Executive Board of the
  1973.     Association.
  1974.  
  1975. 2.  Publish and maintain the minutes of Executive Board meetings.
  1976.  
  1977. 3.  Be responsible for all official publications of the Association.
  1978.  
  1979. 4.  Maintain the membership roster and make copies available for
  1980.     formal meetings.
  1981.  
  1982. 5.  Be responsible for all official correspondence with IBM.
  1983.  
  1984. 6.  Participate in the recommendation of registration fees for
  1985.     meetings of the Association.  This responsibility is jointly
  1986.     held by the Secretary, the Treasurer, and the Program Chairman.
  1987.  
  1988. Section E  The Treasurer shall:
  1989.  
  1990. 1.  Participate as an executive officer of the Executive Board of the
  1991.     Association.
  1992.  
  1993. 2.  Be responsible for all monies of the Association.
  1994.  
  1995. 3.  Maintain all accounts and handle all financial transactions of the
  1996.     Association and prepare and issue to each member an annual
  1997.     financial statement of the Association.
  1998.  
  1999. 4.  Prepare and maintain an operating budget by fiscal year for the
  2000.     Association.  An approval of the budget by the Executive Board is required.
  2001.  
  2002. 5.  Arrange for an annual audit of the financial accounts of the Association.
  2003.     An Audit Committee consisting of at least three (3) members of the
  2004.     Association will be appointed by the President.  Said committee will
  2005.     review their findings with the Executive Board for approval.
  2006.  
  2007. 6.  Participate in the recommendation of registration fees for
  2008.     meetings of the Association.  This responsibility is jointly
  2009.     held by the Secretary, the Treasurer, and the Program Chairman.
  2010.  
  2011. 7.  Collect all fees pertaining to membership and registration for
  2012.     meetings.  The Treasurer may appoint a member to collect
  2013.     fees in the event of his/her absence.
  2014.  
  2015. Section F  Scope:
  2016.  
  2017. The duties of the Executive Board and the officers shall include but not be
  2018. restricted to those named in this article.
  2019.  
  2020. ARTICLE V  Nomination and Election
  2021.  
  2022. Section A
  2023.  
  2024. 1.  The Nominating Committee shall present a slate of candidates for each
  2025.     office at the last scheduled public meeting of the Association.  This
  2026.     committee will be chaired either by the Past President or a delegate
  2027.     member appointed by the President.
  2028.  
  2029. 2.  Additional nominations may be appended to the slate of officers upon
  2030.     receipt by the Nominating Committee, before the close of the meeting, of a
  2031.     petition signed by seven (7) delegate members.  No delegate may sign more
  2032.     than one petition for the same office.
  2033.  
  2034. 3.  Elections shall occur during the course of that meeting.
  2035.  
  2036. 4.  Election shall be by secret ballot cast by delegate members.
  2037.  
  2038. 5.  Absentee ballots are not permitted.
  2039.  
  2040. 6.  A candidate is elected upon receiving a majority of the votes for the
  2041.     office.  Should the first ballot fail to produce a majority vote for any
  2042.     office(s), a run-off shall be held between the two candidates receiving
  2043.     the highest and second highest number of votes cast for the office(s).
  2044.  
  2045. 7.  The procedure for electing the remaining members of the Executive
  2046.     Board shall be as follows.  Each delegate member may vote for as many
  2047.     candidates as there are vacancies to be filled.  Those candidates,
  2048.     equal in number to the actual number of vacancies to be filled,
  2049.     receiving the highest number of votes shall be declared elected to the
  2050.     Executive Board.  In the case of a tie which results in a conflict, a
  2051.     run-off between the tied candidates shall be held to fill the vacancies
  2052.     remaining.
  2053.  
  2054. 8.  Elected officers and Board members shall assume their duties upon
  2055.     adjournment of that meeting.
  2056.  
  2057. Section B  Vacancies
  2058.  
  2059. 1.  In the event the office of President becomes vacant, the Vice
  2060.     President shall succeed to the Presidency.
  2061.  
  2062. 2.  When any other office becomes vacant, the Executive Board shall
  2063.     act to fill the office for the unexpired term.  They shall use such
  2064.     procedures for this as they deem advisable under the circumstances,
  2065.     including if they wish, the holding of a special election with
  2066.     balloting conducted by mail.
  2067.  
  2068. Section C  Eligibility
  2069.  
  2070. 1.  Only member delegates are eligible to be officers or Executive Board
  2071.     members.
  2072.  
  2073. 2.  No restriction shall be placed on the number of times a person may be
  2074.     re-elected to office except that a Presidential incumbent is not eligible
  2075.     for re-election of a second consecutive term.
  2076.  
  2077. 3.  No nomination shall be accepted unless the nominee has given assurance
  2078.     of willingness to fulfill the responsibilities and duties of the office
  2079.     for which he is nominated.
  2080.  
  2081. 4.  Employees and relatives of IBM and its subsidiaries are ineligible to serve
  2082.     as officers or members of the Executive Board.  However, IBM can appoint
  2083.     an official non-voting representative(s) to act as vendor liaison at
  2084.     Executive Board meetings and committee meetings.
  2085.  
  2086. Section D  Duties of Officers
  2087.  
  2088. The Executive Board shall:
  2089.  
  2090. 1.  Establish official policy for the Association.  This includes a code of
  2091.     conduct and standard practices to be observed at all Association functions.
  2092.  
  2093. 2.  Monitor and supervise all Association related activities.
  2094.  
  2095. 3.  Establish fees for membership and registration for meetings.
  2096.  
  2097. 4.  Sanction special projects related to the Association.
  2098.  
  2099. 5.  Control the distribution of the Association membership roster to parties
  2100.     internal and external to the Association.
  2101.  
  2102. ARTICLE VI  MEETINGS
  2103.  
  2104. Section A  Definitions for Meetings of the Association
  2105.  
  2106. 1.  A formal meeting is an event composed of one or more scheduled
  2107.     sessions for the general membership of the association.  The sessions
  2108.     may be concurrent and/or contiguous for each day of the meeting.
  2109.     A formal meeting is completed when adjourned 'sine die.'
  2110.  
  2111. 2.  The Executive Board will conduct separate meetings to conduct the
  2112.     business of the Association.  Board meetings will be open to all
  2113.     members.
  2114.  
  2115. 3.  Committees will conduct separate meetings to discuss pertinent
  2116.     topics of interest.  Committee meetings will be open to all members.
  2117.  
  2118. Section B  Schedules
  2119.  
  2120. 1.  Formal meetings will be conducted once a month.  Locations for these
  2121.     meetings shall be selected by the Executive Board based on the
  2122.     recommendations of the Program Committee.
  2123.  
  2124. 2.  Executive Board meetings will be conducted at least four times a year.
  2125.     The President shall select the meeting location.
  2126.  
  2127. 3.  Committee meetings will be conducted periodically as determined by
  2128.     the committee.  The Committee Chairman shall select the meeting location.
  2129.  
  2130. Section C  Meeting Preliminaries
  2131.  
  2132. 1.  The agenda and other particulars for a formal meeting shall be distributed
  2133.     by the Association Secretary to the members at least one week prior to the
  2134.     opening day of the formal meeting.
  2135.  
  2136. 2.  The agenda and other particulars for a board meeting shall be distributed
  2137.     by the Association President to the members of the Executive Board at
  2138.     least one week prior to the opening day of the board meeting.
  2139.  
  2140. 3.  The agenda and other particulars for a committee meeting shall be
  2141.     distributed by the Committee Chairman to interested members at least
  2142.     one week prior to the opening of the committee meeting.
  2143.  
  2144. Section D  Attendance
  2145.  
  2146. Attendance at all meetings is limited to members and guests invited by
  2147. the Executive Board.
  2148.  
  2149. Section E  Proceedings
  2150.  
  2151. A recording secretary shall be assigned for each meeting.  For formal
  2152. meetings and board meetings, this will be the Association Secretary.
  2153. For committee meetings, the Chairman will appoint a member to record
  2154. the events in a fashion acceptable to the Association Secretary.
  2155.  
  2156. Section F  Restriction
  2157.  
  2158. 1.  No member or guest of the Association shall engage in employment
  2159.     recruiting and/or interviewing at and during any meeting.
  2160.  
  2161. 2.  Meetings of the Association shall not be used as a vehicle for direct
  2162.     solicitation of business.  To clarify, the Executive Board or a Committee
  2163.     Chairman may from time to time invite a vendor or consultant to a meeting
  2164.     to describe their product and/or service.  In this event, the vendor/
  2165.     consultant can describe their product/service and pricing structure to the
  2166.     general membership in attendance, but must avoid direct solicitation for
  2167.     business from individual members during the meeting.
  2168.  
  2169. Section G  Meetings
  2170.  
  2171. The date and location of any meeting to be sponsored by the Association or
  2172. by any of its committees must be coordinated with the Vice President before
  2173. being formally scheduled or announced.
  2174.  
  2175. ARTICLE VII  COMMITTEES
  2176.  
  2177. Section A  Establishment of Committees
  2178.  
  2179. 1.  A committee and its charter are established by the Association President
  2180.     with the approval of the Executive Board.
  2181.  
  2182. 2.  The Chairman is appointed by the President with the approval of the
  2183.     Executive Board.
  2184.  
  2185. 3.  The Chairman appoints the members of the committee.  However, a
  2186.     committee may be as small as one (1) member.
  2187.  
  2188. 4.  The Chairman shall keep the Association Secretary informed, on a
  2189.     timely basis, of the membership and activities of the committee.
  2190.  
  2191. 5.  A committee may be dissolved, or its charter modified, or its chairman
  2192.     removed by the President with the approval of the Executive Board.
  2193.  
  2194. ARTICLE VIII  COMMUNICATIONS
  2195.  
  2196. Section A  Distribution
  2197.  
  2198. The official distribution of information to the members shall be through
  2199. the Association Secretary.
  2200.  
  2201. Section B  Nature of Material
  2202.  
  2203. Material sent to the Association Secretary for distribution is considered
  2204. non-proprietary and unclassified.  Material is unequivocally subject by
  2205. the Secretary and the Association.
  2206.  
  2207. Section C  Library
  2208.  
  2209. A library of material will be maintained by the Association Secretary in a
  2210. manner to be determined by the Executive Board.
  2211.  
  2212. Section D  Association Communication with the Vendor
  2213.  
  2214. All official communications between the Association and the OS/2 vendor,
  2215. IBM, about matters of Association business must be conducted through
  2216. the Association President, or through such individual(s) as he/she may
  2217. designate.
  2218.  
  2219. ARTICLE IX  PARLIAMENTARY AUTHORITY
  2220.  
  2221. Section A
  2222.  
  2223. "Robert's Rules of Order" shall prevail except that where they
  2224. conflict with these bylaws, the bylaws shall govern.
  2225.  
  2226. ARTICLE X  AMENDMENT OF THE BYLAWS
  2227.  
  2228. Section A  Proposals
  2229.  
  2230. Amendments to the bylaws may be processed by action of the Executive
  2231. Board or by a petition to the Association Secretary of seven (7) or more
  2232. members.  Notice of a proposed amendment must be distributed to the
  2233. membership at least one month prior to the formal meeting at which
  2234. discussion is expected.
  2235.  
  2236. Section B  Voting Procedure
  2237.  
  2238. Amendments to the by-laws shall be made by mail ballot.  The Secretary
  2239. will mail the ballots to the membership within one (1) month following the
  2240. formal meeting at which the amendment was discussed.  Ballots must be
  2241. returned to the Secretary within two (2) months of the closing day of the
  2242. Formal Meeting at which the amendment was discussed.  A majority of the
  2243. votes returned within the above time limit shall be required to carry the
  2244. proposed amendment.

  2246. Section C  Restriction
  2247.  
  2248. The Association Secretary or other members of the Executive Board may
  2249. not edit proposals for bylaw amendment.
