MEETING ANNOUNCEMENT:
OS/2 WARP SERVER UNVEILED
AT NOVEMBER 1ST MEETING
The next meeting of the Tampa Bay OS/2 Users' Group will be held Wednesday
evening, November 1st at IBM's LakePointe offices in Tampa.
COMMITTEE MEETINGS (5:45 - 6:45)
Three committee meetings will be held in parallel prior to our main meeting:
END USER EDUCATION COMMITTEE
A demonstration of the new release of Object Desktop from Stardock
Systems, Inc. will be provided. Object Desktop enhances the existing
OS/2 environment with updated icons, frame controls, and command
buttons, and adds new tools designed to boost productivity and system
performance. The new features include the Object Navigator, Control
Center, Keyboard LaunchPad, Object Archives, and HyperDrive and HyperCache
features. We'll also be showing WARPNGO, a tuning tool from IBM. And
if there is any time remaining, we'll look at Performance Plus version
3.0 from Clear & Simple. - John Markman, Committee Chairman
PRODUCTION COMMITTEE
The Production Committee meeting will be combined with the End User
Education Committee this month.
OS/2 SUPPORT COMMITTEE
Committee Chairman Steve Schneer will discuss tips and techniques
(helpful hints) for managing OS/2. This will be followed by a question
and answer session.
MAIN MEETING (7:30 - 9:00)
Featured will be a presentation on OS/2 Warp Server, IBM's latest version
of OS/2 suited for client/server processing. In addition to the normal
OS/2 facilities, Warp Server includes many new tools for network and
file management suited for enterprise-wide computing. The product is
currently in beta testing and is scheduled for delivery in the first
quarter of 1996.
Bill Coon of IBM's Orlando office will conduct the presentation. Bill is
no stranger to TBOUG, having conducted the presentations on OS/2 Warp and
OS/2 Warp Connect for us.
This presentation will provide an excellent look into the future of
IBM's enterprise-wide computing strategy and should be of particular
interest to corporate customers.

KEY OS/2 EXECUTIVE FEATURED AT THE DECEMBER 6TH MEETING
OF THE TAMPA BAY OS/2 USERS' GROUP (TBOUG)

PALM HARBOR, FL (October 18, 1995) - The Tampa Bay OS/2 Users'
Group (TBOUG) is pleased to announce they have secured Mr.
Paul Giangarra of IBM as keynote speaker for their special
year-end meeting to be held December 6th in Tampa.
Mr. Giangarra is with IBM's Personal Software Products
(PSP) division in Boca Raton and is one of IBM's senior
operating system architects who led the architecture phase
for OS/2 for the PowerPC. He holds a technical position
on the PS Software Architecture Board and was the Chief
Designer for OS/2 1.2, 1.3, and 2.0.
Paul is a much sought-after speaker and has conducted OS/2
technical presentations on a worldwide basis. During his
presentation he will demonstrate many of IBM's key technology
innovations. Included are IBM's new Speech Navigation and
Recognition, New Infrared exploitation (printing, networking,
etc.), OpenDoc, and OS/2 for PowerPC.
The special meeting will be held at the Tampa Airport Hilton,
2225 Lois Avenue in Tampa beginning at 5:45 pm. TBOUG meetings
are normally held at IBM's LakePointe One Building in Tampa.
Meetings will resume at IBM's facility beginning in January.
Because this is a special year-end meeting, normal TBOUG
committee meetings will be suspended until January.
A large attendance is expected for this session so please
register early. UNTIL NOVEMBER 8TH, the registration fee
is $24 for TBOUG members and $25 for guests. AFTER NOVEMBER 8TH,
the registration fee is $30 per person. Registration includes
dinner and payment must accompany registration; checks should
be made payable to: Tampa Bay OS/2 Users' Group.
NOTE: Members of other valid OS/2 user groups will be
entitled to TBOUG member registration rates.

NOMINATIONS FOR TBOUG BOARD OF DIRECTORS
Election time for the TBOUG Board of Directors is near. The election
will be held at our year-end meeting to be held December 6th at the
Airport Hilton in Tampa. According to our bylaws, a maximum of nine (9)
people can serve on the Board, including a President, Vice President,
Secretary, and Treasurer. One of my duties as immediate Past-President
is to serve as the chairman of the Nominating Committee. Nominations for
the Board will be open until November 15th and the names of the nominees
will then appear in the December issue of our PROS/2 newsletter and on the
official ballot to be distributed at the meeting. You must be a member
of TBOUG to serve on the Board and you must be present at the December
6th meeting to vote. There are approximately four Board meetings per year.
Having served on the Board for the last two years I can tell you it is
a very insightful experience to see how OS/2 has evolved and how people
from around the Tampa Bay area put it to work.
If are interested in serving on the Board or would like to volunteer
for a committee position, please do not hesitate to call me.

TAMPA BAY OS/2 USERS' GROUP
MEMBERSHIP APPLICATION
The Tampa Bay OS/2 Users' Group (TBOUG) is a non-profit, vendor-independent
association dedicated to the effective use of IBM's OS/2 operating system.
Members of TBOUG are OS/2 licensees from around the Tampa Bay area of
Florida. There are two types of membership in the user group:
CORPORATE MEMBERSHIP allows a company to sponsor many employees to attend
user group functions. There is one (1) vote associated with a corporate
membership and the company must appoint an official voting delegate. The
price for an annual corporate membership is $200.*
INDIVIDUAL MEMBERSHIP allows an individual to join the user group and
entitles him/her to the same rights and privileges as the corporate
member, except the individual has a one-tenth (1/10) membership vote.
The price for an individual membership is $20.*
* Membership fees are prorated on a quarterly basis (operating year
is January to December).
The association is governed by a set of bylaws and an Executive Board.
Members can attend meeting functions (monthly meetings and committee
meetings) at discounted rates, and are provided free access to the user
group's Bulletin Board Service (BBS). Membership applications should

WEBEXPLORER 1.03 NOW AVAILABLE
Version 1.03 of IBM's popular WebExplorer software for browsing
the World Wide Web is now available. Although not a major upgrade,
the product does include several enhancements, such as faster
loading of graphics. The new version can be obtained either
from several sites on the Internet or through the "Retrieve Software
Updates" in the IBM Internet Connection for OS/2 (accompanying
the Warp BonusPak).
The downloaded file is approximately 603K in size and takes
approximately 10-15 minutes to download with a 14.4 modem.

OS/2 WARP SERVER BETA INITIAL CUSTOMER REACTION ENTHUSIASTIC:
IBM DISTRIBUTES 12,000 COPIES
Between 28 August and 15 September, IBM distributed 12,000 copies of the
beta version of OS/2 Warp Server to testers worldwide, making it the
largest beta program for any IBM Personal Software Products server
product. The beta is receiving outstanding initial response from
testers, including customers, analysts, VARs, system integrators, and
consultants.
Unimpressed with Windows NT and Windows 95
"I was using NT 3.5 on my server but was not impressed. It dumps people
off the network and its interface is not truly object-oriented. Neither
is Windows 95. It's clumsy and unstable," said Christopher McCarthy,
software development manager at Gemmac, Inc. "When I heard that OS/2
Warp Server was coming out, I decided to try it. Its interface is more
intuitive, and so far everything is running just the way I had hoped. I
don't plan on switching back to NT."
Beta Also Available to BESTeam Members
The OS/2 Warp Server beta has also been made available to IBM Business
Enterprise Solutions Team (BESTeam) members. It is the first time that
BESTeam members have been actively included in a broad-scale beta
program. BESTeam is IBM's desktop software recruitment and support
program for value-added resellers, network integrators, and consultants.
"OS/2 Warp Server is going to make IBM even more competitive in the
market," said Bill Allred, vice president and national sales director of
Compu Electronics, a mid-size VAR and BESTeam member. "In its
integration of OS/2 Warp and tried-and-true LAN Server 4.0, Warp Server
offers a complete network operating system that leapfrogs any in the
marketplace today."
"We couldn't be more thrilled about the OS/2 Warp Server beta program,"
said Phil Powers, director of marketing for LAN Systems, IBM Personal
Software Products. "We have shipped twice as many beta copies as
originally planned for this timeframe, and are receiving high praise
from large and small business beta testers and from resellers and
industry analysts."
Business Server for Small and Large Enterprises
OS/2 Warp Server is IBM's business server solution for customers ranging
from small businesses to large enterprises. It provides an integrated
platform for the growing application server environment, as well as a
complete set of traditional file and print services, by combining the
battle-tested OS/2 Warp and LAN Server 4.0 with a wealth of functional
enhancements in system management, backup, remote access, and advanced
print function. OS/2 Warp Server also supports multiple clients,
including OS/2 Warp, DOS, Windows 3.x, Windows 95, and Windows NT.
Beta-Tester Reactions
"I believe that Warp Server has great potential in the market, said
R. J. Sakakeeney, director of field research at The Aberdeen Group.
"Based on this beta and the product road map I've seen, it appears that
Warp Server will provide a great platform for both the file and print
and growing application server arena."
Other beta-tester reactions include:
* "IBM has done it! The automatic installation in OS/2 Warp Server
makes it easy for a LAN administrator to start the installation, walk
away to do other things, and come back to find everything installed,"
said Bill Howey, senior systems consultant at AVCO Financial Services
Corp. "It has the best GUI tools for a network administrator."
* "I'm impressed that such an industrial-strength, high-end tool
is being brought down to the user level," said Keith Grey. "I like the
progress I've seen over the past two years, advancing a top-to-bottom
and horizontal-to-vertical vision to make things work together on
open systems. It's what I'm banking on professionally and personally
as the way to go."
* "I'm very impressed with the installation routine. It's the easiest
installation I've done with an OS/2 product," said Jason Jeremias,
with a Big Six accounting firm. "I'm also surprised this is a beta
version, it seems very stable."
Complementing IBM's Family of Scalable Network Solutions
Following on the heels of OS/2 Warp Connect, IBM's network client
operating system, OS/2 Warp Server complements IBM's family of scalable
network solutions to meet any size customer need. Now in beta cycle,
OS/2 Warp Server is expected to be generally available in the first
quarter of 1996.

FOUR MILLION CANDLES ON OS/2 WARP'S FIRST BIRTHDAY CAKE
Since exploding the hourglass one year ago to launch OS/2 Warp with
events in New York, London, and Sydney, IBM has chalked up impressive
results around the world. Nearly four million copies of OS/2 Warp have
been sold in the last year, and more than 125 software developers have
announced plans to offer new native OS/2 applications, adding to the
2,500 OS/2 applications on the market today.
Keeping the Promise
When OS/2 Warp was announced last year, IBM made a promise to deliver a
family of products based on the OS/2 Warp cornerstone. That promise has
been kept, as IBM has delivered OS/2 Warp for Windows (red spine) and
non-Windows (blue spine) users; OS/2 Warp Connect and its AttachPak for
small workgroups and autonomous departments; the OS/2 Warp Family FunPak
games and entertainment package; the beta version of OS/2 Warp Connect
(PowerPC Edition); the beta version of OS/2 Warp Server; the beta
version of OS/2 Directory and Security Services; and the beta version of
OS/2 Warp Entertainment Toolkit for developers.
More Worldwide Milestones
Major OS/2 successes worldwide during recent months include:
* September 1995: Banca Commerciale Italiana (Comit) in Italy
announces the start of its rollout of a leading-edge banking
information system based on OS/2 to more than 10,000 users.
* September 1995: Sumitomo Bank in Japan purchases 400 OS/2 licenses to
serve their 3,000 desktop clients as part of a joint client system
integration project with NEC to manage its domestic credit online
system.
* September 1995: QBE Insurance in Australia, one of the largest
general insurance companies in the country, announces plans to
install OS/2 Warp in over 70 branches nationwide.
* September 1995: In the first weeks after it begins selling PCs
preloaded with Windows95, German PC manufacturer Vobis reports 50
percent of its sales are of systems preloaded with OS/2 Warp.
* September 1995: NEC begins preloading its version of OS/2 Warp on its
PC in Japan.
* September 1995: NationsBank starts second major regional development
of its Model Banking system, a cross-state, OS/2-based client/server
application. Phase II sees up to 2,500 OS/2 clients and 400 servers
brought online in Florida, joining the 1700 clients and 250 servers
already in use throughout Georgia.
* August 1995: Compaq announces the availability of OS/2 Warp and OS/2
LAN Server 4.0 on SmartStart 2.3, the newest version of its preloaded
tool for integrating and installing server software.
* August 1995: Chinese Ministry of Electronics Industry signs a
Statement to use OS/2 Warp and endorses it as a preferred product --
the first time China's MEI has endorsed a software product.
* June 1995: Data Control Informatica, an educational services firm in
Brazil, orders 100,000 copies of OS/2 Warp to distribute through 47
schools across Brazil for training PC users.
* June 1995: Wachovia Corporation, one of North Carolina's largest
banks, invests 30 million USD to standardize on an OS/2 Warp-based
retail system network throughout 500 branches.
* May 1995: Japan's telecommunications giant NTT Corporation buys
20,000 OS/2 licenses, and commits to an additional 20,000 to be
rolled out through 1997.
More Awards
OS/2 Warp has picked up 23 awards since its release last year, including
InfoWorld Readers' Choice Product of the Year, PC Magazine Number 1 for
User Satisfaction, PC World Product of the Year, Byte Readers Choice
Software Product of the Year, and the just-announced Best Operating
System of the Year at the UK Computing Awards for Excellence. In total,
OS/2 has won 70 industry awards since December 1992, including editor's
choice awards, user awards, and technical awards.
A Great Year for OS/2 Warp
"It's been a great year for Warp," said Dan Lautenbach, IBM vice
president, Personal Software Products division. "Our installed base is
growing, with 10 million OS/2 users worldwide, in markets from small
office and home users to large corporations with multiple-processor
machines. We have aggressive plans for OS/2 Warp in 1996 as we continue

SUITES
At the October 4th, 1995 TBOUG monthly meeting, a survey was conducted
of software "suite" packages (combining word processing, spreadsheets,
graphics, data base, etc.) used by the TBOUG membership. Additional surveys

published in future editions of PROS/2. The intent is to determine what

TYPE APPLICATION - Indicates if the program is a native DOS, Windows,
or OS/2 application.
VERSION - Indicates the version level of the product, if known;
e.g., 1.0, 2.0.1.
FREQUENCY OF USE - Indicate how often you use this product;
Rarely, Occasionally, Frequently.
PERFORMANCE UNDER OS/2 - Indicate how well the program behaves
under OS/2.
OVERALL GRADE - Represents the user's overall impression of the
product.
SUMMARY:
26 people attending the meeting responded to the survey. Each person
could review one or more products. In addition to the products
listed above, Footprint Works for OS/2 was also listed on the survey but
garnered no response.
Observations:
1. IBM Works 2.0 (as included in the Warp BonusPak) was the most
actively used suite. 65% of the respondents said they were actively
using the product. Further, it produced respectable scores for
performance under OS/2 and overall grade. It easily outdistanced
its closest rivals: Microsoft Office and Lotus SmartSuite. Even
though IBM Works may not be as robust as some of the other products
listed in terms of features, it appears to offer the basic suite
components that users want. IBM has a winner here.
2. The Microsoft Office was a distant second in terms of suites used.
In addition, it received just below average scores for performance
and overall grade.
3. Lotus' SmartSuite (both OS/2 and Windows versions) produced
mediocre scores. Is Lotus grasping defeat from the jaws of victory
in the OS/2 world?

I. Treasurer's Report
Rich Hubbard presented report on income and expenses.
Motion was made by Tim Bryce to Accept the Treasures Report.

a. Kay's Catering Service has not sent a bill for two months'
of served dinners. They responded by assuring that this
would be taken care of.
b. Standing Reservations. The standing dinner reservation list
needs updating. Some of the signers have missed more than
one dinner without notifying Rick Hoffmann.
II. Vice President's report
a. September's speaker - Bill Coon will present IBM's System
View for OS/2 Work Groups.

BYLAWS
ENACTED DECEMBER 9, 1993
ARTICLE I NAME
Section A The name of this organization shall be the "Tampa Bay OS/2 Users'
Group," hereinafter called the Association. OS/2 is defined as a computer
operating system marketed by IBM. OS/2 and IBM are the registered trademarks
of the International Business Machines Corporation.
ARTICLE II PURPOSE
Section A The objectives of this Association shall be:
1. To provide a forum for OS/2 users in the Tampa Bay area of Florida.
2. To promote the effective use of OS/2.
3. To provide a formal communications channel between the members and
the OS/2 vendor, IBM.
4. To provide a vehicle to communicate with other OS/2 related
user groups.
Section B Achievement of the objectives shall be accomplished by:
1. Planning and conducting meetings of the Association.
2. Developing and maintaining an electronic messaging system (e.g.
"bulletin board" and/or "group ware") to facilitate the exchange of
ideas and communications between members. Such a service is to
act as a "clearing house" for its members to research OS/2 related
subjects and problems, disseminate pertinent news, and share public
domain software.
Use of such electronic services is made available to Association members
on a strictly voluntary basis and at their own risk. The Association and
the Executive Board will not be responsible for any direct, indirect,
incidental, special or consequential damages including, for example,
loss of profits resulting from the use of the "bulletin board" service or
software obtained from the service, even if the Association has
been advised of the possibility of damages.
3. Developing and maintaining a list of suggested modifications/improvements
to OS/2 for consideration by IBM.
4. Developing and maintaining a list of problems ("bugs") associated
with OS/2 for correction by IBM.
5. Developing and maintaining a list of suggested standards pertaining to
OS/2 for consideration by IBM.
6. Developing and maintaining a list of members of the Association.
7. Developing and maintaining a reference library of Association related documentation (e.g., minutes of board meetings, published proceedings,
committee reports, membership lists, etc.).
8. Voluntary participation in OS/2 promotional activities (e.g., seminars,
exhibitions, demonstrations, etc.).
ARTICLE III MEMBERSHIP
Section A Classes of Membership
1. There will be two classes of membership, a Corporate Membership, and
an Individual Membership.
2. Each Corporate Membership is entitled to one (1) vote.
3. Each Individual Membership is entitled to one tenth (1/10) of a vote.
Section B Qualification
1. A membership may be held by any company, organization, or
individual with an OS/2 license.
2. Qualification for membership shall be automatic unless in the judgment
of the Executive Board this membership would not be consonant with the
spirit of the Association.
Section C Application
1. Application for membership must be made by writing to the Secretary
of the Association.
2. The application for Corporate Membership shall designate an
individual to serve as that corporation's voting delegate. The member
corporation may designate its delegate at any time by written notice
to the Secretary.
3. The Executive Board shall promptly act to accept or reject an application
for membership.
Section D Fees
1. An annual membership fee will be established by the Executive
Board to cover the operating expenses of the Association. The
membership fee is payable to the Treasurer at the time of applying
for membership. If membership application is rejected, the fee will
be returned to the applicant.
2. Registration fees will be used to cover the cost of meetings. The
amount of the fee will be established from time to time by a
committee consisting of the Secretary, Treasurer, and the
Program Chairman and submitted by that committee to the
Executive Board for approval. The registration fee is payable to
the Treasurer or other designated agent and is payable by each
person attending the meeting (with the exception of guests of the
Association).
Section E Termination of Membership
1. Membership terminates when qualification for membership ceases to
exist.
2. A membership may be terminated by notification in writing to the
Association Secretary from the corporate delegate of a Corporate
Membership, or an individual for an Individual Membership
3. Membership shall expire on January 1 of each year unless the
member's annual fee is received by the Secretary prior to that date.
4. The Secretary will notify the member by letter that such termination
has occurred. Re-instatement may be requested by letter to the President.
ARTICLE IV GOVERNMENT
Section A Executive Board of Directors
1. Executive Board - The government of this Association shall be vested
in the Executive Board, which shall consist of nine members.
2. Officers - The executive officers shall be: the President, the Vice-
President, the Secretary, and the Treasurer.
3. Executive Board Members - The Executive Board shall consist of the
executive officers, acting ex officio in their respective capacities, the
immediate Past President, and sufficient additional members to total
nine.
4. The tenure of an officer or Executive Board member shall terminate if the
incumbent becomes ineligible to hold office.
5. A majority of the Executive Board is a quorum.
Section B The President shall:
1. Be the principal executive officer.
2. Participate as an executive officer of the Executive Board of the
Association.
3. Provide for committees as described in Article VII.
4. Preside over all formal meetings and Executive Board meetings of the
Association.
5. Be ex officio a member of all committees.
6. Provide for the discharge, pro tempore, of necessary functions in the
event of the absence or incapacity of a member.
7. Call all Executive Board meetings.
Section C The Vice President shall:
1. Participate as an executive officer of the Executive Board of the
Association.
2. Be of official service to the President.
3. Perform the duties, pro tempore, of the President in case of Presidential
absence.
4. Act as Chairman of the Program Committee.
Section D The Secretary shall:
1. Participate as an executive officer of the Executive Board of the
Association.
2. Publish and maintain the minutes of Executive Board meetings.
3. Be responsible for all official publications of the Association.
4. Maintain the membership roster and make copies available for
formal meetings.
5. Be responsible for all official correspondence with IBM.
6. Participate in the recommendation of registration fees for
meetings of the Association. This responsibility is jointly
held by the Secretary, the Treasurer, and the Program Chairman.
Section E The Treasurer shall:
1. Participate as an executive officer of the Executive Board of the
Association.
2. Be responsible for all monies of the Association.
3. Maintain all accounts and handle all financial transactions of the
Association and prepare and issue to each member an annual
financial statement of the Association.
4. Prepare and maintain an operating budget by fiscal year for the
Association. An approval of the budget by the Executive Board is required.
5. Arrange for an annual audit of the financial accounts of the Association.
An Audit Committee consisting of at least three (3) members of the
Association will be appointed by the President. Said committee will
review their findings with the Executive Board for approval.
6. Participate in the recommendation of registration fees for
meetings of the Association. This responsibility is jointly
held by the Secretary, the Treasurer, and the Program Chairman.
7. Collect all fees pertaining to membership and registration for
meetings. The Treasurer may appoint a member to collect
fees in the event of his/her absence.
Section F Scope:
The duties of the Executive Board and the officers shall include but not be
restricted to those named in this article.
ARTICLE V Nomination and Election
Section A
1. The Nominating Committee shall present a slate of candidates for each
office at the last scheduled public meeting of the Association. This
committee will be chaired either by the Past President or a delegate
member appointed by the President.
2. Additional nominations may be appended to the slate of officers upon
receipt by the Nominating Committee, before the close of the meeting, of a
petition signed by seven (7) delegate members. No delegate may sign more
than one petition for the same office.
3. Elections shall occur during the course of that meeting.
4. Election shall be by secret ballot cast by delegate members.
5. Absentee ballots are not permitted.
6. A candidate is elected upon receiving a majority of the votes for the
office. Should the first ballot fail to produce a majority vote for any
office(s), a run-off shall be held between the two candidates receiving
the highest and second highest number of votes cast for the office(s).
7. The procedure for electing the remaining members of the Executive
Board shall be as follows. Each delegate member may vote for as many
candidates as there are vacancies to be filled. Those candidates,
equal in number to the actual number of vacancies to be filled,
receiving the highest number of votes shall be declared elected to the
Executive Board. In the case of a tie which results in a conflict, a
run-off between the tied candidates shall be held to fill the vacancies
remaining.
8. Elected officers and Board members shall assume their duties upon
adjournment of that meeting.
Section B Vacancies
1. In the event the office of President becomes vacant, the Vice
President shall succeed to the Presidency.
2. When any other office becomes vacant, the Executive Board shall
act to fill the office for the unexpired term. They shall use such
procedures for this as they deem advisable under the circumstances,
including if they wish, the holding of a special election with
balloting conducted by mail.
Section C Eligibility
1. Only member delegates are eligible to be officers or Executive Board
members.
2. No restriction shall be placed on the number of times a person may be
re-elected to office except that a Presidential incumbent is not eligible
for re-election of a second consecutive term.
3. No nomination shall be accepted unless the nominee has given assurance
of willingness to fulfill the responsibilities and duties of the office
for which he is nominated.
4. Employees and relatives of IBM and its subsidiaries are ineligible to serve
as officers or members of the Executive Board. However, IBM can appoint
an official non-voting representative(s) to act as vendor liaison at
Executive Board meetings and committee meetings.
Section D Duties of Officers
The Executive Board shall:
1. Establish official policy for the Association. This includes a code of
conduct and standard practices to be observed at all Association functions.
2. Monitor and supervise all Association related activities.
3. Establish fees for membership and registration for meetings.
4. Sanction special projects related to the Association.
5. Control the distribution of the Association membership roster to parties
internal and external to the Association.
ARTICLE VI MEETINGS
Section A Definitions for Meetings of the Association
1. A formal meeting is an event composed of one or more scheduled
sessions for the general membership of the association. The sessions
may be concurrent and/or contiguous for each day of the meeting.
A formal meeting is completed when adjourned 'sine die.'
2. The Executive Board will conduct separate meetings to conduct the
business of the Association. Board meetings will be open to all
members.
3. Committees will conduct separate meetings to discuss pertinent
topics of interest. Committee meetings will be open to all members.
Section B Schedules
1. Formal meetings will be conducted once a month. Locations for these
meetings shall be selected by the Executive Board based on the
recommendations of the Program Committee.
2. Executive Board meetings will be conducted at least four times a year.
The President shall select the meeting location.
3. Committee meetings will be conducted periodically as determined by
the committee. The Committee Chairman shall select the meeting location.
Section C Meeting Preliminaries
1. The agenda and other particulars for a formal meeting shall be distributed
by the Association Secretary to the members at least one week prior to the
opening day of the formal meeting.
2. The agenda and other particulars for a board meeting shall be distributed
by the Association President to the members of the Executive Board at
least one week prior to the opening day of the board meeting.
3. The agenda and other particulars for a committee meeting shall be
distributed by the Committee Chairman to interested members at least
one week prior to the opening of the committee meeting.
Section D Attendance
Attendance at all meetings is limited to members and guests invited by
the Executive Board.
Section E Proceedings
A recording secretary shall be assigned for each meeting. For formal
meetings and board meetings, this will be the Association Secretary.
For committee meetings, the Chairman will appoint a member to record
the events in a fashion acceptable to the Association Secretary.
Section F Restriction
1. No member or guest of the Association shall engage in employment
recruiting and/or interviewing at and during any meeting.
2. Meetings of the Association shall not be used as a vehicle for direct
solicitation of business. To clarify, the Executive Board or a Committee
Chairman may from time to time invite a vendor or consultant to a meeting
to describe their product and/or service. In this event, the vendor/
consultant can describe their product/service and pricing structure to the
general membership in attendance, but must avoid direct solicitation for
business from individual members during the meeting.
Section G Meetings
The date and location of any meeting to be sponsored by the Association or
by any of its committees must be coordinated with the Vice President before
being formally scheduled or announced.
ARTICLE VII COMMITTEES
Section A Establishment of Committees
1. A committee and its charter are established by the Association President
with the approval of the Executive Board.
2. The Chairman is appointed by the President with the approval of the
Executive Board.
3. The Chairman appoints the members of the committee. However, a
committee may be as small as one (1) member.
4. The Chairman shall keep the Association Secretary informed, on a
timely basis, of the membership and activities of the committee.
5. A committee may be dissolved, or its charter modified, or its chairman
removed by the President with the approval of the Executive Board.
ARTICLE VIII COMMUNICATIONS
Section A Distribution
The official distribution of information to the members shall be through
the Association Secretary.
Section B Nature of Material
Material sent to the Association Secretary for distribution is considered
non-proprietary and unclassified. Material is unequivocally subject by
the Secretary and the Association.
Section C Library
A library of material will be maintained by the Association Secretary in a
manner to be determined by the Executive Board.
Section D Association Communication with the Vendor
All official communications between the Association and the OS/2 vendor,
IBM, about matters of Association business must be conducted through
the Association President, or through such individual(s) as he/she may
designate.
ARTICLE IX PARLIAMENTARY AUTHORITY
Section A
"Robert's Rules of Order" shall prevail except that where they
conflict with these bylaws, the bylaws shall govern.
ARTICLE X AMENDMENT OF THE BYLAWS
Section A Proposals
Amendments to the bylaws may be processed by action of the Executive
Board or by a petition to the Association Secretary of seven (7) or more
members. Notice of a proposed amendment must be distributed to the
membership at least one month prior to the formal meeting at which
discussion is expected.
Section B Voting Procedure
Amendments to the by-laws shall be made by mail ballot. The Secretary
will mail the ballots to the membership within one (1) month following the
formal meeting at which the amendment was discussed. Ballots must be
returned to the Secretary within two (2) months of the closing day of the
Formal Meeting at which the amendment was discussed. A majority of the
votes returned within the above time limit shall be required to carry the
proposed amendment.
Section C Restriction
The Association Secretary or other members of the Executive Board may
not edit proposals for bylaw amendment.
