  40. The next meeting of the Tampa Bay OS/2 Users' Group will be held Wednesday
  41. evening, August 6th at IBM's LakePointe offices in Tampa.

  47. Our featured speaker for the August meeting will be Ms. Kelly Westphal of
  48. IBM's Personal Solutions Systems Center (PSSC).  Kelly will be demonstrating
  49. IBM's new Visual Age for Java (http://www.software.ibm.com/ad/vajava),
  50. a new programming tool for developing Java code.  During her presentation,
  51. Kelly intends to demonstrate the ease of visual programming in Java as well 
  52. as the iterative compiler technology it contains (e.g., the ability to change 
  53. a Java application while it is running and have the change show up).  Kelly's

  130. PRESIDENT'S MESSAGE
  131.  
  132. The July meeting of the Tampa Bay OS2 Users' Group was a low point 
  133. in our existance.  Only 12 people were in attendance, counting the 
  134. IBM representative and his wife.  With that level of attendance we 
  135. can no longer attract speakers.  One of the questions potential 
  136. speakers almost always ask is how many members attend your meetings.  When 
  137. the answer is "Oh, 10 or 12," one can imagine their response to our 
  138. request for a presentation or for demonstration software.
  139.  
  140. The low attendance also causes a problem for meals.  If only six or 
  141. seven people want meals, the number is too low to have the caterer 
  142. prepare the meal, get drinks, chips, ice, etc., and transport them to 
  143. the meeting.
  144.  
  145. In an earlier edition of PROS/2, I listed the benefits of membership 
  146. in TBOUG.  Our user's group exists to provide a forum for learning 
  147. about OS/2 and the software and hardware used with it.  In order to 
  148. put on a meeting, a lot of work is required.  Among the necessary actions 
  149. are:  Finding a guest speaker; getting a gift for the guest speaker; 
  150. arranging for food; collecting dues; preparing PROS/2; arranging for 
  151. rooms and IBM support; getting items for drawings; etc.  If there is 
  152. insufficient interest of the membership in attending the meetings,
  153. then a lot of effort is being expended for nothing.  Each of us pays 
  154. an annual membership fee of $20.00.  For that we expect to get a lot, 
  155. and we do.  Most of us have gotten software worth far more than the 
  156. annual dues and had questions answered that would cost $$$$ if we had 
  157. to pay for the answer.  We cannot continue to do these things if the 
  158. membership is not willing to attend meetings.
  159.  
  160. At our August meeting IBM will make a presentation on their new product,
  161. Visual Age Java.  Java is directly relevant to OS/2.  This presentation 
  162. should be of interest to every member of our group.  IBM has already asked 
  163. me to look into finding a different place to have our meetings due to our 
  164. low attendance.  Another showing of 10 or 12 people, as we had in July, 
  165. will undoubtedly lead to extreme difficulty in getting IBM to do another 
  166. presentation or supporting us in the future.
  167.  
  168. If we have low attendance for this meeting, I can only assume that the 
  169. membership is not interested in continuing the user group and we must 
  170. seriously consider disbanding.  If anyone has any thoughts or ideas 
  171. otherwise, I would appreciate them.

  233. The Tampa Bay OS/2 Users' Group (TBOUG) is a not-for-profit, vendor-independent
  234. association dedicated to the effective use of IBM's OS/2 operating system.
  235. Members of TBOUG are OS/2 licensees from around the Tampa Bay area of
  236. Florida.  There are two types of membership in the user group:
  237.  
  238. CORPORATE MEMBERSHIP allows a company to sponsor many employees to attend
  239. user group functions.  There is one (1) vote associated with a corporate
  240. membership and the company must appoint an official voting delegate.  The
  241. price for an annual corporate membership is $200.*
  242.  
  243. INDIVIDUAL MEMBERSHIP allows an individual to join the user group and
  244. entitles him/her to the same rights and privileges as the corporate
  245. member, except the individual has a one-tenth (1/10) membership vote.
  246. The price for an individual membership is $20.*
  247.  
  248. *  Membership fees are prorated on a quarterly basis (operating year
  249.    is January to December).  
  250.  
  251. The association is governed by a set of bylaws and an Executive Board.
  252. Members can attend meeting functions (monthly meetings and committee
  253. meetings) at discounted rates, and are provided free access to the user
  254. group's Bulletin Board Service (BBS).  Membership applications should
  255. be forwarded to TBOUG at:  Accounting Office, 5932 Seabird Drive South,

  1040. ARTICLE I  NAME
  1041.  
  1042. Section A  The name of this organization shall be the "Tampa Bay OS/2 Users'
  1043. Group," hereinafter called the Association.  OS/2 is defined as a computer
  1044. operating system marketed by IBM.  OS/2 and IBM are the registered trademarks
  1045. of the International Business Machines Corporation.
  1046.  
  1047. ARTICLE II  PURPOSE
  1048.  
  1049. Section A  The objectives of this Association shall be:
  1050.  
  1051. 1.  To provide a forum for OS/2 users in the Tampa Bay area of Florida.
  1052.  
  1053. 2.  To promote the effective use of OS/2.
  1054.  
  1055. 3.  To provide a formal communications channel between the members and
  1056.     the OS/2 vendor, IBM.
  1057.  
  1058. 4.  To provide a vehicle to communicate with other OS/2 related
  1059.     user groups.
  1060.  
  1061. Section B  Achievement of the objectives shall be accomplished by:
  1062.  
  1063. 1.  Planning and conducting meetings of the Association.
  1064.  
  1065. 2.  Developing and maintaining an electronic messaging system (e.g.
  1066.     "bulletin board" and/or "group ware") to facilitate the exchange of
  1067.     ideas and communications between members.  Such a service is to
  1068.     act as a "clearing house" for its members to research OS/2 related
  1069.     subjects and problems, disseminate pertinent news, and share public
  1070.     domain software.
  1071.  
  1072.     Use of such electronic services is made available to Association members
  1073.     on a strictly voluntary basis and at their own risk.  The Association and
  1074.     the Executive Board will not be responsible for any direct, indirect,
  1075.     incidental, special or consequential damages including, for example,
  1076.     loss of profits resulting from the use of the "bulletin board" service or
  1077.     software obtained from the service, even if the Association has
  1078.     been advised of the possibility of damages.

  1080. 3.  Developing and maintaining a list of suggested modifications/improvements
  1081.     to OS/2 for consideration by IBM.
  1082.  
  1083. 4.  Developing and maintaining a list of problems ("bugs") associated
  1084.     with OS/2 for correction by IBM.

  1086. 5.  Developing and maintaining a list of suggested standards pertaining to
  1087.     OS/2 for consideration by IBM.

  1089. 6.  Developing and maintaining a list of members of the Association.

  1091. 7.  Developing and maintaining a reference library of Association related                                                            documentation (e.g., minutes of board meetings, published proceedings,

  1101. 1.  There will be two classes of membership, a Corporate Membership, and
  1102.     an Individual Membership.

  1104. 2.  Each Corporate Membership is entitled to one (1) vote.

  1106. 3.  Each Individual Membership is entitled to one tenth (1/10) of a vote.

  1108. Section B  Qualification
  1109.  
  1110. 1.  A membership may be held by any company, organization, or
  1111.     individual with an OS/2 license.
  1112.  
  1113. 2.  Qualification for membership shall be automatic unless in the judgment
  1114.     of the Executive Board this membership would not be consonant with the
  1115.     spirit of the Association.
  1116.  
  1117. Section C  Application
  1118.  
  1119. 1.  Application for membership must be made by writing to the Secretary
  1120.     of the Association.
  1121.  
  1122. 2.  The application for Corporate Membership shall designate an
  1123.     individual to serve as that corporation's voting delegate.  The member
  1124.     corporation may designate its delegate at any time by written notice
  1125.     to the Secretary.
  1126.  
  1127. 3.  The Executive Board shall promptly act to accept or reject an application
  1128.     for membership.
  1129.  
  1130. Section D  Fees
  1131.  
  1132. 1.  An annual membership fee will be established by the Executive
  1133.     Board to cover the operating expenses of the Association.  The
  1134.     membership fee is payable to the Treasurer at the time of applying
  1135.     for membership.  If membership application is rejected, the fee will
  1136.     be returned to the applicant.
  1137.  
  1138. 2.  Registration fees will be used to cover the cost of meetings.  The
  1139.     amount of the fee will be established from time to time by a
  1140.     committee consisting of the Secretary, Treasurer, and the
  1141.     Program Chairman and submitted by that committee to the
  1142.     Executive Board for approval.  The registration fee is payable to
  1143.     the Treasurer or other designated agent and is payable by each
  1144.     person attending the meeting (with the exception of guests of the
  1145.     Association).
  1146.  
  1147. Section E  Termination of Membership
  1148.  
  1149. 1.  Membership terminates when qualification for membership ceases to
  1150.     exist.
  1151.  
  1152. 2.  A membership may be terminated by notification in writing to the
  1153.     Association Secretary from the corporate delegate of a Corporate
  1154.     Membership, or an individual for an Individual Membership
  1155.  
  1156. 3.  Membership shall expire on January 1 of each year unless the
  1157.     member's annual fee is received by the Secretary prior to that date.
  1158.  
  1159. 4.  The Secretary will notify the member by letter that such termination
  1160.     has occurred.  Re-instatement may be requested by letter to the President.
  1161.  
  1162. ARTICLE IV  GOVERNMENT
  1163.  
  1164. Section A  Executive Board of Directors
  1165.  
  1166. 1.  Executive Board - The government of this Association shall be vested
  1167.     in the Executive Board, which shall consist of nine members.
  1168.  
  1169. 2.  Officers - The executive officers shall be:  the President, the Vice-
  1170.     President, the Secretary, and the Treasurer.
  1171.  
  1172. 3.  Executive Board Members - The Executive Board shall consist of the
  1173.     executive officers, acting ex officio in their respective capacities, the
  1174.     immediate Past President, and sufficient additional members to total
  1175.     nine.
  1176.  
  1177. 4.  The tenure of an officer or Executive Board member shall terminate if the
  1178.     incumbent becomes ineligible to hold office.
  1179.  
  1180. 5.  A majority of the Executive Board is a quorum.
  1181.  
  1182. Section B  The President shall:
  1183.  
  1184. 1.  Be the principal executive officer.
  1185.  
  1186. 2.  Participate as an executive officer of the Executive Board of the
  1187.     Association.
  1188.  
  1189. 3.  Provide for committees as described in Article VII.
  1190.  
  1191. 4.  Preside over all formal meetings and Executive Board meetings of the
  1192.     Association.
  1193.  
  1194. 5.  Be ex officio a member of all committees.
  1195.  
  1196. 6.  Provide for the discharge, pro tempore, of necessary functions in the
  1197.     event of the absence or incapacity of a member.
  1198.  
  1199. 7.  Call all Executive Board meetings.
  1200.  
  1201. Section C  The Vice President shall:
  1202.  
  1203. 1.  Participate as an executive officer of the Executive Board of the
  1204.     Association.
  1205.  
  1206. 2.  Be of official service to the President.
  1207.  
  1208. 3.  Perform the duties, pro tempore, of the President in case of Presidential
  1209.     absence.
  1210.  
  1211. 4.  Act as Chairman of the Program Committee.
  1212.  
  1213. Section D  The Secretary shall:
  1214.  
  1215. 1.  Participate as an executive officer of the Executive Board of the
  1216.     Association.
  1217.  
  1218. 2.  Publish and maintain the minutes of Executive Board meetings.
  1219.  
  1220. 3.  Be responsible for all official publications of the Association.
  1221.  
  1222. 4.  Maintain the membership roster and make copies available for
  1223.     formal meetings.
  1224.  
  1225. 5.  Be responsible for all official correspondence with IBM.
  1226.  
  1227. 6.  Participate in the recommendation of registration fees for
  1228.     meetings of the Association.  This responsibility is jointly
  1229.     held by the Secretary, the Treasurer, and the Program Chairman.
  1230.  
  1231. Section E  The Treasurer shall:
  1232.  
  1233. 1.  Participate as an executive officer of the Executive Board of the
  1234.     Association.
  1235.  
  1236. 2.  Be responsible for all monies of the Association.
  1237.  
  1238. 3.  Maintain all accounts and handle all financial transactions of the
  1239.     Association and prepare and issue to each member an annual
  1240.     financial statement of the Association.
  1241.  
  1242. 4.  Prepare and maintain an operating budget by fiscal year for the
  1243.     Association.  An approval of the budget by the Executive Board is required.
  1244.  
  1245. 5.  Arrange for an annual audit of the financial accounts of the Association.
  1246.     An Audit Committee consisting of at least three (3) members of the
  1247.     Association will be appointed by the President.  Said committee will
  1248.     review their findings with the Executive Board for approval.
  1249.  
  1250. 6.  Participate in the recommendation of registration fees for
  1251.     meetings of the Association.  This responsibility is jointly
  1252.     held by the Secretary, the Treasurer, and the Program Chairman.
  1253.  
  1254. 7.  Collect all fees pertaining to membership and registration for
  1255.     meetings.  The Treasurer may appoint a member to collect
  1256.     fees in the event of his/her absence.
  1257.  
  1258. Section F  Scope:
  1259.  
  1260. The duties of the Executive Board and the officers shall include but not be
  1261. restricted to those named in this article.
  1262.  
  1263. ARTICLE V  Nomination and Election
  1264.  
  1265. Section A
  1266.  
  1267. 1.  The Nominating Committee shall present a slate of candidates for each
  1268.     office at the last scheduled public meeting of the Association.  This
  1269.     committee will be chaired either by the Past President or a delegate
  1270.     member appointed by the President.
  1271.  
  1272. 2.  Additional nominations may be appended to the slate of officers upon
  1273.     receipt by the Nominating Committee, before the close of the meeting, of a
  1274.     petition signed by seven (7) delegate members.  No delegate may sign more
  1275.     than one petition for the same office.
  1276.  
  1277. 3.  Elections shall occur during the course of that meeting.
  1278.  
  1279. 4.  Election shall be by secret ballot cast by delegate members.
  1280.  
  1281. 5.  Absentee ballots are not permitted.
  1282.  
  1283. 6.  A candidate is elected upon receiving a majority of the votes for the
  1284.     office.  Should the first ballot fail to produce a majority vote for any
  1285.     office(s), a run-off shall be held between the two candidates receiving
  1286.     the highest and second highest number of votes cast for the office(s).
  1287.  
  1288. 7.  The procedure for electing the remaining members of the Executive
  1289.     Board shall be as follows.  Each delegate member may vote for as many
  1290.     candidates as there are vacancies to be filled.  Those candidates,
  1291.     equal in number to the actual number of vacancies to be filled,
  1292.     receiving the highest number of votes shall be declared elected to the
  1293.     Executive Board.  In the case of a tie which results in a conflict, a
  1294.     run-off between the tied candidates shall be held to fill the vacancies
  1295.     remaining.
  1296.  
  1297. 8.  Elected officers and Board members shall assume their duties upon
  1298.     adjournment of that meeting.
  1299.  
  1300. Section B  Vacancies
  1301.  
  1302. 1.  In the event the office of President becomes vacant, the Vice
  1303.     President shall succeed to the Presidency.
  1304.  
  1305. 2.  When any other office becomes vacant, the Executive Board shall
  1306.     act to fill the office for the unexpired term.  They shall use such
  1307.     procedures for this as they deem advisable under the circumstances,
  1308.     including if they wish, the holding of a special election with
  1309.     balloting conducted by mail.
  1310.  
  1311. Section C  Eligibility
  1312.  
  1313. 1.  Only member delegates are eligible to be officers or Executive Board
  1314.     members.
  1315.  
  1316. 2.  No restriction shall be placed on the number of times a person may be
  1317.     re-elected to office except that a Presidential incumbent is not eligible
  1318.     for re-election of a second consecutive term.
  1319.  
  1320. 3.  No nomination shall be accepted unless the nominee has given assurance
  1321.     of willingness to fulfill the responsibilities and duties of the office
  1322.     for which he is nominated.
  1323.  
  1324. 4.  Employees and relatives of IBM and its subsidiaries are ineligible to serve
  1325.     as officers or members of the Executive Board.  However, IBM can appoint
  1326.     an official non-voting representative(s) to act as vendor liaison at
  1327.     Executive Board meetings and committee meetings.
  1328.  
  1329. Section D  Duties of Officers
  1330.  
  1331. The Executive Board shall:
  1332.  
  1333. 1.  Establish official policy for the Association.  This includes a code of
  1334.     conduct and standard practices to be observed at all Association functions.
  1335.  
  1336. 2.  Monitor and supervise all Association related activities.
  1337.  
  1338. 3.  Establish fees for membership and registration for meetings.
  1339.  
  1340. 4.  Sanction special projects related to the Association.
  1341.  
  1342. 5.  Control the distribution of the Association membership roster to parties
  1343.     internal and external to the Association.
  1344.  
  1345. ARTICLE VI  MEETINGS
  1346.  
  1347. Section A  Definitions for Meetings of the Association
  1348.  
  1349. 1.  A formal meeting is an event composed of one or more scheduled
  1350.     sessions for the general membership of the association.  The sessions
  1351.     may be concurrent and/or contiguous for each day of the meeting.
  1352.     A formal meeting is completed when adjourned 'sine die.'
  1353.  
  1354. 2.  The Executive Board will conduct separate meetings to conduct the
  1355.     business of the Association.  Board meetings will be open to all
  1356.     members.
  1357.  
  1358. 3.  Committees will conduct separate meetings to discuss pertinent
  1359.     topics of interest.  Committee meetings will be open to all members.
  1360.  
  1361. Section B  Schedules
  1362.  
  1363. 1.  Formal meetings will be conducted once a month.  Locations for these
  1364.     meetings shall be selected by the Executive Board based on the
  1365.     recommendations of the Program Committee.
  1366.  
  1367. 2.  Executive Board meetings will be conducted at least four times a year.
  1368.     The President shall select the meeting location.
  1369.  
  1370. 3.  Committee meetings will be conducted periodically as determined by
  1371.     the committee.  The Committee Chairman shall select the meeting location.
  1372.  
  1373. Section C  Meeting Preliminaries
  1374.  
  1375. 1.  The agenda and other particulars for a formal meeting shall be distributed
  1376.     by the Association Secretary to the members at least one week prior to the
  1377.     opening day of the formal meeting.
  1378.  
  1379. 2.  The agenda and other particulars for a board meeting shall be distributed
  1380.     by the Association President to the members of the Executive Board at
  1381.     least one week prior to the opening day of the board meeting.
  1382.  
  1383. 3.  The agenda and other particulars for a committee meeting shall be
  1384.     distributed by the Committee Chairman to interested members at least
  1385.     one week prior to the opening of the committee meeting.
  1386.  
  1387. Section D  Attendance
  1388.  
  1389. Attendance at all meetings is limited to members and guests invited by
  1390. the Executive Board.
  1391.  
  1392. Section E  Proceedings
  1393.  
  1394. A recording secretary shall be assigned for each meeting.  For formal
  1395. meetings and board meetings, this will be the Association Secretary.
  1396. For committee meetings, the Chairman will appoint a member to record
  1397. the events in a fashion acceptable to the Association Secretary.
  1398.  
  1399. Section F  Restriction
  1400.  
  1401. 1.  No member or guest of the Association shall engage in employment
  1402.     recruiting and/or interviewing at and during any meeting.
  1403.  
  1404. 2.  Meetings of the Association shall not be used as a vehicle for direct
  1405.     solicitation of business.  To clarify, the Executive Board or a Committee
  1406.     Chairman may from time to time invite a vendor or consultant to a meeting
  1407.     to describe their product and/or service.  In this event, the vendor/
  1408.     consultant can describe their product/service and pricing structure to the
  1409.     general membership in attendance, but must avoid direct solicitation for
  1410.     business from individual members during the meeting.
  1411.  
  1412. Section G  Meetings
  1413.  
  1414. The date and location of any meeting to be sponsored by the Association or
  1415. by any of its committees must be coordinated with the Vice President before
  1416. being formally scheduled or announced.
  1417.  
  1418. ARTICLE VII  COMMITTEES
  1419.  
  1420. Section A  Establishment of Committees
  1421.  
  1422. 1.  A committee and its charter are established by the Association President
  1423.     with the approval of the Executive Board.
  1424.  
  1425. 2.  The Chairman is appointed by the President with the approval of the
  1426.     Executive Board.
  1427.  
  1428. 3.  The Chairman appoints the members of the committee.  However, a
  1429.     committee may be as small as one (1) member.
  1430.  
  1431. 4.  The Chairman shall keep the Association Secretary informed, on a
  1432.     timely basis, of the membership and activities of the committee.
  1433.  
  1434. 5.  A committee may be dissolved, or its charter modified, or its chairman
  1435.     removed by the President with the approval of the Executive Board.
  1436.  
  1437. ARTICLE VIII  COMMUNICATIONS
  1438.  
  1439. Section A  Distribution
  1440.  
  1441. The official distribution of information to the members shall be through
  1442. the Association Secretary.
  1443.  
  1444. Section B  Nature of Material
  1445.  
  1446. Material sent to the Association Secretary for distribution is considered
  1447. non-proprietary and unclassified.  Material is unequivocally subject by
  1448. the Secretary and the Association.
  1449.  
  1450. Section C  Library
  1451.  
  1452. A library of material will be maintained by the Association Secretary in a
  1453. manner to be determined by the Executive Board.
  1454.  
  1455. Section D  Association Communication with the Vendor
  1456.  
  1457. All official communications between the Association and the OS/2 vendor,
  1458. IBM, about matters of Association business must be conducted through
  1459. the Association President, or through such individual(s) as he/she may
  1460. designate.
  1461.  
  1462. ARTICLE IX  PARLIAMENTARY AUTHORITY
  1463.  
  1464. Section A
  1465.  
  1466. "Robert's Rules of Order" shall prevail except that where they
  1467. conflict with these bylaws, the bylaws shall govern.
  1468.  
  1469. ARTICLE X  AMENDMENT OF THE BYLAWS
  1470.  
  1471. Section A  Proposals
  1472.  
  1473. Amendments to the bylaws may be processed by action of the Executive
  1474. Board or by a petition to the Association Secretary of seven (7) or more
  1475. members.  Notice of a proposed amendment must be distributed to the
  1476. membership at least one month prior to the formal meeting at which
  1477. discussion is expected.
  1478.  
  1479. Section B  Voting Procedure
  1480.  
  1481. Amendments to the by-laws shall be made by mail ballot.  The Secretary
  1482. will mail the ballots to the membership within one (1) month following the
  1483. formal meeting at which the amendment was discussed.  Ballots must be
  1484. returned to the Secretary within two (2) months of the closing day of the
  1485. Formal Meeting at which the amendment was discussed.  A majority of the
  1486. votes returned within the above time limit shall be required to carry the
  1487. proposed amendment.

  1489. Section C  Restriction
  1490.  
  1491. The Association Secretary or other members of the Executive Board may
  1492. not edit proposals for bylaw amendment.
