  46. The next meeting of the Tampa Bay OS/2 Users' Group will be held Wednesday
  47. evening, February 7th at IBM's LakePointe offices in Tampa.

  55. We will finish our look at Performance Plus 3.0.  I will bring a machine with
  56. everything already installed and running.  We will also finish our Object

  61. We will have a discussion on ways to tune OS/2 Warp.  The discussion will be
  62. based on the paper, "How to Supercharge OS/2 Warp" by Richard Oliver Kurt.

  74. Featured will be a presentation on Lotus Notes 4.0 by Mark Williams,
  75. Senior Workgroup Consultant, of U.S. Technologies, Inc., Tampa.  Mr.
  76. Williams will review the new version which includes:  new administrative
  77. capabilities such as the ability to centrally administer remote servers 
  78. and issue remote server console commands; agents, action bars and 
  79. sorting-sizing columns for easier application development; interface 
  80. enhancements and expanded integration with the Internet.  Among the
  81. new Internet capabilities is the InterNotes Web Navigator, a data
  82. base that gives Notes users a gateway to the World Wide Web.  OS/2 users
  83. currently running Lotus Notes or those interested in Notes and its
  84. Internet access capabilities should find the session particularly
  85. interesting.

  281. The Tampa Bay OS/2 Users' Group (TBOUG) is a not-for-profit, vendor-independent
  282. association dedicated to the effective use of IBM's OS/2 operating system.
  283. Members of TBOUG are OS/2 licensees from around the Tampa Bay area of
  284. Florida.  There are two types of membership in the user group:
  285.  
  286. CORPORATE MEMBERSHIP allows a company to sponsor many employees to attend
  287. user group functions.  There is one (1) vote associated with a corporate
  288. membership and the company must appoint an official voting delegate.  The
  289. price for an annual corporate membership is $200.*
  290.  
  291. INDIVIDUAL MEMBERSHIP allows an individual to join the user group and
  292. entitles him/her to the same rights and privileges as the corporate
  293. member, except the individual has a one-tenth (1/10) membership vote.
  294. The price for an individual membership is $20.*
  295.  
  296. *  Membership fees are prorated on a quarterly basis (operating year
  297.    is January to December).  
  298.  
  299. The association is governed by a set of bylaws and an Executive Board.
  300. Members can attend meeting functions (monthly meetings and committee
  301. meetings) at discounted rates, and are provided free access to the user
  302. group's Bulletin Board Service (BBS).  Membership applications should

  1242. ARTICLE I  NAME
  1243.  
  1244. Section A  The name of this organization shall be the "Tampa Bay OS/2 Users'
  1245. Group," hereinafter called the Association.  OS/2 is defined as a computer
  1246. operating system marketed by IBM.  OS/2 and IBM are the registered trademarks
  1247. of the International Business Machines Corporation.
  1248.  
  1249. ARTICLE II  PURPOSE
  1250.  
  1251. Section A  The objectives of this Association shall be:
  1252.  
  1253. 1.  To provide a forum for OS/2 users in the Tampa Bay area of Florida.
  1254.  
  1255. 2.  To promote the effective use of OS/2.
  1256.  
  1257. 3.  To provide a formal communications channel between the members and
  1258.     the OS/2 vendor, IBM.
  1259.  
  1260. 4.  To provide a vehicle to communicate with other OS/2 related
  1261.     user groups.
  1262.  
  1263. Section B  Achievement of the objectives shall be accomplished by:
  1264.  
  1265. 1.  Planning and conducting meetings of the Association.
  1266.  
  1267. 2.  Developing and maintaining an electronic messaging system (e.g.
  1268.     "bulletin board" and/or "group ware") to facilitate the exchange of
  1269.     ideas and communications between members.  Such a service is to
  1270.     act as a "clearing house" for its members to research OS/2 related
  1271.     subjects and problems, disseminate pertinent news, and share public
  1272.     domain software.
  1273.  
  1274.     Use of such electronic services is made available to Association members
  1275.     on a strictly voluntary basis and at their own risk.  The Association and
  1276.     the Executive Board will not be responsible for any direct, indirect,
  1277.     incidental, special or consequential damages including, for example,
  1278.     loss of profits resulting from the use of the "bulletin board" service or
  1279.     software obtained from the service, even if the Association has
  1280.     been advised of the possibility of damages.
  1281.  
  1282. 3.  Developing and maintaining a list of suggested modifications/improvements
  1283.     to OS/2 for consideration by IBM.
  1284.  
  1285. 4.  Developing and maintaining a list of problems ("bugs") associated
  1286.     with OS/2 for correction by IBM.
  1287.  
  1288. 5.  Developing and maintaining a list of suggested standards pertaining to
  1289.     OS/2 for consideration by IBM.
  1290.  
  1291. 6.  Developing and maintaining a list of members of the Association.
  1292.  
  1293. 7.  Developing and maintaining a reference library of Association related                                                  documentation (e.g., minutes of board meetings, published proceedings,
  1294.     committee reports, membership lists, etc.).
  1295.  
  1296. 8.  Voluntary participation in OS/2 promotional activities (e.g., seminars,
  1297.     exhibitions, demonstrations, etc.).
  1298.  
  1299. ARTICLE III  MEMBERSHIP
  1300.  
  1301. Section A  Classes of Membership
  1302.  
  1303. 1.  There will be two classes of membership, a Corporate Membership, and
  1304.     an Individual Membership.
  1305.  
  1306. 2.  Each Corporate Membership is entitled to one (1) vote.
  1307.  
  1308. 3.  Each Individual Membership is entitled to one tenth (1/10) of a vote.
  1309.  
  1310. Section B  Qualification
  1311.  
  1312. 1.  A membership may be held by any company, organization, or
  1313.     individual with an OS/2 license.
  1314.  
  1315. 2.  Qualification for membership shall be automatic unless in the judgment
  1316.     of the Executive Board this membership would not be consonant with the
  1317.     spirit of the Association.
  1318.  
  1319. Section C  Application
  1320.  
  1321. 1.  Application for membership must be made by writing to the Secretary
  1322.     of the Association.
  1323.  
  1324. 2.  The application for Corporate Membership shall designate an
  1325.     individual to serve as that corporation's voting delegate.  The member
  1326.     corporation may designate its delegate at any time by written notice
  1327.     to the Secretary.
  1328.  
  1329. 3.  The Executive Board shall promptly act to accept or reject an application
  1330.     for membership.
  1331.  
  1332. Section D  Fees
  1333.  
  1334. 1.  An annual membership fee will be established by the Executive
  1335.     Board to cover the operating expenses of the Association.  The
  1336.     membership fee is payable to the Treasurer at the time of applying
  1337.     for membership.  If membership application is rejected, the fee will
  1338.     be returned to the applicant.
  1339.  
  1340. 2.  Registration fees will be used to cover the cost of meetings.  The
  1341.     amount of the fee will be established from time to time by a
  1342.     committee consisting of the Secretary, Treasurer, and the
  1343.     Program Chairman and submitted by that committee to the
  1344.     Executive Board for approval.  The registration fee is payable to
  1345.     the Treasurer or other designated agent and is payable by each
  1346.     person attending the meeting (with the exception of guests of the
  1347.     Association).
  1348.  
  1349. Section E  Termination of Membership
  1350.  
  1351. 1.  Membership terminates when qualification for membership ceases to
  1352.     exist.
  1353.  
  1354. 2.  A membership may be terminated by notification in writing to the
  1355.     Association Secretary from the corporate delegate of a Corporate
  1356.     Membership, or an individual for an Individual Membership
  1357.  
  1358. 3.  Membership shall expire on January 1 of each year unless the
  1359.     member's annual fee is received by the Secretary prior to that date.
  1360.  
  1361. 4.  The Secretary will notify the member by letter that such termination
  1362.     has occurred.  Re-instatement may be requested by letter to the President.
  1363.  
  1364. ARTICLE IV  GOVERNMENT
  1365.  
  1366. Section A  Executive Board of Directors
  1367.  
  1368. 1.  Executive Board - The government of this Association shall be vested
  1369.     in the Executive Board, which shall consist of nine members.
  1370.  
  1371. 2.  Officers - The executive officers shall be:  the President, the Vice-
  1372.     President, the Secretary, and the Treasurer.
  1373.  
  1374. 3.  Executive Board Members - The Executive Board shall consist of the
  1375.     executive officers, acting ex officio in their respective capacities, the
  1376.     immediate Past President, and sufficient additional members to total
  1377.     nine.
  1378.  
  1379. 4.  The tenure of an officer or Executive Board member shall terminate if the
  1380.     incumbent becomes ineligible to hold office.
  1381.  
  1382. 5.  A majority of the Executive Board is a quorum.
  1383.  
  1384. Section B  The President shall:
  1385.  
  1386. 1.  Be the principal executive officer.
  1387.  
  1388. 2.  Participate as an executive officer of the Executive Board of the
  1389.     Association.
  1390.  
  1391. 3.  Provide for committees as described in Article VII.
  1392.  
  1393. 4.  Preside over all formal meetings and Executive Board meetings of the
  1394.     Association.
  1395.  
  1396. 5.  Be ex officio a member of all committees.
  1397.  
  1398. 6.  Provide for the discharge, pro tempore, of necessary functions in the
  1399.     event of the absence or incapacity of a member.
  1400.  
  1401. 7.  Call all Executive Board meetings.
  1402.  
  1403. Section C  The Vice President shall:
  1404.  
  1405. 1.  Participate as an executive officer of the Executive Board of the
  1406.     Association.
  1407.  
  1408. 2.  Be of official service to the President.
  1409.  
  1410. 3.  Perform the duties, pro tempore, of the President in case of Presidential
  1411.     absence.
  1412.  
  1413. 4.  Act as Chairman of the Program Committee.
  1414.  
  1415. Section D  The Secretary shall:
  1416.  
  1417. 1.  Participate as an executive officer of the Executive Board of the
  1418.     Association.
  1419.  
  1420. 2.  Publish and maintain the minutes of Executive Board meetings.
  1421.  
  1422. 3.  Be responsible for all official publications of the Association.
  1423.  
  1424. 4.  Maintain the membership roster and make copies available for
  1425.     formal meetings.
  1426.  
  1427. 5.  Be responsible for all official correspondence with IBM.
  1428.  
  1429. 6.  Participate in the recommendation of registration fees for
  1430.     meetings of the Association.  This responsibility is jointly
  1431.     held by the Secretary, the Treasurer, and the Program Chairman.
  1432.  
  1433. Section E  The Treasurer shall:
  1434.  
  1435. 1.  Participate as an executive officer of the Executive Board of the
  1436.     Association.
  1437.  
  1438. 2.  Be responsible for all monies of the Association.
  1439.  
  1440. 3.  Maintain all accounts and handle all financial transactions of the
  1441.     Association and prepare and issue to each member an annual
  1442.     financial statement of the Association.
  1443.  
  1444. 4.  Prepare and maintain an operating budget by fiscal year for the
  1445.     Association.  An approval of the budget by the Executive Board is required.
  1446.  
  1447. 5.  Arrange for an annual audit of the financial accounts of the Association.
  1448.     An Audit Committee consisting of at least three (3) members of the
  1449.     Association will be appointed by the President.  Said committee will
  1450.     review their findings with the Executive Board for approval.
  1451.  
  1452. 6.  Participate in the recommendation of registration fees for
  1453.     meetings of the Association.  This responsibility is jointly
  1454.     held by the Secretary, the Treasurer, and the Program Chairman.
  1455.  
  1456. 7.  Collect all fees pertaining to membership and registration for
  1457.     meetings.  The Treasurer may appoint a member to collect
  1458.     fees in the event of his/her absence.
  1459.  
  1460. Section F  Scope:
  1461.  
  1462. The duties of the Executive Board and the officers shall include but not be
  1463. restricted to those named in this article.
  1464.  
  1465. ARTICLE V  Nomination and Election
  1466.  
  1467. Section A
  1468.  
  1469. 1.  The Nominating Committee shall present a slate of candidates for each
  1470.     office at the last scheduled public meeting of the Association.  This
  1471.     committee will be chaired either by the Past President or a delegate
  1472.     member appointed by the President.
  1473.  
  1474. 2.  Additional nominations may be appended to the slate of officers upon
  1475.     receipt by the Nominating Committee, before the close of the meeting, of a
  1476.     petition signed by seven (7) delegate members.  No delegate may sign more
  1477.     than one petition for the same office.
  1478.  
  1479. 3.  Elections shall occur during the course of that meeting.
  1480.  
  1481. 4.  Election shall be by secret ballot cast by delegate members.
  1482.  
  1483. 5.  Absentee ballots are not permitted.
  1484.  
  1485. 6.  A candidate is elected upon receiving a majority of the votes for the
  1486.     office.  Should the first ballot fail to produce a majority vote for any
  1487.     office(s), a run-off shall be held between the two candidates receiving
  1488.     the highest and second highest number of votes cast for the office(s).
  1489.  
  1490. 7.  The procedure for electing the remaining members of the Executive
  1491.     Board shall be as follows.  Each delegate member may vote for as many
  1492.     candidates as there are vacancies to be filled.  Those candidates,
  1493.     equal in number to the actual number of vacancies to be filled,
  1494.     receiving the highest number of votes shall be declared elected to the
  1495.     Executive Board.  In the case of a tie which results in a conflict, a
  1496.     run-off between the tied candidates shall be held to fill the vacancies
  1497.     remaining.
  1498.  
  1499. 8.  Elected officers and Board members shall assume their duties upon
  1500.     adjournment of that meeting.
  1501.  
  1502. Section B  Vacancies
  1503.  
  1504. 1.  In the event the office of President becomes vacant, the Vice
  1505.     President shall succeed to the Presidency.
  1506.  
  1507. 2.  When any other office becomes vacant, the Executive Board shall
  1508.     act to fill the office for the unexpired term.  They shall use such
  1509.     procedures for this as they deem advisable under the circumstances,
  1510.     including if they wish, the holding of a special election with
  1511.     balloting conducted by mail.
  1512.  
  1513. Section C  Eligibility
  1514.  
  1515. 1.  Only member delegates are eligible to be officers or Executive Board
  1516.     members.
  1517.  
  1518. 2.  No restriction shall be placed on the number of times a person may be
  1519.     re-elected to office except that a Presidential incumbent is not eligible
  1520.     for re-election of a second consecutive term.
  1521.  
  1522. 3.  No nomination shall be accepted unless the nominee has given assurance
  1523.     of willingness to fulfill the responsibilities and duties of the office
  1524.     for which he is nominated.
  1525.  
  1526. 4.  Employees and relatives of IBM and its subsidiaries are ineligible to serve
  1527.     as officers or members of the Executive Board.  However, IBM can appoint
  1528.     an official non-voting representative(s) to act as vendor liaison at
  1529.     Executive Board meetings and committee meetings.
  1530.  
  1531. Section D  Duties of Officers
  1532.  
  1533. The Executive Board shall:
  1534.  
  1535. 1.  Establish official policy for the Association.  This includes a code of
  1536.     conduct and standard practices to be observed at all Association functions.
  1537.  
  1538. 2.  Monitor and supervise all Association related activities.
  1539.  
  1540. 3.  Establish fees for membership and registration for meetings.
  1541.  
  1542. 4.  Sanction special projects related to the Association.
  1543.  
  1544. 5.  Control the distribution of the Association membership roster to parties
  1545.     internal and external to the Association.
  1546.  
  1547. ARTICLE VI  MEETINGS
  1548.  
  1549. Section A  Definitions for Meetings of the Association
  1550.  
  1551. 1.  A formal meeting is an event composed of one or more scheduled
  1552.     sessions for the general membership of the association.  The sessions
  1553.     may be concurrent and/or contiguous for each day of the meeting.
  1554.     A formal meeting is completed when adjourned 'sine die.'
  1555.  
  1556. 2.  The Executive Board will conduct separate meetings to conduct the
  1557.     business of the Association.  Board meetings will be open to all
  1558.     members.
  1559.  
  1560. 3.  Committees will conduct separate meetings to discuss pertinent
  1561.     topics of interest.  Committee meetings will be open to all members.
  1562.  
  1563. Section B  Schedules
  1564.  
  1565. 1.  Formal meetings will be conducted once a month.  Locations for these
  1566.     meetings shall be selected by the Executive Board based on the
  1567.     recommendations of the Program Committee.
  1568.  
  1569. 2.  Executive Board meetings will be conducted at least four times a year.
  1570.     The President shall select the meeting location.
  1571.  
  1572. 3.  Committee meetings will be conducted periodically as determined by
  1573.     the committee.  The Committee Chairman shall select the meeting location.
  1574.  
  1575. Section C  Meeting Preliminaries
  1576.  
  1577. 1.  The agenda and other particulars for a formal meeting shall be distributed
  1578.     by the Association Secretary to the members at least one week prior to the
  1579.     opening day of the formal meeting.
  1580.  
  1581. 2.  The agenda and other particulars for a board meeting shall be distributed
  1582.     by the Association President to the members of the Executive Board at
  1583.     least one week prior to the opening day of the board meeting.
  1584.  
  1585. 3.  The agenda and other particulars for a committee meeting shall be
  1586.     distributed by the Committee Chairman to interested members at least
  1587.     one week prior to the opening of the committee meeting.
  1588.  
  1589. Section D  Attendance
  1590.  
  1591. Attendance at all meetings is limited to members and guests invited by
  1592. the Executive Board.
  1593.  
  1594. Section E  Proceedings
  1595.  
  1596. A recording secretary shall be assigned for each meeting.  For formal
  1597. meetings and board meetings, this will be the Association Secretary.
  1598. For committee meetings, the Chairman will appoint a member to record
  1599. the events in a fashion acceptable to the Association Secretary.
  1600.  
  1601. Section F  Restriction
  1602.  
  1603. 1.  No member or guest of the Association shall engage in employment
  1604.     recruiting and/or interviewing at and during any meeting.
  1605.  
  1606. 2.  Meetings of the Association shall not be used as a vehicle for direct
  1607.     solicitation of business.  To clarify, the Executive Board or a Committee
  1608.     Chairman may from time to time invite a vendor or consultant to a meeting
  1609.     to describe their product and/or service.  In this event, the vendor/
  1610.     consultant can describe their product/service and pricing structure to the
  1611.     general membership in attendance, but must avoid direct solicitation for
  1612.     business from individual members during the meeting.
  1613.  
  1614. Section G  Meetings
  1615.  
  1616. The date and location of any meeting to be sponsored by the Association or
  1617. by any of its committees must be coordinated with the Vice President before
  1618. being formally scheduled or announced.
  1619.  
  1620. ARTICLE VII  COMMITTEES
  1621.  
  1622. Section A  Establishment of Committees
  1623.  
  1624. 1.  A committee and its charter are established by the Association President
  1625.     with the approval of the Executive Board.
  1626.  
  1627. 2.  The Chairman is appointed by the President with the approval of the
  1628.     Executive Board.
  1629.  
  1630. 3.  The Chairman appoints the members of the committee.  However, a
  1631.     committee may be as small as one (1) member.
  1632.  
  1633. 4.  The Chairman shall keep the Association Secretary informed, on a
  1634.     timely basis, of the membership and activities of the committee.
  1635.  
  1636. 5.  A committee may be dissolved, or its charter modified, or its chairman
  1637.     removed by the President with the approval of the Executive Board.
  1638.  
  1639. ARTICLE VIII  COMMUNICATIONS
  1640.  
  1641. Section A  Distribution
  1642.  
  1643. The official distribution of information to the members shall be through
  1644. the Association Secretary.
  1645.  
  1646. Section B  Nature of Material
  1647.  
  1648. Material sent to the Association Secretary for distribution is considered
  1649. non-proprietary and unclassified.  Material is unequivocally subject by
  1650. the Secretary and the Association.
  1651.  
  1652. Section C  Library
  1653.  
  1654. A library of material will be maintained by the Association Secretary in a
  1655. manner to be determined by the Executive Board.
  1656.  
  1657. Section D  Association Communication with the Vendor
  1658.  
  1659. All official communications between the Association and the OS/2 vendor,
  1660. IBM, about matters of Association business must be conducted through
  1661. the Association President, or through such individual(s) as he/she may
  1662. designate.
  1663.  
  1664. ARTICLE IX  PARLIAMENTARY AUTHORITY
  1665.  
  1666. Section A
  1667.  
  1668. "Robert's Rules of Order" shall prevail except that where they
  1669. conflict with these bylaws, the bylaws shall govern.
  1670.  
  1671. ARTICLE X  AMENDMENT OF THE BYLAWS
  1672.  
  1673. Section A  Proposals
  1674.  
  1675. Amendments to the bylaws may be processed by action of the Executive
  1676. Board or by a petition to the Association Secretary of seven (7) or more
  1677. members.  Notice of a proposed amendment must be distributed to the
  1678. membership at least one month prior to the formal meeting at which
  1679. discussion is expected.

  1681. Section B  Voting Procedure

  1683. Amendments to the by-laws shall be made by mail ballot.  The Secretary
  1684. will mail the ballots to the membership within one (1) month following the
  1685. formal meeting at which the amendment was discussed.  Ballots must be
  1686. returned to the Secretary within two (2) months of the closing day of the
  1687. Formal Meeting at which the amendment was discussed.  A majority of the
  1688. votes returned within the above time limit shall be required to carry the
  1689. proposed amendment.
