  16.                     Software Advantage customers can receive one no-charge
  17.              additional license of Lotus SmartSuite for OS/2 for every two
  18.              OS/2 Warp product additional licenses they acquire during the
  19.              promotional period.

  23.                  For a limited time only, customers participating in the
  24.           Software Advantage program can receive one no-charge additional
  25.           license of Lotus SmartSuite** for OS/2 (R) for every two OS/2 Warp
  26.           additional license products they acquire during the promotional
  27.           period.
  28.                  Orders must be placed on or before December 29, 1995.  The
  29.           Date of Installation, as defined in the IBM Customer Agreement, must
  30.           occur on or after October 1, 1995, but no later than
  31.           December 29, 1995.
  32.                  If you are a commercial, state or local government or
  33.           education customer, you can participate.  If you are a federal
  34.           government customer, call 800-333-6705 or 301-564-7970 to determine
  35.           eligibility.

  45.           Customers will receive one SmartSuite for OS/2 additional license (no

  47.           acquired under Software Advantage during the promotion period:

  74.                  The Lotus SmartSuite for OS/2 additional licenses earned will
  75.           be based on the number of OS/2 Warp Connect and OS/2 Warp licenses
  76.           acquired through December 29, 1995.  These additional licenses of
  77.           Lotus SmartSuite for OS/2 are eligible for Lotus Passport Maintenance
  78.           for a fee.  Customers should contact their Lotus Authorized Reseller
  79.           or Lotus Account Representative for further information.  These
  80.           additional licenses are not eligible for the recently announced Lotus
  81.           Buyers' Assurance Plan.
  82.                  Customers may acquire the initial media for Lotus SmartSuite
  83.           for OS/2  from their participating IBM or Lotus Authorized Reseller
  84.           or from major retail or catalog software resellers.
  85.                  After receiving the Software Advantage monthly customer
  86.           report, IBM will calculate the Lotus SmartSuite for OS/2 additional
  87.           licenses earned by the customer during the period.  A letter will be
  88.           sent to the customer providing the number of Lotus SmartSuite for
  89.           OS/2 licenses the customer may electronically copy.  The letter may
  90.           be used by the customer for audit purposes as proof of license.
