  12. TITLE     IBM OS/2 UPGRADE PROMOTION FOR VALU CUSTOMERS                         
  13. ABSTRACT         For a limited time only, VALU customers who acquire OS/2 (R)   
  14.           Version 2.1 at the normal one-time charge, less their appropriate     
  15.           VALU discount, will receive a license upgrade for OS/2 Warp Version 3 
  16.           (with WINOS2), at no additional charge, when it becomes generally     
  17.           available.  VALU customers will also be entitled to a Lotus**         
  18.           SmartSuite** for OS/2 additional license upgrade, at no additional    
  19.           charge, for every two OS/2 Version 2.1 licenses acquired during the   
  20.           promotional period at the normal VALU designated price.               
  21.                  OS/2 Version 2.1 must be acquired on or after October 1, 1994, 
  22.           but no later than December 31, 1994.                                  
  23.                  Eligible Products:                                             
  24.           o   OS/2 Version 2.1 Additional License with Certification (61G0910)  
  25.           o   OS/2 Version 2.1 Additional License without Certification         
  26.               (61G0917)                                                         
  27.           o   OS/2 Version 2.1 Additional License Upgrade with Certification    
  28.               (61G0911)                                                         
  29.           o   OS/2 Version 2.1 Additional License Upgrade without Certification 
  30.               (61G0918)                                                         
  31.                  Customers must report all transactions to IBM using the        
  32.           approved VALU reporting procedures.  All additional license upgrades  
  33.           earned will be based upon the quantity of OS/2 licenses acquired      
  34.           under the VALU program and reported to IBM during the promotion       
  35.           period.  All other VALU provisions apply.                             
  36.                  The Lotus SmartSuite for OS/2 additional license upgrade may   
  37.           be installed on a PC running any Lotus or competitive word processor, 
  38.           spreadsheet, graphics package or mail package under DOS, Windows or   
  39.           OS/2.  A customer is entitled to use a SmartSuite for OS/2 additional 
  40.           license in those cases where an upgrade does not apply.               
  41.                  In January 1995, eligible customers will receive a written     
  42.           notice from IBM containing the quantity of OS/2 and SmartSuite for    
  43.           OS/2 additional licenses for which they qualify.  This quantity will  
  44.           be based on the quantity of selected OS/2 products reported as        
  45.           acquired on or after October 1, 1994, but no later than               
  46.           December 31, 1994.                                                    
  47.                  You cannot combine this promotion with any other discount or   
  48.           allowance. Only VALU customers are eligible for this promotion.
