  1.             SOFTWARE LICENSE AGREEMENT AND LIMITED WARRANTY

  14. In this agreement:
  15.  
  16.    "Software" means the JP Software product(s), consisting of either a
  17.    single program or one or more programs distributed together as a unit;
  18.  
  19.    "we" or "us" means JP Software Inc., a corporation based in
  20.    Arlington, Mass., USA;
  21.  
  22.    "you" means the end user of the Software; and
  23.  
  24.    "Computer" means a computer keyboard, terminal, or other primary
  25.    input device used by a single user.
  26.  
  27. (1) Legal Agreement.  This legal agreement allows you to use the
  28. Software under the terms and conditions below.
  29.  
  30. (2) Ownership.  We or our licensors own the Software under copyright,
  31. trade secret and all other laws that may apply.  All JP Software product
  32. names, designs, and logos are trademarks of JP Software Inc.
  33.  
  34. (3) Use of Individual Copies.  You may install this software on any
  35. number of computers.
  36.  
  37. (4) Copying and Distribution.  You may copy the Software files as
  38. necessary for normal backup purposes.  In addition, you may give this 
  39. Software includes the file TRIAL.TXT, and you strictly follow the terms
  40. described in that file, you may give the trial version of the Software
  41. to individual friends and colleagues you know personally, without your
  42. serial number or registration codes.  You may not make, sell, or give to
  43. others, any other whole or partial copy of the Software, without our
  44. advance written permission.

  46. (5) DISCLAIMERS, LIMITATIONS, and RESTRICTED RIGHTS.

  48. >> DISCLAIMER.  We disclaim any and all warranties, express or implied,
  49.    including any implied warranties of merchantability or fitness for a
  50.    particular purpose.  You assume full responsibility for the selection
  51.    and use of the Software to achieve your intended results, and
  52.    acknowledge that if you use it improperly or against our instructions
  53.    you can cause damage to your files, software and data.
  54.    
  55. >> HIGH RISK ACTIVITIES.  The Software is not fault-tolerant and is not
  56.    designed, manufactured or intended for use as on-line control
  57.    equipment in hazardous environments requiring fail-safe performance,
  58.    such as in the operation of nuclear facilities, aircraft navigation
  59.    or communication systems, air traffic control, direct life support
  60.    machines, or weapons systems, in which the failure of the Software
  61.    could lead directly to death, personal injury, or severe physical or
  62.    environmental damage ("High Risk Activities").  JPS specifically
  63.    disclaims any express or implied warranty of fitness for High Risk
  64.    Activities for the Software or any portion thereof.

  66. >> LIMITATION OF LIABILITY.  In no event shall we be liable for any
  67.    incidental, consequential, or punitive damages whatsoever arising out
  68.    of use of the Software or your relationship with us.  Some
  69.    jurisdictions do not allow exclusion or limitation of liability for
  70.    incidental or consequential damages, therefore the above limitation
  71.    may not apply to you.
