  6. DAPTOOLS
  7.  
  8. DAPTOOLS is an on-line database accessible through CompuSERVE, which IBM
  9. is making available to members of the IBM OS/2 Developers Assistance
  10. Program (DAP).  DAPTOOLS is intended to supplement the OS/2 Toolkit to
  11. facilitate the development of application programs for use with IBM OS/2.
  12. DAPTOOLS includes the following categories of materials (DAPTOOLS Materials)
  13. which you may electronically download to your workstation and use as
  14. described in this agreement.  DAPTOOLS Materials are files identified with the
  15. descriptive legend "DAPTOOLS LIBRARY Restricted Software."  These specific
  16. materials are listed in the DAPTOOLS file section of CompuSERVE.
  17.  
  18.     Development Tools.  These are IBM development-level programs and
  19. associated documentation which may be useful in developing application
  20. programs for IBM OS/2.  IBM has not tested, debugged or documented these
  21. programs to the same extent as programs which IBM makes generally
  22. available.  IBM cannot assure that the Development Tools are complete or
  23. useable enough to be suitable for your intended use.

  25.     Demo Programs.  These are sample versions of non-IBM application
  26. development programs that are commercially marketed by other companies for
  27. use with IBM OS/2.  The vendors of the Demo Programs have agreed to make
  28. the Demo Programs available for your evaluation through DAPTOOLS.  IBM does
  29. not endorse or guarantee these products.  You should contact the vendor
  30. directly for information about the products and their availability and
  31. pricing.
  32.  
  33.     Sample Source Programs.  These are machine readable sample programs in
  34. source languages illustrating programming techniques for developing OS/2
  35. application programs.  IBM has not tested, debugged or documented these
  36. programs to the same extent as programs which IBM makes generally
  37. available.  IBM cannot assure that the Development Tools are complete or
  38. useable enough to be suitable for your intended use.

  41. Access to DAPTOOLS and use of DAPTOOLS Materials
  42.  
  43. You are authorized to use DAPTOOLS only as described herein.  This
  44. Agreement defines the terms and conditions which you may access the
  45. DAPTOOLS library.  Each program has a specific license which governs the
  46. use of the program, which must be accepted prior to downloading the
  47. program.  You agree to comply with the instructions provided by IBM for
  48. access to DAPTOOLS, and you will ensure that any of your company's
  49. employees who access DAPTOOLS or DAPTOOLS Materials will also comply.

  51. You are responsible for providing the appropriate workstation hardware,
  52. operating system, other software, modem, and telephone line needed to
  53. access DAPTOOLS on CompuSERVE.  You also are responsible for paying any
  54. telephone charges and host connect charges necessary to connect and
  55. communicate with CompuSERVE node.
  56.  
  57. IBM may provide limited technical support if you have questions about the
  58. DAPTOOLS Materials.  You remain responsible for the design of your
  59. application programs and your results in developing and/or marketing them.
  60.  
  61. You will use the Development Tools and Sample Source Programs solely for
  62. the purpose of developing, testing or assessing the feasibility of
  63. developing application program(s) using the protect mode of IBM OS/2.  You
  64. will use the Demo Programs solely for the purpose of evaluation and
  65. demonstration within your company.
  66.  
  67. IBM retains ownership of the DAPTOOLS Materials, including any copies.  You
  68. obtain no rights other that those granted in this Agreement.
  69.  
  70. For use within your company as authorized by this agreement, you may (a)
  71. make a reasonable number of copies of the development tools and Demo
  72. Programs, and (b) merge them with other programs or modify them.  Each copy
  73. must contain the copyright notice in the original.  You may not reverse
  74. assemble or reverse compile their program code.  You may not lend,
  75. transfer, sublicense, pledge or assign the Development Tools or Demo
  76. Programs or any copies.  Any attempt to do so is void.
  77.  
  78. You may copy and distribute the Sample Source Programs in any form without
  79. payment to IBM, for the purposes of developing, using, marketing and
  80. distributing application programs written to the OS/2 application program
  81. interface.  Each copy of any portion of the Sample Source Programs or any
  82. derivative work, which is distributed outside your company, must include a
  83. copyright notice as follows: "(c) Copyright (your company name) (year).

  87. Term

  89. Either you or IBM may terminate this Agreement at any time upon 20 days'
  90. prior written notice.  IBM may immediately terminate this Agreement or deny
  91. access to DAPTOOLS if IBM believes that you are violating the terms of this
  92. Agreement or if you cease being a member of the DAP or a licensee of the
  93. IBM OS/2 Toolkit.
  94.  
  95. Your authorization to access DAPTOOLS, and your license to use any
  96. downloaded copies of the Development Tools and Demo Programs, will end upon
  97. expiration or termination of this Agreement.  Your license to the
  98. downloaded Sample Source Programs will survive unless IBM terminates this
  99. Agreement due to a violation of the terms.  You agree to return or destroy
  100. the DAPTOOLS Materials when your license ends.

  103. Disclaimers

  105. DAPTOOLS, THE DAPTOOLS MATERIALS, AND ANY RELATED IBM TECHNICAL SUPPORT ARE
  106. PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES.

  108. IN NO EVENT WILL IBM BE LIABLE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED
  109. TO ANY LOST PROFITS, LOST SAVINGS OR ANY INCIDENTAL OR CONSEQUENTIAL
  110. DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY
  111. CLAIM BY YOU BASED ON A THIRD PARTY CLAIM.

  113. IBM does not want to receive and you agree not to disclosed to IBM any
  114. information that is confidential or proprietary to you or others.  IBM is
  115. free to use and disclose any information you provide, notwithstanding any
  116. legends to the contrary.

  119. General
  120.  
  121. This Agreement does not authorize you to use the names or trademarks of IBM
  122. or any other company for any publicity or marketing activities.
  123.  
  124. Neither you nor IBM has any obligation to purchase anything under this
  125. Agreement.  No agency, partnership, joint venture or other joint
  126. relationship is created by this Agreement.  IBM may enter into the same or
  127. similar agreements with others.
  128.  
  129. In the case of any conflict between the terms of this Agreement or any
  130. other amendment to it, the terms of this Agreement shall prevail.  All
  131. other terms of the Agreement or any other Amendment to it shall remain in
  132. effect.  Any change or addition to this Agreement must be in writing signed
  133. by you and IBM.

  135. The laws of the State of New York govern this Agreement.
  136.  
  137. You acknowledge that they have read this Agreement and understand it and
  138. agree to be bound by  its terms and conditions.  Further, you agree that
  139. this Agreement is the complete and exclusive statement of the agreement
  140. between you and IBM relating to this subject.  This statement of agreement
  141. supersedes all proposals or prior agreements, oral or written, and all
  142. other communications between the parties relating to this subject.

  144. By downloading DAPTOOLS Materials, indentified as "DAPTOOLS LIBRARY
  145. Restricted Software," you hereby agree to the above terms and conditions.
