  2. INTERNATIONAL LICENSE AGREEMENT

  4. This is a legal agreement between you, the end user, and Silis Sarl, ("Silis").
  5. The Interscript (the "Software") is licensed by Silis for use only on the terms
  6. and conditions set forth in this document. Please read this
  7. license agreement carefully. If you download the Software you
  8. are indicating to Silis that you accept and agree to be bound by
  9. the terms set forth in this document. If you do not agree to the
  10. terms and conditions set forth in this document, you agree that
  11. you will not download the Software and we thank you for your
  12. interest.

  14. 1. Grant of License The Software is not public domain software
  15. nor is it free software. The use of the Software, except for an
  16. initial 90-day trial period, requires registration. Non-licensed
  17. users are granted a limited license to use the Software on a 90-day
  18. trial basis for the purpose of determining whether the
  19. Software is appropriate for their needs. After this period, you
  20. must either register the Software or remove it from your
  21. computer system. The use of unlicensed copies of the Software
  22. outside of the initial 90-day trial period by any person, firm,
  23. business, corporation, government agency or other entity is
  24. strictly prohibited.

  26. A single user license grants you the right to use one copy of
  27. the Software on a single terminal connected to a single computer
  28. (ie. CPU). A licensed user may use the Software on different
  29. computers, but will not use the Software on more than one
  30. computer at the same time.

  32. 2. Grant of Network License. A site license permits a company
  33. with multiple users to use several copies of the Software on
  34. stand-alone computers, or to use a single copy over a network.
  35. A computer network is any combination of two or more terminals
  36. that are electronically linked and capable of sharing the use of
  37. a single software program. A licensed computer network is a
  38. computer network for which you have acquired and dedicated at
  39. least one version of the Software (which can run alone or as a
  40. network server). If you wish to arrange for a site license,
  41. please contact Silis for more details.

  43. 3. Copyright. The Software is owned by Silis and is protected
  44. by copyright laws. All rights are reserved. You may either (a)
  45. make two copies of the Software solely for backup or archival
  46. purposes provided that you reproduce all copyright and other
  47. proprietary notices that are on the original copy of the
  48. Software provided to you, or (b) transfer the Software to a
  49. single hard disk provided you keep the original solely for
  50. backup or archival purposes. You may not copy the written
  51. materials accompanying the Software.

  53. 4. Other Restrictions. You may not rent or lease the Software.
  54. You may not reverse engineer, decompile, disassemble, or create
  55. derivative works from the Software.

  57. 5. Termination. A breach of any term or condition in this
  58. Agreement by a licensed user will entitle Silis to terminate the
  59. license granted hereby. Upon notice of termination from Silis,
  60. you agree that you will immediately cease the use of the
  61. Software, remove it from your computer system and destroy any
  62. Software disks or manuals acquired from Silis.

  64. 7. General. This Agreement will be governed by the laws of
  65. Luxembourg. Any dispute in relation to this Agreement will be
  66. determined by the court of Luxembourg and every licensed
  67. user expressly attorns to the exclusive jurisdiction of the
  68. courts of Luxembourg. Should you have any questions concerning this
  69. Agreement or if you desire to contact Silis for any

  74. SOFTWARE LIMITED WARRANTY
  75.  
  76. Silis does not warrant that the Software will meet your
  77. requirements, that operation of the Software will be
  78. uninterrupted or error-free, or that all Software errors will be
  79. corrected. Silis is not responsible for problems caused by
  80. changes in the operating characteristics of computer hardware or
  81. computer operating systems which are made after the release of
  82. the Software nor for problems in the interaction of the Software
  83. with other software. Silis will have no responsibility to
  84. replace or refund the license fee of media damaged by accident,
  85. abuse or misapplication.

  87. THE ABOVE WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER
  88. WARRANTIES, WHETHER EXPRESSED OR IMPLIED, INCLUDING THE IMPLIED
  89. WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE
  90. AND NON-INFRINGEMENT. NO ORAL OR WRITTEN INFORMATION OR ADVICE
  91. GIVEN BY SILIS, ITS EMPLOYEES, DISTRIBUTORS, DEALERS OR AGENTS
  92. WILL INCREASE THE SCOPE OF THE ABOVE WARRANTIES OR CREATE ANY
  93. NEW WARRANTIES. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU ASSUME
  94. THE RISK OF PAYING THE ENTIRE COST OF ALL NECESSARY SERVICING,
  95. REPAIR OR CORRECTION AND ANY INCIDENTAL OR CONSEQUENTIAL
  96. DAMAGES. IN NO EVENT WILL SILIS BE LIABLE FOR ANY DAMAGES
  97. WHATSOEVER (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF
  98. BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS
  99. INFORMATION AND THE LIKE) ARISING OUT OF THE USE OR THE
  100. INABILITY TO USE THIS PRODUCT EVEN IF SILIS HAS BEEN ADVISED OF
  101. THE POSSIBILITY OF SUCH DAMAGE.

  103. If any provision of this Agreement, including the breadth or
  104. scope of such provision will be held by any court of competent
  105. jurisdiction to be invalid or unenforceable, in whole or in
  106. part, such invalidity or unenforceability will not affect the
  107. validity or enforceability of the remaining provisions of this
  108. Agreement and such remaining provisions will remain enforceable
  109. and binding. Such invalid or unenforceable parts will be replaced by
  110. corresponding parts or regulations of license agreement
  111. available from Silis.

  114. LIMITATION OF REMEDIES
  115.  
  116. REGARDLESS OF WHETHER ANY REMEDY SET FORTH IN THIS AGREEMENT
  117. FAILS OF ITS ESSENTIAL PURPOSE, IN NO EVENT WILL SILIS OR ANY OF
  118. ITS EMPLOYEES, DISTRIBUTORS, DEALERS OR AGENTS BE LIABLE TO YOU
  119. FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT OR SIMILAR DAMAGES,
  120. INCLUDING ANY LOST PROFITS OR LOST DATA ARISING OUT OF THE USE
  121. OR INABILITY TO USE THE SOFTWARE OR ANY DATA SUPPLIED THEREWITH
  122. EVEN IF SILIS OR ANYONE ELSE HAS BEEN ADVISED OF THE POSSIBILITY
  123. OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

  125. SOME STATES AND PROVINCES DO NOT ALLOW THE LIMITATION OR
  126. EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES
  127. SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN NO
  128. CASE WILL SILIS'S LIABILITY EXCEED THE PURCHASE PRICE FOR THE
  129. SOFTWARE.
