  1. BUSLOGIC LICENSE AGREEMENT
  2.  
  3. BUSLOGIC INC.  LICENSE AGREEMENT.  Please read the terms of this Agreement 
  4. carefully before using this software.  Use of this BusLogic Inc.  
  5. ("BusLogic") proprietary Software, indicates your acceptance of the 
  6. following terms.  BusLogic is willing to license the enclosed Software only 
  7. upon the condition that you accept all of the terms contained in this 
  8. Agreement.  If you do not agree to these terms, then BusLogic is unwilling 
  9. to license the Software to you in which event you should return the 
  10. Software to th e place from which it was acquired.  
  11.  
  12. LICENSE.  BusLogic grants you the right to use the Software on any single 
  13. compatible computer.  You may make one copy of the software for 
  14. archival/back-up purposes.  The copy must include the copyright notice, 
  15. proprietary data or other legend/logo as cont ained in the original 
  16. Software.  
  17.  
  18. RESTRICTIONS.  You may not use, copy, modify, or transfer the Software, or 
  19. any copy, in whole or in part, except as expressly provided for in this 
  20. Agreement.  You may not decompile, disassemble or reverse engineer the 
  21. Software.  Any attempt to transfer any of the rights, duties, or 
  22. obligations hereunder except as expressly provided for in this Agreement is 
  23. void.  You may not rent, lease, loan, resell for profit, sublicense, 
  24. distribute, electronically transmit or network the Software.  You agree to 
  25. comply w ith U.S.  export regulations, if applicable.  
  26.  
  27. LIMITED WARRANTY/LIMITATION OF REMEDIES.  BusLogic does not warrant that 
  28. the Software will meet your requirements, that operation of the Software 
  29. will be uninterrupted or error-free, or that all errors will be corrected.  
  30.  
  31. SUCH WARRANTIES ARE IN LIEU OF OTHER WARRANTIES, EXPRESS OR IMPLIED, 
  32. INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY 
  33. AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE SOFTWARE, AND THE 
  34. ACCOMPANYING WRITTEN MATERIALS.  NO ORAL OR WRITTEN INFORMATION OR ADVICE 
  35. GIVEN BY BUSLOGIC, ITS EMPLOYEES, DISTRIBUTORS, DEALERS OR AGENTS SHALL 
  36. INCREASE THE SCOPE OF THE ABOVE WARRANTIES OR CREATE ANY NEW WARRANTIES.  
  37. IN NO EVENT WILL BUSLOGIC BE LIABLE TO YOU, REGARDLESS OF WHETHER ANY 
  38. REMEDIES SET FORTH HEREIN FAIL OF THEIR ESSENTIAL PURPOSE, FOR DAMAGES 
  39. INCLUDING ANY LOST PROFITS, LOSS OF DATA OR OTHER INCIDENTAL OR 
  40. CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, THE 
  41. SOFTWARE, EVEN IF BUSLOGIC OR AN AUTHORIZED BUSLOGIC REPRESENTATIVE HAS 
  42. BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  44. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE 
  45. EXCLUSION MAY NOT APPLY TO YOU.  IN THAT EVENT, ANY IMPLIED WARRANTIES ARE 
  46. LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF DELIVERY OF THE 
  47. SOFTWARE.  THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.  YOU MAY HAVE 
  48. OTHER RIGHTS, WHICH VARY FROM STATE TO STATE.  SOME STATES DO NOT ALLOW THE 
  49. LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL 
  50. DAMAGES SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

  52. TERM.  This Agreement will immediately and automatically terminate without 
  53. notice if you fail to comply with any term or condition of this Agreement.  
  54. You agree upon termination to promptly destroy the Software together with 
  55. all copies and merged portions of the Software in any form.  
  56.  
  57. GENERAL.  This Agreement is governed by the laws of the State of 
  58. California, except for that body of law dealing with conflicts of law.  
  59. This Agreement constitutes the complete understanding and agreement of the 
  60. parties regarding the subject matter herein and supersedes all prior 
  61. understandings and agreements.  If any provision of this Agreement is held 
  62. to be unlawful, void, or for any reason unenforceable, that provision will 
  63. be enforced to the fullest extent possible and the remaining provisions 
  64. will re main in full force.  
  65.  
  66. U.S.  GOVERNMENT RESTRICTED RIGHTS.  The Software and accompanying 
  67. materials are provided with Restricted Rights.  Use, duplication or 
  68. disclosure by the Government is subject to restrictions as set forth in 
  69. subparagraph (c) (l) (ii) of the Rights in Technic al Data and Computer 
  70. Software clause at DFARS 252.227-7013.  Contractor/manufacturer is BusLogic
