  1. PLEASE NOTE THAT BY OPENING AND INSTALLING THIS PRODUCT, YOU 
  2. AGREE TO ABIDE BY THESE TERMS AND CONDITIONS.  
  3. IF YOU DO NOT ACCEPT THE AGREEMENT, DO NOT INSTALL IT AND 
  4. RETURN THE PRODUCT TO YOUR SUPPLIER WITHIN 10 DAYS OF 
  5. PURCHASE DATE COMPLETE WITH YOUR PURCHASE RECEIPT. 
  6. THE PURCHASE PRICE WILL THEN BE REFUNDED.

  8. GENERAL
  9. This licence agreement (hereinafter "Agreement") applies to 
  10. the purchase and use of the software called Rucksack, 
  11. hereinafter called the "Software".
  12.  
  13. DEFINITIONS
  14. In this Agreement the following terms shall have the following 
  15. meanings:
  16. "Telesoft" means Telesoft GmbH, the owner of software, 
  17. copyright, patents and other intellectual property rights of 
  18. the component parts comprising the Software;
  19.  
  20. GRANT OF LICENCE
  21. Telesoft permits you to use one copy of the Software on a 
  22. single computer, on its temporary relacement, or on a subsequent 
  23. computer. You may make one copy of the Software for backup 
  24. purposes.  You do not acquire ownership of the Software but 
  25. acquire the non-exclusive right to use the Software. You are 
  26. not entitled to reverse engineer, decompile, disassemble, 
  27. modify or duplicate the Software wholly or in part or use 
  28. other than expressly set out in this Agreement. You may not 
  29. rent or lease the Software.  You may transfer your rights 
  30. under this Agreement on a permanent basis to a third party 
  31. provided you transfer this Agreement, the Software and all 
  32. accompanying printed materials, retain no copies, and the 
  33. recipient agrees to the conditions of this Agreement.

  35. DURATION.
  36. This Agreement is valid until terminated. Your right to use 
  37. the Software will automatically cease without cancellation 
  38. if you break the conditions of this Agreement.  You may 
  39. terminate it at any time by returning the Software complete 
  40. with all original material and copies to Telesoft, or by 
  41. destroying the above and informing Telesoft in writing of 
  42. the termination of the contract.  Termination, whether 
  43. undertaken by Telesoft or by you, does not warrant the legal 
  44. claim to reimbursement of the rendered licence charges or a 
  45. part thereof.

  47. COPYRIGHT.
  48. The Software and the written material which accompanies it or 
  49. included within it is protected by copyright.  Reproduction 
  50. of such written material is not permitted without the express 
  51. written consent of Telesoft.  Title and all ownership rights 
  52. to the Software which is protected by copyrights, patents and 
  53. other intellectual rights of ownership remain with Telesoft.

  55. RIGHT OF MODIFICATION.
  56. Telesoft reserves the right to modify or enhance the Software 
  57. if this becomes necessary for reasons of availability, 
  58. serviceability, performance or due to legislation or 
  59. governmental regulations.

  61. DAMAGE CLAIMS.
  62. You agree to ensure that any third party to whom you give 
  63. instructions to and who has access to the Software will act 
  64. with due care and diligence as stated in this Agreement, and 
  65. that you will hold Telesoft or its agents or distributors 
  66. harmless of the actions of any such third party.  If you 
  67. become aware that the Software is used in such a way that 
  68. breaks the conditions of this Agreement, you agree to take 
  69. every action necessary to stop its improper use, and will 
  70. notify Telesoft in writing of its improper use.
  71.  
  72. LIMITED WARRANTY.
  73. Telesoft does not warrant that the Software will meet your 
  74. specific requirements, or that operation will be defect or 
  75. error free.  Telesoft will not be liable for any damages 
  76. whatsoever arising from the use of the Software, and you 
  77. expressly acknowledge that the use of the Software is at 
  78. your own risk.  Telesoft makes no claims, either expressed or 
  79. implied, as to the fitness of the Software for any particular 
  80. purpose.  Any statements made concerning the utility of the 
  81. Software are not to be construed as expressed or implied 
  82. warranties.  The warranty period is 90 days from the date of 
  83. delivery. During this period Telesoft warrants that with 
  84. conventional use the Software is free from material or 
  85. processing errors, and defective Software will be replaced 
  86. free of charge provided that the original Software disc is 
  87. returned to your supplier complete with a copy of the 
  88. purchase receipt or proof of purchase. This warranty is void 
  89. if failure of the Software has resulted from accident, abuse 
  90. or misapplication.  Any further damage claims are explicitly 
  91. excluded.

  93. LIABILITY.
  94. To the maximum extent permitted by law, in no event shall 
  95. Telesoft be liable for any damages whatsoever 
  96. (including without limitation direct or indirect damages for 
  97. personal injury, loss of business profits, business 
  98. interruption, loss of business information, or any other 
  99. pecuniary loss) arising out of the use of or inability to 
  100. use the Software, even if Telesoft has been advised of the 
  101. possibility of such damages. In any event Telesoft's entire 
  102. liability under any provision of this Agreement shall be 
  103. limited to the licence fee paid by you for the Software.

  105. FORCE MAJEURE.
  106. Telesoft shall not be liable to you for any loss or damage 
  107. which may be suffered by you as a direct or indirect result 
  108. of the supply of the Software by Telesoft or its agent or 
  109. distributor, due to any cause beyond its reasonable control 
  110. whatsoever, including (without limitation) any act of God, 
  111. inclement weather, war, military operations, riot, strike, 
  112. lock-out, trade dispute or labour disturbance, accident, 
  113. breakdown of plant or machinery, failure or shortage of power 
  114. supplies, fire, explosion, refusal of any licence or permit 
  115. or any order, act or omission of Government, highways 
  116. authorities, public telecommunication operators or other 
  117. competent authority.

  119. INVALID CLAUSES.
  120. Should any clause of this Agreement be or become invalid, 
  121. this does not affect the validity of the remaining clauses. 
  122. In such a case, the invalid clause will be superseded by 
  123. another clause that is closest to the intended purpose of 
  124. the invalid clause.

  126. GOVERNING LAW.
  127. This agreement shall be governed by and construed and 
  128. interpreted in accordance with English law and you agree 
  129. to submit to the jurisdiction of the English courts.
