  1. SPRINT SOFTWARE END USER LICENSE AGREEMENT
  2.  
  3. BY CLICKING ON THE "ACCEPT" BUTTON
  4. YOU ARE CONSENTING TO BE BOUND BY THIS 
  5. AGREEMENT.  IF YOU DO NOT AGREE TO ALL OF THE TERMS OF 
  6. THIS AGREEMENT, CLICK THE "DO NOT ACCEPT" BUTTON AND 
  7. THE INSTALLATION PROCESS WILL NOT CONTINUE OR RETURN THE 
  8. PRODUCT TO THE PLACE OF PURCHASE FOR A FULL REFUND.  
  9.  
  10. I. GRANT.
  11.  
  12. Subject to payment of applicable license fees, or other considerations, 
  13. Sprint grants to you for the term that you subscribe to 
  14. Sprint Internet Passport service, a non-exclusive license to 
  15. use the Software and accompanying documentation 
  16. ("Documentation") in the manner described in this Agreement.
  17. Redistribution or sublicensing of this product is not permitted. 
  18. This license does not grant you any right to any enhancement 
  19. or upgrade. 
  20.  
  21. II.  SCOPE OF GRANT.
  22.  
  23. You have a duty to use reasonable efforts to prevent unauthorized 
  24. use, copying, or disclosure of the Software by persons under your 
  25. legitimate control. 
  26.  
  27. You may:
  28.  
  29. (a) use the Software on any single computer;
  30. (b) use the Software on a network, provided that each
  31.     person accessing the Software through the network
  32.     must have a copy licensed to that person;
  33. (c) use the Software on a second computer so long as only
  34.     one copy is used at a time;
  35. (d) copy the Software for archival purposes, provided any copy
  36.     must contain all of the original Software's proprietary notices.
  37.  
  38. You may not:
  39.  
  40. (a) permit other individuals to use the Software;
  41. (b) permit concurrent use of the Software;
  42. (c) modify, translate, reverse engineer, decompile,
  43.     disassemble (except to the extent applicable laws 
  44.     specifically prohibit such restriction), or create 
  45.     derivative works based on the Software;
  46. (d) copy the Software other than as specified above;
  47. (e) rent, lease, grant a security interest in, or
  48.     otherwise transfer rights to the Software; or
  49. (f) remove any proprietary notices or labels on the
  50.     Software.
  51.  
  52. III.  LIMITED WARRANTY.
  53.  
  54. Sprint warrants that for a period of ninety (90) days 
  55. from the date of acquisition, the Software, if operated 
  56. as directed by Sprint, will substantially achieve the 
  57. functionality described in the Documentation.  Sprint
  58. does not warrant, however, that your use of the Software 
  59. will be uninterrupted or that the operation of the 
  60. Software will be error-free or secure and hereby disclaims 
  61. any and all liability on account thereof. In addition, the 
  62. security mechanisms implemented by Sprint Software
  63. have inherent limitations, and you must determine if 
  64. the Software sufficiently meets your requirements.  
  65. Sprint also warrants that the media containing the 
  66. Software, if provided by Sprint, is free from defects 
  67. in material and workmanship and will so remain for 
  68. ninety (90) days from the date you acquired the 
  69. Software.  Sprint's sole liability for any breach of 
  70. this warranty shall be, in Sprint's sole discretion: 
  71. (i) to replace your defective media; or (ii) to advise 
  72. you how to achieve substantially the same functionality 
  73. with the Software as described in the Documentation 
  74. through a procedure different from that set forth in the 
  75. Documentation; or (iii) if the above remedies are 
  76. impracticable, to refund the license fee you paid for 
  77. the Software.  Repaired, corrected, or replaced Software 
  78. and Documentation shall be covered by this limited 
  79. warranty for the period remaining under the warranty 
  80. that covered the original Software, or if longer, for 
  81. thirty (30) days after the date either: (a) of shipment to you 
  82. of the repaired or replaced Software, or (b) Sprint
  83. advised you how to operate the Software so as to achieve 
  84. the functionality described in the Documentation.  Only 
  85. if you inform Sprint of your problem with the Software 
  86. during the applicable warranty period and provide 
  87. evidence of the date you purchased a license to the 
  88. Software will Sprint be obligated to honor this 
  89. warranty. 
  90.  
  91. The Software is not fault-tolerant and is not designed, 
  92. manufactured, or intended for use or resale as on-line 
  93. control equipment in hazardous environments requiring 
  94. fail-safe performance, such as in the operation of 
  95. nuclear facilities, aircraft navigation or communications 
  96. systems, air traffic control, direct life support 
  97. machines, or weapons systems, in which the failure of 
  98. the Software could lead directly to death, personal 
  99. injury, or severe physical or environmental damage 
  100. ("High Risk Activities").  Sprint and its suppliers 
  101. specifically disclaim any express or implied warranty of 
  102. fitness for High Risk Activities.  
  103.   
  104. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY 
  105. MADE BY SPRINT.  SPRINT MAKES NO OTHER EXPRESS OR IMPLIED 
  106. WARRANTIES AND NO WARRANTY OF NONINFRINGEMENT OF THIRD 
  107. PARTIES' RIGHTS. FURTHER, SPRINT HEREBY DISCLAIMS ANY AND ALL 
  108. IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF 
  109. MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE. 
  110. NO SPRINT DEALER, AGENT, OR EMPLOYEE IS AUTHORIZED 
  111. TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS 
  112. TO THIS WARRANTY.  If any modifications are 
  113. made to the Software by you during the warranty period; 
  114. if the media is subjected to accident, abuse, or 
  115. improper use; or if you violate the terms of this 
  116. Agreement, then this warranty shall immediately be 
  117. terminated.  This warranty shall not apply if the 
  118. Software is used on or in conjunction with hardware or 
  119. software other than the unmodified version of hardware 
  120. and software with which the software was designed to be 
  121. used as described in the Documentation.  THIS WARRANTY 
  122. GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER 
  123. LEGAL RIGHTS THAT VARY BY JURISDICTION.  
  124.  
  125. IV.  TITLE.
  126.  
  127. Title, ownership rights, and intellectual property 
  128. rights in the Software shall remain in Sprint and/or 
  129. its suppliers.  The Software is protected by the 
  130. copyright laws and treaties.  Title and related rights 
  131. in the content accessed through the Software is the 
  132. property of the applicable content owner and may be 
  133. protected by applicable law.  This License gives you no 
  134. rights to such content.  
  135.  
  136. V. TERMINATION.
  137.  
  138. The license will terminate automatically if you fail to 
  139. comply with the limitations described herein, or if you 
  140. discontinue your subscription to Sprint Internet Passport service. 
  141. On termination, you must destroy all copies of the Software 
  142. and Documentation.  
  143.  
  144. VI.  EXPORT CONTROLS.
  145.  
  146. None of the Software or underlying information or 
  147. technology may be downloaded or otherwise exported or 
  148. re-exported (i) into (or a national or resident of) 
  149. Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria 
  150. or any other country to which the U.S. has embargoed 
  151. goods; or (ii) to anyone on the U.S. Treasury 
  152. Department's list of Specially Designated Nationals or 
  153. the U.S. Commerce Department's Table of Denial Orders.  
  154. By downloading or using the Software, you are agreeing 
  155. to the foregoing and you are representing and warranting 
  156. that you are not located in, under the control of, or a 
  157. national or resident of any such country or on any such 
  158. list.  
  159.  
  160. In addition, if the licensed Software is identified as a 
  161. not-for-export product (for example, on the box, media 
  162. or in the installation process), then the following 
  163. applies: EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA 
  164. BY CANADIAN CITIZENS, THE SOFTWARE AND ANY UNDERLYING 
  165. TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED STATES 
  166. OR TO ANY FOREIGN ENTITY OR "FOREIGN PERSON" AS 
  167. DEFINED BY U.S. GOVERNMENT REGULATIONS, INCLUDING 
  168. WITHOUT LIMITATION, ANYONE WHO IS NOT A CITIZEN, 
  169. NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED 
  170. STATES.  BY DOWNLOADING OR USING THE SOFTWARE, YOU ARE 
  171. AGREEING TO THE FOREGOING AND YOU ARE WARRANTING THAT 
  172. YOU ARE NOT A "FOREIGN PERSON" OR UNDER THE CONTROL OF 
  173. A FOREIGN PERSON.  
  174.  
  175. VII. LIMITATION OF LIABILITY.
  176.  
  177. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL 
  178. THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL SPRINT 
  179. OR ITS SUPPLIERS, AGENTS, OR RESELLERS BE LIABLE 
  180. TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, 
  181. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER 
  182. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF 
  183. GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR 
  184. MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR 
  185. LOSSES.  IN NO EVENT WILL SPRINT BE LIABLE FOR ANY 
  186. DAMAGES IN EXCESS OF THE AMOUNT SPRINT RECEIVED FROM 
  187. YOU FOR A LICENSE TO THE SOFTWARE, EVEN IF SPRINT 
  188. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH 
  189. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.  THIS 
  190. LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR 
  191. DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW 
  192. PROHIBITS SUCH LIMITATION.  FURTHERMORE, SOME 
  193. JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION 
  194. OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS 
  195. LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.  
  196.  
  197. VIII.  MISCELLANEOUS.
  198.  
  199. This Agreement represents the complete agreement 
  200. concerning this license and may be amended 
  201. only by a writing executed by both parties.  THE 
  202. ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS 
  203. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS 
  204. SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.  
  205. If any provision of this Agreement is held to be 
  206. unenforceable, such provision shall be reformed only to 
  207. the extent necessary to make it enforceable.  This 
  208. Agreement shall be governed by California law (except 
  209. for conflict of law provisions).  The application the 
  210. United Nations Convention of Contracts for the 
  211. International Sale of Goods is expressly excluded.  
  212.  
  213. IX. THIRD PARTY BENEFICIARIES.
  214.  
  215. Sprint's suppliers are third party beneficiaries under 
  216. this Agreement. There are no other third party beneficiaries. 
  217.  
  218. X. U.S. GOVERNMENT RESTRICTED RIGHTS.
  219.  
  220. Use, duplication or disclosure by the Government 
  221. is subject to restrictions set forth in subparagraphs 
  222. (a) through (d) of the Commercial Computer-Restricted 
  223. Rights clause at FAR 52.227-19 when applicable, or in 
  224. subparagraph (c)(1)(ii) of the Rights in Technical Data 
  225. and Computer Software clause at DFARS 252.227-7013, or 
  226. at 252.211-7015, or to Sprint's standard commercial 
  227. license, as applicable, and in similar clauses in the 
  228. NASA FAR Supplement.
