  9. This License Agreement has 3 parts.  Part I applies if you have not
  10. purchased a license to the software.  Part II applies if you have
  11. purchased a license to the software.  Part III applies to all license
  12. grants.  If you initially acquired a copy of the software without
  13. purchasing a license and you wish to purchase a license, contact
  14. Netscape Communications Corporation ("Netscape") on the Internet at
  15. http://www.netscape.com.

  17. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID
  18.  
  19. GRANT.  Netscape hereby grants you a non-exclusive license to use its
  20. accompanying software ("Software") free of charge if (a) you are a
  21. student, faculty member or staff member of an educational institution
  22. (K-12, junior college, college or library) or an employee of a
  23. charitable non-profit organization; or (b) your use of the Software
  24. is for the purpose of evaluating whether to purchase an ongoing license
  25. to the Software.  The evaluation period for use by or on behalf of a
  26. commercial entity is limited to 90 days; evaluation use by others is
  27. not subject to this restriction.  Government agencies (other than
  28. public libraries) are not considered educational or charitable
  29. non-profit organizations for purposes of this license agreement.  If
  30. you are using the Software free of charge, you are not entitled to
  31. hard-copy documentation, support or telephone assistance.  If you fit
  32. within the description above, you may use the Software in the manner
  33. described in Part III below under "Scope of Grant."
  34.  
  35. DISCLAIMER OF WARRANTY.  Free of charge Software is provided on an
  36. "AS IS" basis, without warranty of any kind, including without
  37. limitation the warranties of merchantability, fitness for a particular
  38. purpose and non-infringement.  The entire risk as to the quality and
  39. performance of the Software is borne by you.  Should the Software
  40. prove defective, you and not Netscape assume the entire cost of any
  41. service and repair.  In addition, the security mechanism implemented
  42. by the Software has inherent limitations, and you must determine that
  43. the Software sufficiently meets your requirements.  This disclaimer of
  44. warranty constitutes an essential part of the agreement.  SOME STATES
  45. DO NOT ALLOW EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER MAY
  46. NOT APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY FROM
  47. STATE TO STATE OR BY JURISDICTION.

  49. PART 2 -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  50.  
  51. GRANT.  Subject to payment of applicable license fees, Netscape hereby
  52. grants to you a non-exclusive license to use its accompanying software
  53. product ("Software") and documentation in the manner described in
  54. Part III below under "Scope of Grant," subject to the terms herein.
  55. If you purchased a license to version 1.1 of the Software within the
  56. last 90 days, you may download a copy of 1.2 as a free update.
  57.  
  58. LIMITED WARRANTY.  Netscape warrants that for a period of ninety (90)
  59. days from the date of acquisition, the Software, if operated as
  60. directed, will substantially achieve the functionality described in
  61. the accompanying documentation ("Documentation").  Netscape does not
  62. warrant, however, that your use of the Software will be uninterrupted
  63. or that the operation of the Software will be error-free or secure.
  64. In addition, the security mechanism implemented by the Software has
  65. inherent limitations, and you must determine that the Software
  66. sufficiently meets your requirements.  Netscape also warrants that
  67. the media containing the Software, if provided by Netscape, is free
  68. from defects in material and workmanship and will so remain for ninety
  69. (90) days from the date you acquired the Software.  Netscape's sole
  70. liability for any breach of this warranty shall be, in Netscape's sole
  71. discretion: (i) to replace your defective media; or (ii) to advise you
  72. how to achieve substantially the same functionality with the Software
  73. as described in the Documentation through a procedure different from
  74. that set forth in the Documentation; or (iii) if the above remedies
  75. are impracticable, to refund the license fee you paid for the Software.
  76. Repaired, corrected, or replaced Software and Documentation shall be
  77. covered by this limited warranty for the period remaining under the
  78. warranty that covered the original Software, or if longer, for thirty
  79. (30) days after the date (a) of shipment to you of the repaired or
  80. replaced Software, or (b) Netscape advised you how to operate the
  81. Software so as to achieve the functionality described in the
  82. Documentation.  Only if you inform Netscape of your problem with the
  83. Software during the applicable warranty period and provide evidence
  84. of the date you purchased a license to the Software will Netscape be
  85. obligated to honor this warranty.  Netscape will use reasonable
  86. commercial efforts to repair, replace, advise or refund pursuant to
  87. the foregoing warranty within 30 days of being so notified.

  89. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY MADE BY
  90. NETSCAPE.  NETSCAPE MAKES NO OTHER EXPRESS WARRANTY AND NO WARRANTY
  91. OF NONINFRINGEMENT OF THIRD PARTIES' RIGHTS.  THE DURATION OF IMPLIED
  92. WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY
  93. AND OF FITNESS FOR A PARTICULAR PURPOSE, IS LIMITED TO THE ABOVE
  94. LIMITED WARRANTY PERIOD; SOME STATES DO NOT ALLOW LIMITATIONS ON HOW
  95. LONG AN IMPLIED WARRANTY LASTS, SO LIMITATIONS MAY NOT APPLY TO YOU.
  96. NO NETSCAPE DEALER, AGENT, OR EMPLOYEE IS AUTHORIZED TO MAKE ANY
  97. MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS WARRANTY.  If any
  98. modifications are made to the Software by you during the warranty
  99. period; if the media is subjected to accident, abuse, or improper use;
  100. or if you violate the terms of this Agreement, then this warranty shall
  101. immediately be terminated.  This warranty shall not apply if the
  102. Software is used on or in conjunction with hardware or Software other
  103. than the unmodified version of hardware and Software with which the
  104. Software was designed to be used as described in the Documentation.

  106. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER
  107. LEGAL RIGHTS THAT VARY FROM STATE TO STATE OR BY JURISDICTION.

  109. PART III   TERMS APPLICABLE TO ALL LICENSE GRANTS
  110.  
  111. SCOPE OF GRANT.  You may:  use the Software on any single computer;
  112. use the Software on a network, provided that each person accessing the
  113. Software through the network must have a licensed copy; use the
  114. Software on a second computer so long as only one copy is
  115. simultaneously; or copy the Software for archival purposes, provided
  116. any copy must contain all of the original Software's proprietary
  117. notices.

  119. You may not:  permit other individuals to use the Software except under
  120. the terms listed above; modify, translate, reverse engineer, decompile,
  121. disassemble (except to the extent applicable laws specifically prohibit
  122. such restriction), or create derivative works based on the Software;
  123. copy the Software (except as specified above); rent, lease, transfer or
  124. otherwise transfer rights to the Software; or remove any proprietary
  125. notices or labels on the Software.
  126.  
  127. TITLE.  Title, ownership rights, and intellectual property rights in
  128. the Software shall remain in Netscape and/or its suppliers.  The
  129. Software is protected by the copyright laws and treaties.  Title and
  130. related rights in the content accessed through the Software is the
  131. property of the applicable content owner and may be protected by
  132. applicable law.  This License gives you no rights to such content.
  133.  
  134. TERMINATION.  The license will terminate automatically if you fail to
  135. comply with the limitations described herein.  On termination, you must
  136. destroy all copies of the Software and Documentation.
  137.  
  138. EXPORT CONTROLS.  None of the Software or underlying information or
  139. technology may be downloaded or otherwise exported or reexported
  140. (i) into (or to a national or resident of) Cuba, Iraq, Libya,
  141. Yugoslavia, North Korea, Iran, Syria or any other country to which
  142. the U.S.  has embargoed goods; or (ii) to anyone on the U.S.  Treasury
  143. Department's list of Specially Designated Nationals or the U.S.
  144. Commerce Department's Table of Deny Orders.  By downloading or using
  145. the Software, you are agreeing to the foregoing and you are
  146. representing and warranting that you are not located in, under the
  147. control of, or a national or resident of any such country or on any
  148. such list.

  150. In addition, if the licensed Software is identified as a not-for-export
  151. product (for example, on the box, media or in the installation process)
  152. , then the following applies: EXCEPT FOR EXPORT TO CANADA FOR USE IN
  153. CANADA BY CANADIAN CITIZENS, THE SOFTWARE AND ANY UNDERLYING TECHNOLOGY
  154. MAY NOT BE EXPORTED OUTSIDE THE UNITED STATES OR TO ANY FOREIGN ENTITY
  155. OR "FOREIGN PERSON" AS DEFINED BY U.S.  GOVERNMENT REGULATIONS,
  156. INCLUDING WITHOUT LIMITATION, ANYONE WHO IS NOT A CITIZEN, NATIONAL OR
  157. LAWFUL PERMANENT RESIDENT OF THE UNITED STATES.  BY DOWNLOADING OR
  158. USING THE SOFTWARE, YOU ARE AGREEING TO THE FOREGOING AND YOU ARE
  159. WARRANTING THAT YOU ARE NOT A "FOREIGN PERSON" OR UNDER THE CONTROL OF
  160. A FOREIGN PERSON.
  161.  
  162. LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL
  163. THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL NETSCAPE OR ITS SUPPLIERS
  164. OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT,
  165. SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER
  166. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK
  167. STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
  168. COMMERCIAL DAMAGES OR LOSSES.  IN NO EVENT WILL NETSCAPE BE LIABLE FOR
  169. ANY DAMAGES IN EXCESS OF NETSCAPE'S LIST PRICE FOR A LICENSE TO THE
  170. SOFTWARE, EVEN IF NETSCAPE SHALL HAVE BEEN INFORMED OF THE POSSIBILITY
  171. OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.  THIS LIMITATION
  172. OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY
  173. TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION.  FURTHERMORE,
  174. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR
  175. CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY
  176. TO YOU.
  177.  
  178. MISCELLANEOUS.  This Agreement represents the complete agreement
  179. concerning this license and may amended only by a writing executed by
  180. both parties.  THE ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS
  181. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS SET FORTH
  182. HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.  If any provision of this
  183. Agreement is held to be unenforceable, such provision shall be reformed
  184. only to the extent necessary to make it enforceable.  This Agreement
  185. shall be governed by California law (except for conflict of law
  186. provisions).  The application the United Nations Convention of
  187. Contracts for the International Sale of Goods is expressly excluded.
  188. U.S.  Government Restricted Rights.  Use, duplication or disclosure by
  189. the Government is subject to restrictions set forth in subparagraphs
  190. (a) through (d) of the Commercial Computer-Restricted Rights clause at
  191. FAR 52.227-19 when applicable, or in subparagraph (c)(1)(ii) of the
  192. Rights in Technical Data and Computer Software clause at
  193. DFARS 252.227-7013, and in similar clauses in the NASA FAR Supplement.
