  2.                     License Agreement
  3.  
  4.                     NOTICE TO USER:
  5.                     THIS IS A CONTRACT. BY ACCESSING THE VIRTUAL HOME SPACE
  6.                     BUILDER (RESTRICTED FUNCTIONALITY/EVALUATION VERSION),
  7.                     YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS
  8.                     AGREEMENT. THIS IS AN EVALUATION VERSION OF THE VIRTUAL
  9.                     HOME SPACE BUILDER (TM) AND HAS LIMITED FUNCTIONALITY
  10.                     AND CAPABILITY. 
  11.                     GRANT. ParaGraph International, Inc., with its principal place of business at
  12.                     1688 Dell Avenue, Campbell, California 95008 ("ParaGraph") hereby grants
  13.                     to you a non-exclusive license to use the Virtual Home Space Builder
  14.                     (Evaluation version) (the "Software") and accompanying documentation
  15.                     ("Documentation") on the following terms: 
  16.                     You may:
  17.                     (i) use the Software on any single computer for evaluation purposes only; 
  18.                     (ii) use the Software on a second computer so long as the first and second
  19.                     computers are not used simultaneously; and 
  20.                     (iii) make a copy of the Software for archival purposes, provided any copy
  21.                     contains all of the original Software's proprietary notices. The Software is in
  22.                     "use" when it is loaded into RAM, installed on a hard disk, or installed on
  23.                     another storage device. 
  24.                     You may not:
  25.                     (i) modify, translate, reverse engineer, decompile, disassemble, create
  26.                     derivative works based on the Software, or any portion thereof, or
  27.                     Documentation; or attempt to increase the functionality of the Software in
  28.                     any manner;
  29.                     (ii) copy the Software (except for back-up purposes) or Documentation; 
  30.                     (iii) rent, lease, or otherwise transfer rights to the Software or
  31.                     Documentation; or 
  32.                     (iv) remove any proprietary notices or labels on or in the Software or
  33.                     Documentation. 
  34.                     SOFTWARE If you receive your first copy of the Software electronically,
  35.                     and a second copy on media, the second copy may be used for archival
  36.                     purposes only. This license does not grant you any right to any
  37.                     enhancement or update. 
  38.                     TITLE. Title, ownership rights, and intellectual property rights in and to the
  39.                     Software and Documentation shall remain in ParaGraph and/or its suppliers.
  40.                     The Software is protected by the copyright laws of the United States and
  41.                     international copyright treaties. Title, ownership rights, and intellectual
  42.                     property rights in and to the content accessed through the Software is the
  43.                     property of the applicable content owner and may be protected by
  44.                     applicable copyright or other law. This License gives you no rights to such
  45.                     content. 
  46.                     LIMITED WARRANTY. You acknowledge and agree that the Software is
  47.                     an evaluation version and as such
  48.                     (i) the Software has limited functionality and is not expected to function
  49.                     fully upon installation and 
  50.                     (ii) that use of the Software may result in unexpected results, loss of data,
  51.                     project delays or other unpredictable damage or loss. 
  52.                     THE SOFTWARE IS PROVIDED "AS-IS" AND PARAGRAPH DISCLAIMS
  53.                     ALL EXPRESS WARRANTIES, CONDITIONS, OR REPRESENTATIONS
  54.                     AND ALL IMPLIED WARRANTIES, CONDITIONS, AND
  55.                     REPRESENTATIONS, INCLUDING BUT NOT LIMITED TO THE IMPLIED
  56.                     WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS
  57.                     FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT OF THIRD
  58.                     PARTY RIGHTS. AS SOME STATES OR JURISDICTIONS DO NOT
  59.                     ALLOW THE LIMITATION OR EXCLUSION OF IMPLIED WARRANTIES
  60.                     OR CONDITIONS, THIS EXCLUSION MAY NOT APPLY TO YOU. NO
  61.                     PARAGRAPH DEALER, AGENT, OR EMPLOYEE, OR ANY OTHER
  62.                     PARTY IS AUTHORIZED TO MAKE WARRANTIES OR CONDITIONS
  63.                     ON PARAGRAPH'S BEHALF. 
  64.                     YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE
  65.                     TO STATE OR BY JURISDICTION. 
  66.                     LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND
  67.                     UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE,
  68.                     SHALL PARAGRAPH OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO
  69.                     YOU OR ANY OTHER PERSON FOR ANY DAMAGES, INCLUDING
  70.                     WITHOUT LIMITATION INDIRECT, SPECIAL, INCIDENTAL, OR
  71.                     CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING,
  72.                     WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK
  73.                     STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND
  74.                     ALL OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF
  75.                     PARAGRAPH SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF
  76.                     SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. THIS
  77.                     LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR
  78.                     DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW
  79.                     PROHIBITS SUCH LIMITATION. FURTHERMORE, SOME STATES DO
  80.                     NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR
  81.                     CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION
  82.                     MAY NOT APPLY TO YOU. PARAGRAPH SHALL NOT BE LIABLE FOR
  83.                     ANY DAMAGES UNDER THIS AGREEMENT. 
  84.                     TERM AND TERMINATION. This Agreement will terminate automatically if
  85.                     you fail to comply with the limitations described above. On termination, you
  86.                     must
  87.                     (i) discontinue your use of the Software and 
  88.                     (ii) permanently erase or destroy all copies of the Software and
  89.                     Documentation. 
  90.                     EXPORT CONTROLS. None of the Software, portions thereof, or
  91.                     underlying information or technology may be downloaded or otherwise
  92.                     exported or reexported 
  93.                     (i) into (or to a national or resident of) Cuba, Iraq, Libya, Yugoslavia, North
  94.                     Korea, Iran, Syria or any other country to which the U.S. has embargoed
  95.                     goods or for which export is otherwise restricted or prohibited; or 
  96.                     (ii) to anyone on the U.S. Treasury Department's list of Specially
  97.                     Designated Nationals or the U.S. Commerce Department's Table of Deny
  98.                     Orders. By downloading or using the Software, or any portion thereof, you
  99.                     are agreeing to the foregoing and you are representing and warranting that
  100.                     you are not located in, under the control of, or a national or resident of any
  101.                     such country or on any such list. 
  102.                     MISCELLANEOUS. This Agreement represents the complete agreement
  103.                     concerning this license between the parties and supersedes all prior
  104.                     agreements and representations between them. It may be amended only by
  105.                     a writing executed by both parties. THE ACCEPTANCE OF ANY
  106.                     PURCHASE ORDER PLACED BY YOU IS EXPRESSLY MADE
  107.                     CONDITIONAL ON YOUR ASSENT TO THE TERMS SET FORTH
  108.                     HEREIN, AND NOT THOSE CONTAINED IN YOUR PURCHASE ORDER. If
  109.                     any provision of this Agreement is held to be unenforceable for any reason,
  110.                     such provision shall be reformed only to the extent necessary to make it
  111.                     enforceable. This Agreement shall be governed by and construed under
  112.                     California law as such law applies to agreements between California
  113.                     residents entered into and to be performed within California, except as
  114.                     governed by Federal law. The application of the United Nations Convention
  115.                     on Contracts for the International Sale of Goods is expressly excluded. 
  116.                     U.S. Government End Users. The Software and Documentation are
  117.                     "commercial computer software" and "commercial computer software
  118.                     documentation" as such terms are used in 48 C.F.R. 12.212 (SEPT 1995).
  119.                     Consistent with 48 C.F.R. 12.212 (SEPT 1995) and 48 C.F.R. 227.7202-1 (JUN
  120.                     1995) and 227.7202-3 (JUN 1995), all Government end users acquire the
  121.                     Software and Documentation under the terms and conditions herein.
