  1. SOFTWARE LICENSE
  2.  
  3. ATTENTION: PLEASE READ THIS DOCUMENT CAREFULLY BEFORE INSTALLING THIS
  4. PACKAGE.  THE INDIVIDUAL OR ENTITY INSTALLING THIS PACKAGE (THE "END
  5. USER") AGREES TO BE BOUND BY THE TERMS OF THIS LICENSE.  IF YOU
  6. INSTALL THIS PACKAGE AND DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO
  7. NOT USE THE SOFTWARE AND PROMPTLY RETURN THE PACKAGE UNOPENED AND
  8. UNINSTALLED, AND THE LICENSE PRICE WILL BE REFUNDED.

  10. The enclosed computer program(s) and the accompanying documentation
  11. are provided to the End-User by Pontari Productions ("Licensor") for
  12. use only under the following terms.  Licensor reserves any right not
  13. expressly granted to the End-user.  The End-User owns the disk on
  14. which the Software is recorded, but Licensor retains ownership of all
  15. copies of the Software itself.  The End-User assumes sole
  16. responsibility for the installation, use and results obtained from use
  17. of the Software.
  18.  
  19. 1.  License.  End-User is granted a limited, non-exclusive license to
  20. do only the following: 
  21.  
  22. A.  Install and maintain the Software on one computer at any time for
  23. use only in the End-User's own business.  The single exception to this
  24. is for use in a rendering network via ScreamerNet.
  25.  
  26. B.  Make one copy in machine-readable form solely for backup or
  27. archival purposes for the computer which the Software is installed.
  28. The Software is protected by copyright law.  As an express condition
  29. of this License, the End-User must reproduce on the copy Licensor's
  30. copyright notice and any other proprietary legends on the original
  31. copy supplied by Licensor.

  33. C.  Transfer the Software and all rights under this License to another
  34. party together with a copy of this License and all written materials
  35. accompanying the Software, provided (i) the End-User gives Licensor
  36. written notice of the transfer (including in such notice the identity
  37. of the transferee), and (ii) the other party reads and agrees to
  38. accept the terms and conditions of this License.

  40. 2.  Restrictions.  The End-User may NOT sublicense, assign, or
  41. distribute copies of the Software to others.  The Software contains
  42. trade secrets.  The End-User may NOT decompile, reverse engineer,
  43. disassemble, or otherwise reduce the Software to a human readable
  44. form.  THE END-USER MAY NOT MODIFY, ADAPT, TRANSLATE, RENT, LEASE,
  45. LOAN, RESELL FOR PROFIT, DISTRIBUTE, OR OTHERWISE ASSIGN OR TRANSFER
  46. THE SOFTWARE, OR CREATE DERIVATIVE WORKS BASED UPON THE SOFTWARE OR
  47. ANY PART THEREOF, EXCEPT AS EXPRESSLY PROVIDED IN SECTION 1.C. ABOVE.

  49. 3.  Protection and Security.  The End-User agrees to use its best
  50. efforts and to take all reasonable steps to safeguard the Software to
  51. ensure that no unauthorized person shall have access thereto and that
  52. no unauthorized copy, publication, disclosure or distribution in whole
  53. or in part, in any form, shall be made.  The End-User acknowledges
  54. that the Software contains valuable confidential information and trade
  55. secrets and that unauthorized use and/or copying are harmful to
  56. Licensor.

  58. 4.  Termination.  This License is effective until terminated.  This
  59. License will terminate immediately without notice from Licensor if the
  60. End User fails to comply with any of its provisions.  Upon termination
  61. the End User must destroy the Software and all copies thereof, and the
  62. End-User may terminate this License at any time by doing so.

  64. 5.  Limited Warranty.  Licensor warrants that, for ninety (90) days
  65. from the date of initial use by the original End User, the Software
  66. shall operate substantially in accordance with the published
  67. functional specifications current at the time of shipment.  If, during
  68. the warranty period, a defect appears, End User shall return the
  69. Software to Licensor and Licensor's only obligation shall be, at
  70. Licensor's election, to replace the defective Software or refund the
  71. purchase price.  The End-User agrees that the foregoing constitutes
  72. the End-User's sole and exclusive remedy for breach by Licensor under
  73. any warranties made under this Agreement.  This warranty does not
  74. cover any Software that has been altered or changed in any way by
  75. anyone other than Licensor.  Licensor is not responsible for problems
  76. associated with or caused by incompatible operating systems or
  77. equipment, or for problems in the interaction of the Software with
  78. software not furnished by Licensor.
  79.  
  80. No oral or written information or advice given by Licensor or its
  81. dealers, distributors, employees or agents shall in any way extend,
  82. modify or add to the foregoing warranty.
  83.  
  84. THE WARRANTY AND REMEDY PROVIDED ABOVE ARE EXCLUSIVE AND IN LIEU OF
  85. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO
  86. THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
  87. PURPOSE.  THE END-USER ASSUMES ALL RISK AS TO THE SUITABILITY,
  88. QUALITY, AND PERFORMANCE OF THE SOFTWARE.  IN NO EVENT WILL LICENSOR,
  89. OR ITS DIRECTORS, OFFICERS, EMPLOYEES OR AFFILIATES, BE LIABLE TO THE
  90. END-USER FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR
  91. EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS,
  92. BUSINESS INTERRUPTION, LOSS OF DATA OR BUSINESS INFORMATION, AND THE
  93. LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE OR
  94. ACCOMPANYING WRITTEN MATERIALS, EVEN IF LICENSOR HAS BEEN ADVISED OF
  95. THE POSSIBILITY OF SUCH DAMAGES.

  97. LICENSOR'S LIABILITY TO THE END-USER (IF ANY) FOR ACTUAL DIRECT
  98. DAMAGES FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE
  99. ACTION, WILL BE LIMITED TO, AND IN NO EVENT SHALL EXCEED, THE AMOUNT
  100. ORIGINALLY PAID TO LICENSOR FOR THE LICENSE OF THE SOFTWARE.

  102. 6.  General.  This License will be governed by and construed in
  103. accordance with the laws of the state of Washington, and shall inure
  104. to the benefit of Licensor and End-User and their successors, assigns
  105. and legal representatives.  If any provision of this License is held
  106. by a court of competent jurisdiction to be invalid or unenforceable to
  107. any extent under applicable law, that provision will be enforced to
  108. the maximum extent permissible, and the remaining provisions of this
  109. License will remain in full force and effect.  Any notices or other
  110. communications to be sent to Licensor must be mailed first class,
  111. postage prepaid, to the following address:

  117. This Agreement constitutes the entire agreement between the parties
  118. with respect to the subject matter hereof, and all prior proposals,
  119. agreements, representations, statements and undertakings are hereby
  120. expressly cancelled and superseded.  This Agreement may not be changed
  121. or amended except by a written instrument executed by a duly
  122. authorized officer of Licensor.

  124. 7.  Acknowledgment.  BY INSTALLING THIS PACKAGE, THE END-USER
  125. ACKNOWLEDGES THAT IT HAS READ THIS LICENSE, UNDERSTANDS IT, AND AGREES
  126. TO BE BOUND BY ITS TERMS AND CONDITIONS.  Should you have any
