BUYER'S ASSIGNMENT OF RIGHTS


WHEREAS, on @004, @001, referred to as ASSIGNOR, entered into a
contract for the purchase of @005, from @002,


and WHEREAS, @003 desires to receive an assignment of the rights
of @001 under the contract, IT IS AGREED:


@001 assigns to @003 all of the rights of @001 in the above
described contract. @003 agrees to fully perform all of the
obligations of @001 under the above described contract, and shall
indemnify and hold @001 harmless from any and all obligations
under the contract.


@001 warrants that:


The contract is in full force and effect and that @001 has not
breached the agreement, and that @001 has the right and authority
to assign this agreement.
