  74. sale of the goods. OWNER may recall and take possession of the

  85. long form loss payable clause. Should CONSIGNMENT MERCHANT fail 
  86. to maintain such coverage, OWNER may obtain the same, and 
  87. CONSIGNMENT MERCHANT shall upon presentation of an invoice 
  88. therefor, pay for the same on sight. The maintenance of insurance 
  89. is not dependent on sales. CONSIGNMENT MERCHANT shall maintain 
  90. such insurance regardless of the number of sales.

  122. sums not be paid when due, then OWNER shall have the right, but
  123. not obligation, to repossess all merchandise of OWNER's in
  124. CONSIGNMENT SELLER'S possession. All sums due, but unpaid, shall
  125. bear interest at the highest legal rate applicable.

  128. CONSIGNMENT MERCHANT shall permit an audit by representatives of
  129. @001 of all of its books and records, together with a physical
  130. inspection of the premises and inventory of goods at such times
  131. as OWNER may desire.

  134. CONSIGNMENT MERCHANT herewith grants a lien to OWNER in the
  135. proceeds of the sales of OWNER's goods.

  141. The proceeds of the sale of the goods of OWNER shall be
  142. deposited in a special escrow account and shall not be commingled
  143. with the funds of CONSIGNMENT MERCHANT, or the funds of others. 
  144. CONSIGNMENT MERCHANT shall provide proof of compliance with this 
  145. requirement by forwarding proof of said account's being opened, and 
  146. shall also request that the banking institution provide to OWNER a 
  147. copy of each periodic bank statement directly. The funds received 
  148. shall be deemed to be trust funds and shall be deemed to be held in 
  149. trust and for the sole benefit of OWNER. CONSIGNMENT MERCHANT is 
  150. authorized, provided that all accountings are timely filed and all 
  151. sales proceeds have been deposited to withdraw its commission from 
  152. the account. However, should any instruments accepted by CONSIGNMENT 
  153. MERCHANT not be honored, CONSIGNMENT MERCHANT shall remain liable 
  154. to repay the same.

  159. This agreement is for "sale or return." CONSIGNMENT MERCHANT
  160. shall have @355 days from the date of delivery of the consigned
  161. goods to either sell or pay for the goods, or return the same.
  162. Should CONSIGNMENT MERCHANT fail to pay or return the same within
  163. such time period, then the goods shall be deemed to be purchased
  164. by CONSIGNMENT MERCHANT, and shall be paid for within 30 days,
  165. net.

  186. This agreement shall not be construed to provide a dealership or
  187. franchise in CONSIGNMENT MERCHANT. OWNER shall be free to sell
  188. on whatever terms it may desire, the goods or other lines sold
  189. herein, to any entities that it may desire. Unless under a
  190. separate writing a dealership or franchise is provided, @002
  191. shall have no such rights under this agreement.

  194. Further, OWNER shall not be obligated to ship any further goods
  195. unless it so desires. OWNER during the course of this agreement
  196. may request, and CONSIGNMENT MERCHANT agrees to provide a 
  197. financial statement showing its current financial status, to 
  198. OWNER. Although the financial statement shall not be required 
  199. to be an audited one, a statement under oath shall accompany 
  200. the same stating that the statements are materially true 
  201. and correct.

  204. CONSIGNMENT MERCHANT herewith authorizes OWNER to file such 
  205. financing statements or any other documents or official filings 
  206. that may be required and OWNER may execute these on behalf of 
  207. CONSIGNMENT MERCHANT.
