Software License & Product Limited Warranty
Read the following license and limited warranty before you open the software media package. If you do not agree to the terms and conditions of this license and limited warranty, do not open the package. You may return the entire product in its original packaging to your supplier for a full refund provided that this package is unopened.
The software contained in this package is not for sale. Transparent Language Inc. (TLI) retains ownership.
The product you have licensed consists of intangible software and various tangible components including programmed magnetic media and programmed audiocassettes if applicable (collectively, the Software). The Software provided on magnetic or other media is subject to the following license terms and conditions and limited warranty (the Agreement). This Agreement constitutes the entire agreement and understanding between the parties and supersedes any prior agreement or understanding, whether oral or written related to the subject of this Agreement. This Agreement may only be modified by a written agreement signed by TLI.
SINGLE COPY SOFTWARE LICENSE
THIS IS A SINGLE COPY SOFTWARE LICENSE granted by TRANSPARENT LANGUAGE, INC. (TLI), a New Hampshire corporation with its mailing address at 22 Proctor Hill Road, Hollis, NH 03049.
The Software in this package may be recorded on magnetic media. The Software is licensed to you as the end user. It is not sold.
1. The Software enclosed in this package contains copyrighted material, trade secrets and other proprietary information.
1.1 You may use the Software on any compatible computer so long as it is installed and used on only one computer at a time. You must pay a license fee for each additional computer on which it is installed or used unless you have contracted with TLI for additional licenses. Contact TLI at 603-465-2230 for information regarding additional licenses.
1.2 You may make no more than one (1) copy of the Software that is recorded on magnetic media for backup purposes, and any such copy together with the original must be kept in your possession or control and used only with the selected computer.
1.3 You may not make any changes or modifications to the Software and you may not decompile, disassemble, or otherwise reverse engineer the Software. You may not use it on a computer network unless it is used with only one computer.
1.4 You may not loan, rent, sub-license or otherwise transfer the Software or make it available for use by others in any time-sharing, service bureau, Internet, or similar arrangement, except that you may permanently transfer the Software to another user if you transfer the documentation and all magnetic media and other equipment and the other user agrees to the terms and conditions of the Agreement.
2. The Software provided herein is Commercial Computer Software under the Federal Government Acquisition Regulations and agency supplements to them. The Software is provided to the Federal Government and its agencies only under the Restricted Rights Provisions of the Federal Acquisitions Regulations applicable to commercial computer Software developed at private expense and not in the public domain. The use, duplication or disclosure by the Government is subject to restrictions as set forth in subdivision (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at 252.227-7013.
3. This license is effective until terminated. You may terminate this license at any time by destroying the Software, related documentation and other materials and all copies thereof. This license will terminate immediately without notice if you breach any provision. Upon termination you must destroy the Software, related documentation and other materials and all copies thereof.
4. You agree not to export the Software, except as authorized and permitted by applicable laws and regulations.
5. This license shall be governed and construed in accordance with the laws of the United States and the Commonwealth of Massachusetts, without regard to principles regarding conflicts of laws.
LIMITED WARRANTY
In no event will TLI be liable for direct, indirect, special, incidental, or consequential damages arising out of the use of or inability to use the Software or documentation. In no case shall the liability of TLI exceed the amount of the license fee. The warranty and remedies set forth below are exclusive and in lieu of all others oral or written, expressed or implied. Some states do not allow the limitation of implied warranties so limitations above may not apply to you.
Supplier will replace defective media at no charge. Except as provided above, TLI makes no warranty or representation either express or implied with respect to this Software or documentation including their quality, performance, merchantability, or fitness for a particular purpose. TLI DOES NOT WARRANT THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY TLI OR ITS AUTHORIZED REPRESENTATIVES WILL CREATE A WARRANTY OR INCREASE THE SCOPE OF THIS WARRANTY.
