  1.                   EOS SYSTEMS LICENSE AGREEMENT
  2.  
  3. CAREFULLY READ THE FOLLOWING LICENSE AGREEMENT BEFORE USING OR 
  4. INSTALLING ANY OF THE PRODUCT. BY USING THE PRODUCT YOU INDICATE YOUR 
  5. ACCEPTANCE OF THE TERMS OF THIS AGREEMENT. IF YOU DO NOT ACCEPT THE 
  6. TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE ANY PORTION OF THE 
  7. PRODUCT; PROMPTLY RETURN THE ENTIRE PACKAGE TO THE PLACE YOU OBTAINED 
  8. IT.

  10. DEFINITIONS
  11. The following definitions apply to the terms as they appear in this 
  12. agreement.
  13. * "Eos" means Eos Systems Inc.
  14. * "Software" means the computer programs contained in this package,
  15.   whether the package be data files or a physical item, and 
  16.   all updates to the computer programs.  The term also includes all 
  17.   copies of any part of the computer programs.
  18. * "Documentation" means the user manual, in electronic or printed form, 
  19.   and other printed materials accompanying the Software.
  20. * "Product" means the Software and Documentation.
  21.  
  22. COPYRIGHT/PROPRIETARY PROTECTION
  23. The Product is owned by Eos and is protected by Canadian and 
  24. international copyright laws and international trade provisions.  You 
  25. must treat the Product like any other copyrighted material.  This 
  26. license and your right to use the Product terminate automatically if 
  27. you violate any part of this agreement.  In the event of termination, 
  28. you must immediately destroy all copies of the Product or return them 
  29. to Eos.

  31. LICENSE GRANT
  32. Eos grants you a non-exclusive license to:
  33. a) Use one copy of the Software on a single computer ("Dedicated 
  34.    Computer").
  35. b) Make one copy of the Software for archival purposes, or copy the 
  36.    Software onto the hard disk of your computer and retain the original 
  37.    for archival purposes. 
  38. c) After written notification to Eos and subsequent approval in writing 
  39.    by Eos, transfer the entire Product on a permanent basis to another 
  40.    person or entity, provided you retain no copies of the Product and 
  41.    the transferee agrees to the terms of this agreement.

  43. For the purposes of this agreement, "use" means loading the Software 
  44. into RAM, as well as installation on a hard disk or other storage 
  45. device (other than a network server).  You may access the Software 
  46. from a hard disk, over a network, or any other method you choose, so 
  47. long as you otherwise comply with this agreement.
  48.  
  49. You may not:
  50. a) Copy the documentation.
  51. b) Modify, translate, or merge the Software with another program, 
  52.    except for your personal use on a single computer.  Any 
  53.    modifications to the Software are subject to this agreement.
  54. c) Reverse-engineer, disassemble, decompile, or make any attempt to 
  55.    discover the source code of the Software.
  56. d) Sublicense, rent, or lease any portion of the Product.
  57. e) Use the previous version of the Software that has been upgraded or 
  58.    updated under this agreement. Upon upgrading or updating the 
  59.    Software, the old copy must be deleted from the computer and the 
  60.    original disks must be physically destroyed.

  62. LIMITED WARRANTY
  63. Eos warrants the disks on which the Software is distributed to be free 
  64. from defects in materials and workmanship and that the Software will 
  65. perform substantially in accordance with the Documentation for a 
  66. period of 60 days from your receipt of the Product.  Any written or 
  67. oral information or advice given by Eos dealers, distributors, agents, 
  68. or employees will in no way increase the scope of this warranty.
  69. If the Product fails to comply with the warranty set forth above, Eos' 
  70. entire liability and your exclusive remedy will be replacement of the 
  71. disk or, at Eos' option, Eos' reasonable effort to make the Product 
  72. meet the warranty set forth above.  This limited warranty applies only 
  73. if you return all copies of the Product to Eos within 60 days of the 
  74. date you received the Product.  If Eos is unable to make the Product 
  75. conform to the above warranty, Eos, at its option, will refund all or 
  76. a fair portion of the price you paid for this package.  Any 
  77. replacement Software will be warranted for the remainder of the 
  78. original 60-day warranty period or for 30 days from the date you 
  79. received the replacement, whichever is longer.  These remedies are not 
  80. available outside of the United States and Canada.

  82. EOS DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, 
  83. INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND 
  84. FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE PRODUCT.  THIS 
  85. LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.  YOU MAY ALSO HAVE 
  86. OTHER RIGHTS.

  89. NO LIABILITY FOR CONSEQUENTIAL DAMAGES
  90. In no event shall Eos or its suppliers be liable for any damages 
  91. whatsoever (including, without limitation, damages for loss of 
  92. profits, business interruption, loss of information, or other 
  93. pecuniary loss) arising out of the use of or inability to use this Eos 
  94. product, even if Eos has been advised of the possibility of such 
  95. damages.  You are solely responsible for the selection of this 
  96. software to achieve your intended results and for the results actually 
  97. achieved.  You also accept the entire risk as to the quality and 
  98. performance of this software (including but not limited to errors 
  99. and/or interruptions in operations).  Should this software prove 
  100. defective in any way then you assume the entire cost of any necessary 
  101. corrective actions.  You are advised to test the software thoroughly 
  102. before use for your particular purpose. Because some jurisdictions do 
  103. not allow the exclusion of implied warranties or the exclusion or 
  104. limitation of liability for consequential or incidental damages, the 
  105. above limitation may not apply to you.  The foregoing limitations of 
  106. warranty and liability inure to the benefit of Eos' licensors having 
  107. an interest in the package.

  109. GENERAL
  110. a) Eos is not bound by any provision of any purchase order, receipt, 
  111.    acceptance, confirmation, correspondence, or otherwise, unless Eos 
  112.    specifically agrees to the provision in writing.  
  113. b) If any provisions, or portions thereof, of this agreement are 
  114.    invalid under any applicable statute or rule of law, then that 
  115.    portion shall be deemed omitted and the remaining portions of the 
  116.    agreement remain in force. 
  117. c) This agreement is governed by the laws of the Province of British 
  118.    Columbia.
