  1. .TX1 *** INTRODUCTORY CLAUSE FOR LIMITED PARTNERSHIP AGREEMENT **

  6. This agreement is made and entered into this date between 
  7. {GENERAL/PARTNER}, referred to as the General Partner, (and, if 
  8. more than one, collectively referred to as the General Partner) 
  9. and  the  persons executing this Agreement as Limited Partners, 
  10. whose names are set forth  on the signatory pages of this 
  11. document or its counterparts (all of whom are sometimes referred 
  12. to collectively as "Partners").   The Agreement is made for the 
  13. purpose of forming a Limited Partnership (referred to as the 
  14. "Partnership"), under the laws of the State of {STATE/NAME}, 
  15. subject to the following terms and conditions.

  17. .TX2 *** BASIC STRUCTURE CLAUSES FOR LIMITED PARTNERSHIP ********

  22. 1.1   Form.   The parties hereby form a Limited Partnership 
  23. pursuant to the laws of the State of {STATE/NAME}.  The General 
  24. Partner shall manage the business of the Partnership and the 
  25. Limited Partners shall not participate in the management of the 
  26. Partnership business.

  28. 1.2   Name.   The business of the Partnership shall be conducted

  31. 1.3   Partners.   The Partners and their principal residence 
  32. addresses,  in addition to those shown in the other executed 
  33. counterparts of this agreement, shall be as follows:

  49. 1.4  Place of Business.   The principal office and place of 
  50. business  of the Partnership shall be located at {PARTSHIP/LOCATION}, 
  51. or such other place as the General Partner may designate from 
  52. time to time.
  53.  
  54. 1.5   Term.  The Partnership shall commence on the date of the 
  55. initial  filing  in the office of the Secretary of State  of  the 
  56. applicable  certificate of limited partnership and shall continue 
  57. thereafter for a period of 25 years, unless earlier terminated as
  58. follows:
  59.  
  60.      (a)  By completion of the purpose intended, or
  61.  
  62.      (b)  Pursuant to this agreement, or
  63.  
  64.      (c)  By applicable laws of the State of {STATE/NAME}, or
  65.  
  66.      (d)  By  bankruptcy,  retirement,  withdrawal,  resignation, 
  67. expulsion, or disability of the General Partner and election of 
  68. the remaining Partners not to continue the business.
  69.  
  70. 1.6  Purpose.  The purpose or purposes for which the Partnership 
  71. is organized is, or are, as follows:

  73. .TX3 *** PURPOSE CLAUSE - LTD PARTNERSHIP - ALL LAWFUL BUSINESS **
  74.      ({!P}) To transact all lawful business for which 
  75. Partnerships may be organized under the Limited Partnership Act 
  76. of {STATE/NAME}.

  78. .TX4 *** PURPOSE CLAUSE FOR PARTNERSHIP - AGENT FOR BUSINESSES **
  79.      ({!P}) To represent, consult with, render reports to, and 
  80. act as agent or independent contractor for the following types of

  82. pursue their goals in every manner as if their purposes and goals 
  83. were the purposes and goals of this Partnership.

  85. .TX5 *** PURPOSE CLAUSE FOR PARTNERSHIP - BROKERAGE OF GOODS ****
  86.      ({!P}) To arrange for the import, export, trade, purchase, 
  87. sale, consignment and warehousing of the following:  
  88. {GOODS/DESCR}; and to act as agent for others who want to 
  89. accomplish the same.

  91. .TX6 *** PURPOSE CLAUSE FOR PARTNERSHIP - FARMING OPERATIONS ****
  92.      ({!P}) To cultivate, raise, grow, produce and sell the 
  93. following products of agriculture:  {AGRICULTURAL/PRODUCTS}.

  95. .TX7 ***PURPOSE CLAUSE FOR PARTNERSHIP - INVESTMENTS ************
  96.      ({!P}) To subscribe for, acquire, purchase, invest in and 
  97. deal in, interests in public and private security offerings and 
  98. to underwrite and participate in security offerings of every 
  99. type, including stock, securities, warrants, options, bonds, 
  100. notes, indentures and other secured and unsecured equity and debt 
  101. instruments.

  103. .TX8 *** PURPOSE CLAUSE FOR PARTNERSHIP - HOLDING COMPANY *******
  104.      ({!P}) To acquire, invest in, hold, distribute, hypothecate 
  105. and sell interests in other Partnerships and corporate business 
  106. enterprises, and to exercise all of the powers of a Stockholder 
  107. under the terms of such Corporations' Articles of Incorporation 
  108. and bylaws.

  110. .TX9 *** PURPOSE CLAUSE FOR PARTNERSHIP - BUSINESS MANAGEMENT ***
  111.      ({!P}) To render accounts receivable, accounts payable, 
  112. sales, inventory, manufacturing, financial advance planning and 
  113. technical advice to the following types of business as an aid to 
  114. their general manufacturing, merchandising, organization, and 
  115. operations and to act as promoter, investigator, system analyzer, 
  116. agent, representative and consultant for such business 
  117. organizations:  {TYPES/OF/BUSINESS}.

  119. .TX10 *** PURPOSE CLAUSE FOR PARTNERSHIP - OIL & GAS OPERATIONS *
  120.      ({!P})  The purpose for which the Partnership is organized 
  121. is to acquire,  invest in, hold, distribute, hypothecate and sell 
  122. interests in oil and gas exploration,  development and production 
  123. ventures  in  a  manner designed to provide the Partners  with  a 
  124. greater  diversity in such investments than they could attain  if 
  125. such  investments were made individually and to manage  such  
  126. investments for the Partners.

  128. .TX11 *** PURPOSE CLAUSE FOR PARTNERSHIP - PUBLISH & BROADCAST **
  129.      ({!P}) To create, prepare, draft, design, print, broadcast 
  130. and publish material relating to the following subject matters:  
  131. {PUBLISH/MATTERS}, in and for all forms of broadcasting and 
  132. publication including radio, television, newspaper, magazines, 
  133. and all other forms of commercial and non-commercial media.

  135. .TX12 *** PURPOSE CLAUSE FOR PARTNERSHIP - MANAGE REAL ESTATE ***
  136.      ({!P}) To operate, manage, improve, repair, rent, lease, 
  137. own, acquire, sell, assign, mortgage, hypothecate, and otherwise 
  138. deal in real property and its appurtenances and fixtures and to 
  139. deal in direct interests, Partnership interests, Stockholder 
  140. interests and Joint Venture interests which represent shares in 
  141. such property and to build or contract for the building of 
  142. buildings and other structures on such property for such uses.

  144. .TX13 *** PURPOSE CLAUSE FOR PARTNERSHIP - CONDUCT RESEARCH *****
  145.      ({!P}) To conduct under its employment (or through contracts 
  146. with independent contractors or Joint Ventures) research, design 
  147. and development of the following:  {RESEARCH/TYPES}; and to 
  148. experiment, test and test market the products, services and 
  149. processes resulting from such research and development and to 
  150. investigate, consult, report and render advice as to the 
  151. development of similar products and the techniques and methods of 
  152. their manufactured and sale.

  154. .TX14 ** PURPOSE CLAUSE FOR PARTNERSHIP - PRODUCT/SERVICE SALES *
  155.      ({!P} To lease, sell, import, export and to finance 
  156. purchases and sales of the following products and services:

  158. maintain and improve the products sold and maintain inventories 
  159. of products to be sold and their repair parts and to finance such 
  160. inventories by factoring or other form of financing or 
  161. hypothecation.

  172. .TX17 *** PURPOSE CLAUSE FOR PARTNERSHIP - SURVEYING SERVICES ***
  173.      ({!P} To render surveying services to the public, which 
  174. shall include determining and delineating the form, extent and 
  175. position of objects or sites by taking linear, angular or other 
  176. measurements and by applying the principals of geometry, 
  177. trigonometry and other fields of mathematics; assisting in 
  178. planning sites and structures; and investigating, preparing, 
  179. evaluating, explaining and preparing surveys and related drawings 
  180. and analyses.

  182. .TX18 *** PURPOSE CLAUSE FOR PARTNERSHIP - WHOLESALE GOODS ******
  183.      ({!P} To purchase, sell, warehouse, hold, receive, store, 
  184. forward, factor, take on consignment, collaterally assign and 
  185. otherwise borrow against and finance inventory of the following
