  6. This agreement is made and entered into this date by and among 
  7. the following persons (hereinafter collectively referred to as 
  8. the "Partners") for the purpose of forming a General Partnership 
  9. for the term and upon the conditions hereinafter set forth.

  19. In consideration of the mutual covenants contained herein, it is 
  20. agreed by and among the above-named Partners, as follows:

  22. .TX2 *** DESCRIPTION OF BASIC STRUCTURE OF GENERAL PARTNERSHIP **
  23.                             ARTICLE I
  24.  
  25.                          BASIC STRUCTURE
  26.  
  27. 1.1 Form.  The Parties hereby form a General Partnership pursuant 
  28. to the laws of the State of {STATE/NAME}.

  30. 1.2 Name.  The business of the Partnership shall be conducted 
  31. under the name of {PARTSHIP/NAME}.
  32.  
  33. 1.3 Place of Business.  The principal office and place of 
  34. business of the Partnership shall be located at

  36. from time to time designate.

  49. resignation, expulsion or disability of all of the then Partners.

  51. 1.5 Purpose.  The purpose or purposes for which the Partnership 
  52. is organized is, or are, as follows:

  54. .TX3 *** PURPOSE CLAUSE FOR PARTNERSHIP - ALL LAWFUL PURPOSES ***
  55.      ({!P}) To transact all lawful business for which 
  56. Partnerships may be organized under the laws of the State of 
  57. {STATE/NAME}.

  59. .TX4 *** PURPOSE CLAUSE FOR PARTNERSHIP - ACCOUNTING PRACTICE ***
  60.      ({!P}) To render service to the public in the practice of 
  61. public accounting, which shall consist of any and all work or 
  62. duties within the scope of public accountants, such as making 
  63. audits or accounts for and of individuals, proprietors, 
  64. partnerships, government agencies or bodies or other persons or 
  65. organizations; keeping, examining and inspecting financial books 
  66. and accounts; devising, installing and giving direction for the 
  67. management of accounting, financial, checking, correspondence, 
  68. filing and other office systems, methods and forms; investigating 
  69. fiduciaries and stewardships; compiling commercial and industrial 
  70. \statistics, inventory, balance sheets, income, profit and loss, 
  71. and operating statements; examining the accounts and physical and 
  72. financial condition of any organization and reporting the same to 
  73. those interested therein and warranting the accuracy of the work 
  74. done on services performed.

  76. .TX5 *** PURPOSE CLAUSE FOR PARTNERSHIP - ARCHITECTURE *******
  77.      ({!P}) To render architectural services to the public, which 
  78. shall include planning, designing, evaluating, investigating and 
  79. superintending the construction of sites, buildings or other 
  80. architectural structures; preparing architectural drawings and 
  81. specifications; evaluating bids upon architectural proposals; and 
  82. preparing cost estimates upon architectural proposals.

  84. .TX6 *** PURPOSE CLAUSE FOR PARTNERSHIP - CHIROPRACTIC *********
  85.      ({!P}) To render service to the public in the practice of 
  86. chiropractic, which shall include the preventing, diagnosing, 
  87. curing or relieving in any degree, diseases, injuries, ailments, 
  88. or defects by attendance, advice or any therapeutic agent, in 
  89. particular through manipulation and adjustment of articulations 
  90. and joints of the human body, such as the spinal vertebrae, where 
  91. these are displaced, subluxated or otherwise causing pressure on 
  92. the nerves.

  94. .TX7 *** PURPOSE CLAUSE FOR PARTNERSHIP - DENTISTRY PRACTICE ****
  95.      ({!P}) To render service to the public in the practice of 
  96. dentistry, which shall consist of the diagnosing, treating, 
  97. prescribing, or operating in any degree for any disease, pain, 
  98. deformity, injury, deficiency or physical condition of the human 
  99. tooth, teeth alveolar process, gums, jaws, or dependent tissues.

  101. .TX8 *** PURPOSE CLAUSE FOR PARTNERSHIP - ENGINEERING PRACTICE **
  102.      ({!P}) To render service to the public in the practice of 
  103. {ENGINEER/TYPE} engineering, which shall consist of any and all 
  104. work or duties within the scope of {ENGINEER/TYPE} engineers, 
  105. such as designing, modeling, erecting, constructing, maintaining, 
  106. altering, and the repairing, demolishing, and restoration work of 
  107. all descriptions, including machines, buildings, plants, roads, 
  108. bridges, waterways, engines, vessels, utility works and 
  109. factories; consulting and rendering advice and representing the 
  110. public as to matters of engineering; and applying mathematics and 
  111. science to render the properties of matter and the sources of 
  112. energy in nature useful to the public.

  114. .TX9 ***  PURPOSE CLAUSE FOR PARTNERSHIP - FAMILY COUNSELING ****
  115.      ({!P}) To render service to the public in the practice of 
  116. family counseling, which shall include providing advice, 
  117. guidance, testing and assistance, collecting case histories and 
  118. other related data, utilizing psychological methods, including 
  119. personal interviews and otherwise treating emotional, 
  120. psychological or other distress of or between families or family 
  121. members; and prescribing plans for action to alleviate or 
  122. eliminate such distress.

  124. .TX10 *** PURPOSE CLAUSE FOR PARTNERSHIP - LAW PRACTICE *********
  125.      ({!P}) To render service to the public in the practice of 
  126. law, which shall consist of consulting and rendering legal advice 
  127. on any cause or matter whatsoever, including the laws, statutes, 
  128. rules, regulations, contracts, legal principles and any documents 
  129. or relationships having legal effects; drafting legal documents 
  130. and opinions for the purpose of implementing such legal advice, 
  131. representation and arrangements; and preparing and managing the 
  132. prosecution or defense of causes before the courts or before 
  133. other tribunals or agencies.

  135. .TX11 *** PURPOSE CLAUSE FOR PARTNERSHIP - MANUFACTURING ********
  136.      ({!P}) To manufacture, fabricate and assemble the following 
  137. products: {MANUFACTURED/PRODUCTS}; and to sell, lease, promote 
  138. and otherwise deal in the same and in related products and 
  139. services and to manufacture, fabricate and assemble the tools, 
  140. materials and equipment reasonably necessary for such processes.

  142. .TX12 *** PURPOSE CLAUSE FOR PARTNERSHIP - MEDICAL PRACTICE *****
  143.      ({!P}) To render service to the public in the practice of 
  144. medicine, which shall consist of the diagnosing, curing, or 
  145. relieving in any degree of any human disease, ailment, defect or 
  146. complaint, whether of physical or mental origin, by attendance or 
  147. by advice, or by prescribing or furnishing any drug, medicine, 
  148. appliance, manipulation or method, or by any therapeutic agent.

  150. .TX13 *** PURPOSE CLAUSE FOR PARTNERSHIP - NATUROPATHY PRACTICE *
  151.      ({!P}) To render service to the public in the practice of 
  152. naturopathy, which shall consist of the diagnosing, curing, or 
  153. relieving in any degree of any human disease, ailment, defect, or 
  154. complaint, whether of physical or mental origin, by attendance or 
  155. by advice, or by prescribing or furnishing any drug, medicine, 
  156. appliance, manipulation or method or by any therapeutic agent 
  157. emphasizing assistance to nature including the use of natural 
  158. medicinal substances and physical manipulation and treatment.

  160. .TX14 *** PURPOSE CLAUSE FOR PARTNERSHIP - OIL & GAS OPERATIONS *
  161.      ({!P}) To acquire, invest in, hold, distribute, hypothecate 
  162. and sell interests in oil and gas exploration, development and 
  163. production ventures in a manner designed to provide the Partners 
  164. with a greater diversity in such investments than they could 
  165. attain if such investments were made individually and to manage 
  166. such investments for the Partners.

  168. .TX15 *** PURPOSE CLAUSE FOR PARTNERSHIP - OPTOMETRY PRACTICE ***
  169.      ({!P}) To render service to the public in the practice of 
  170. optometry, which shall consist of the examination of the human 
  171. eye to ascertain the presence of defects or abnormal conditions 
  172. which may be, or the effects of which may may be, corrected, 
  173. remedied or relieved by the use of lenses, prisms, or other 
  174. mechanical devices; the employment of objective or subjective 
  175. physical means to determine the accomodative or refractive 
  176. conditions of the range or powers of vision or muscular 
  177. equilibrium of the human eye; the adaptation or the adjustment of 
  178. the lenses or prisms to correct, relieve or remedy the effect of 
  179. any defect or abnormal condition of the human eye; and measuring 
  180. the powers of vision of the human eye and adapting lenses for the 
  181. aid thereof.

  183. .TX16 *** PURPOSE CLAUSE FOR PARTNERSHIP - OSTEOPATHY PRACTICE **
  184.      ({!P}) To render service to the public in the practice of 
  185. osteopathy, which shall consist of the diagnosing, curing or 
  186. relieving in any degree of any human disease, ailment defect or 
  187. complaint, whether of physical or mental origin, by attendance or 
  188. by advice, or by prescribing or furnishing any drug, medicine, 
  189. appliance, method or manipulation, or by any therapeutic agent.

  191. .TX17 *** PURPOSE CLAUSE FOR PARTNERSHIP - PHARMACY OPERATION ***
  192.      ({!P}) To render service to the public in the practice of 
  193. pharmacy, including preparing, preserving, compounding, 
  194. producing, and dispensing medicines, drugs, prescription or other 
  195. chemicals; and selling or producing physicians' and surgeon 
  196. supplies and instruments, crutches, artificial limbs, prosthetic 
  197. devices of any kind, cosmetics, soaps and dyes.
