  69.           These terms and conditions govern your use of TwinLink BBS:
  70.           This Agreement becomes effective upon receipt and approval
  71.                by TwinLink of your signed application.
  72.           You may terminate this Agreement by providing TwinLink
  73.                thirty (30) days advance notice of your intent to close
  74.                your account or, by default, by allowing your account
  75.                to remain unused with no outstanding credits for a
  76.                period of ninety (90) days.
  77.           TwinLink shall retain the right to terminate this Agreement
  78.                and your use of TwinLink immediately in the event that:
  79.                * You have willfully violated any of TwinLink's rules
  80.                     and regulations, as posted on TwinLink BBS.
  81.                * You have used TwinLink BBS in any manner that may be
  82.                     injurious to TwinLink or any of TwinLink's users,
  83.                     or is in violation of any law, or would assist
  84.                     anyone in the violation of any law.
  85.                * You have transferred, assigned, or otherwise revealed
  86.                     your user password to another party without the
  87.                     express prior consent of TwinLink.
  88.                * You have resold or attempted to resell any service
  89.                     provided by TwinLink.
  90.                * You have presented any check or draft which is not
  91.                     honored for any reason three (3) times within any
  92.                     12-month period, or attempted to charge any user
  93.                     fees to a credit card account which has been
  94.                     suspended or revoked for any reason.
  95.           Current rates and fees shall be as posted on TwinLink BBS.
  96.           You agree that you are responsible for all charges to your
  97.                account, including charges incurred by use of your
  98.                account by any third party who may have gained access
  99.                to your password, not to exceed any prepaid amount.
  100.           You agree to indemnify TwinLink against any claim or other
  101.                action taken by yourself and/or any third party which
  102.                may arise out of your use of TwinLink.
  103.           You agree to honor any copyright notices contained within
  104.                any material made available by TwinLink.
  105.           You agree that you will be held liable for any damages
  106.                incurred by TwinLink and/or any of its users which are
  107.                found to be a result of any harmful or unlawful action
  108.                in which you have willfully engaged.  You understand
  109.                that any such actions shall be prosecuted to the
  110.                fullest extent provided by law.
  111.           TwinLink may amend this Agreement at any time by mailing
  112.                you a copy of the amended Agreement.  If you do not
  113.                agree to the amended terms, you may terminate the
  114.                Agreement as indicated above.
  115.           If any part of this Agreement, including any applicable
  116.                Addendum(s), is unenforceable for any reason, or
  117.                TwinLink waives any part of this Agreement, the
  118.                remaining parts shall remain in full force.
  119.           This Agreement will be governed by Minnesota law.

  122.                              Flat-Rate Addendum
  123.                              ==================
  124.  
  125.           This Addendum applies to Subscribers who have elected to
  126.                maintain a monthly flat-rate account.  The following
  127.                terms and conditions supplement all provisions stated
  128.                in the Subscriber Agreement:
  129.           Upon receipt of your initial Flat-Rate payment, TwinLink
  130.                will post credits to your account equivalent to two (2)
  131.                hours per day times the number of days in the then
  132.                current calendar month.  That date of the month shall
  133.                then become your account's designated "Posting Date".
  134.           In all subsequent months, your monthly Flat-Rate payment
  135.                shall be due on or before that Posting Date, in order
  136.                for you to keep your account current.
  137.           On each month's Posting Date, TwinLink will delete all of your
  138.                existing Flat-Rate credits.
  139.           If sufficient payment has been received on or before your
  140.                Posting Date, TwinLink will then post new credits to
  141.                your account equivalent to two (2) hours per day times
  142.                the number of days in that calendar month.
  143.           If payment is received after your Posting Date, TwinLink
  144.                will, upon receipt of your payment, post credits to
  145.                your account equivalent to two (2) hours per day times
  146.                the number of remaining days prior to your next Posting
  147.                Date.  For the period between your Posting Date and the
  148.                date that your payment is received, your account shall
  149.                revert to Hourly Connect-Time status.
  150.           You may, at any time, purchase Hourly Connect-Time credits
  151.                to be retained in your account for use in the event
  152.                that your payment arrives after your Posting Date, or
  153.                you have used all of your Flat-Rate credits prior to
  154.                your Posting Date, by either:
  155.                * Making an additional payment, indicating that it is
  156.                to be used to purchase Hourly Connect-Time credits, or
  157.                * Paying more than than the current Monthly Flat-Rate
  158.                amount, and indicating that the excess is to be used to
  159.                purchase Hourly Connect-Time credits.
  160.           Unused Hourly Connect-Time credits will be carried forward
  161.                from month to month; Monthly Flat-Rate credits will
  162.                never be carried forward under any circumstances.
  163.           You are not restricted to 2 hours of connect time each day;
  164.                you may distribute your allotment of Monthly Flat-Rate
  165.                credits throughout the month in any manner you choose,
  166.                provided, however, that TwinLink reserves the right, if
  167.                system usage is at or near maximum capacity at any
  168.                given time, to restrict your access as needed to insure
  169.                equitable access for all of its users.
